Please read these rules before entering the BabySpa USA "Lullaby
Pampering Cologne Giveaway" (the"Sweepstakes"). You agree that,
by entering this Sweepstakes, you will be bound by these Official
Sweepstakes Rules (the "Rules") and you acknowledge that you
satisfy all Sweepstakes eligibility requirements.

1. Eligibility: The Sweepstakes is open only to legal residents of the
fifty (50) United States and District of Columbia who (a) are at least
eighteen (18) years of age or the age of majority in their jurisdiction of
residence at the time of entry, whichever is greater. Employees and
agents of BabySpa USA, its affiliates, subsidiaries, advertising and
promotion agencies, any other prize sponsor, and any entity involved
in the development, production, implementation, administration or
fulfillment of the Sweepstakes (all of the foregoing, together with
BabySpa USA, collectively referred to as "Sweepstakes Entities"),
are not eligible to enter the Sweepstakes. Subject to all applicable
federal, state and local laws and regulations. Void where prohibited.
Participation constitutes entrants full and unconditional agreement
to these Official Rules and BabySpa USAs and Administrators
decisions, which are final and binding in all matters related to the
Sweepstakes. Winning a prize is contingent upon fulfilling all
requirements set forth herein. Entering an invalid e-mail address,
invalid personal information, or otherwise failing to abide by these
Official Rules will result in Sweepstakes disqualification.

2. Sponsor: Expro 3, LLC. 2199 Ponce De Leon Blvd, Coral Gables,
FL 33134. The terms "we", "us", "our" BabySpa and "Expro 3,
LLC" refer to Expro 3. LLC, and any of its affiliated companies as
appropriate in the context.

3. Timing: The Sweepstakes will run from 12:00pm EST on August
1, 2014 to 12:00pm EST on August 2, 2014 (the "Sweepstakes
Period"). BabySpa USAs computer is the official time keeping
device for the Sweepstakes.

4. How to Enter: Visit www.instagram.com/babyspa and comment
on the Sweepstakes post answering the Sweepstakes question
utilizing the hashtag #BabySpaLullaby. By commenting, you agree to
the Official Rules & Privacy Policy. Limited to one (1) entry per
person. Any attempt by any entrant to obtain more than the stated
number of plays by using multiple/different email addresses,
identities, registrations and logins, or any other methods will void
that entrant's plays and that entrant may be disqualified. In the event
of a dispute as to any registration or play, the authorized account
holder of the email address used to register will be deemed to be the
entrant.

5. Prizes: Of the Sweepstakes submissions, the first five (5) entries
will receive one (1) BabySpa Lullaby Pampering Cologne.

Prizes cannot be transferred, assigned, or redeemed for their cash
value. All prizes will be awarded "AS IS" and "WITHOUT WARRANTY
OF ANY KIND," express or implied (including, without limitation, any
implied warranty of merchantability or fitness for a particular
purpose).

6. Prize Drawing for Participants: The first five (5) qualifying entries
will automatically win the grand prize. The Prize Winners will be
notified via an Instagram post. If a potential winner does not respond
within thirty (30) days of being contacted, the potential winner forfeits
the prize. All prizes will be fulfilled approximately one month after the
conclusion of the Sweepstakes.

7. Release: By entering, entrant agrees to release and hold harmless
BabySpa USA, Instagram, and their respective subsidiaries,
affiliates, suppliers, distributors, advertising/promotion agencies and
each of their respective parent companies and each such companys
officers, directors, employees and agents (collectively, the Released
Parties) from and against any claim or cause action, including, but
not limited to, personal injury, death, or damage to or loss of
property, arising, in whole or in part, directly or indirectly, out of
participation in the Sweepstakes or receipt or use or misuse of any
prize (including any travel or activity-related thereto).

8. General Conditions: BabySpa USA reserves the right to cancel,
suspend and/or modify the Sweepstakes, or any part of it, if any
fraud, technical failures or any other factor impairs the integrity or
proper functioning of the Sweepstakes, as determined by BabySpa
USA in its sole discretion. If terminated BabySpa USA may, in its
sole discretion, determine the winners from among all non-suspects,
eligible Submissions received up to time of such action using the
judging procedure outlined above. BabySpa USA, in its sole
discretion, reserves the right to disqualify any individual it finds to be
tampering with the Submission process or the operation of the
Sweepstakes or to be acting in violation of these Official Rules or
any other promotion or in an unsportsmanlike or disruptive manner
and void all associated Submissions. Any attempt by any person to
deliberately undermine the legitimate operation of the Sweepstakes
may be a violation of criminal and civil law, and, should such an
attempt be made, BabySpa USA reserves the right to seek
damages and other remedies (including attorneys fees) from any
such person to the fullest extent permitted by law. BabySpa USAs
failure to enforce any term of these Official Rules shall not constitute
a waiver of that provision.

9. Limitations of Liability: Released Parties are not responsible for:
(1) any incorrect or inaccurate information, whether caused by
entrant, printing, typographical or other errors or by any of the
equipment or programming associated with or utilized in the
Sweepstakes; (2) technical failures of any kind, including, but not
limited to malfunctions, interruptions, or disconnections in phone
lines or network hardware or software; (3) unauthorized human
intervention in any part of the Sweepstakes;(4) printing,
typographical, technical, computer, network or human error which
may occur in the administration of the Sweepstakes, the uploading,
the processing or judging of Submissions or votes or the tabulating
of votes, the announcement of the prizes or in any Sweepstakes-
related materials; (5) late, lost, undeliverable, damaged or stolen
mail; or (6) any injury or damage to persons or property which may
be caused, directly or indirectly, in whole or in part, from entrants
participation in the Sweepstakes or receipt or use or misuse of any
prize (including any travel/activity related thereto). Released Parties
(Section 7) are not responsible for misdirected or undeliverable
Submissions or for any technical problems, malfunctions of
computer systems, servers, providers, hardware/software, lost or
unavailable network connections or failed, incomplete, garbled or
delayed computer transmission or any combination thereof.
Released Parties are not responsible for any unauthorized third party
use of any Submission.

10. Disputes: Except where prohibited, entrant agrees that: (1) any
and all disputes, claims and causes of action arising out of or
connected with this Sweepstakes or any prize awarded shall be
resolved individually, without resort to any form of class action, and
exclusively by the United States District Court for Southern District
of Florida for the appropriate Florida State Court located in Miami-
Dade County, Florida; (2) any and all claims, judgments and awards
shall be limited to actual out-of-pocket costs incurred, including
costs associated with entering this Sweepstakes, and in no event will
participant be entitled to receive attorneys fees; and (3)under no
circumstances will entrant be permitted to obtain awards for, and
entrant hereby waives all rights to claim, indirect, punitive, incidental
and consequential damages and any other damages, other than for
actual out-of-pocket expenses, and any and all rights to have
damages multiplied or otherwise increased. All issues and questions
concerning the construction, validity, interpretation and
enforceability of these Official Rules, or the rights and obligations of
the entrant and BabySpa USA in connection with the
Sweepstakes, shall be governed by, and construed in accordance
with, the laws of the State of Florida without giving effect to any
choice of law or conflict of law rules (whether of the State of Florida
or any other jurisdiction), which would cause the application of the
laws of any jurisdiction other than the State of Florida.

11. Entrant's Personal Information: Information collected from
entrant is subject to Expro 3, LLCs Privacy Policy.

This Sweepstakes is in no way sponsored, endorsed or administered
by, or associated with, Instagram. You understand that you are
providing your information to BabySpa USA and not to Instagram.
The information you provide will only be used for administering the
Sweepstakes.
