(“Xicon”) entered into a Contract having an effective date of December 30, 2014 (“Contract”) for certain Market and Business Environment Analysis for the Jacksonville Port ‘Task Force that was awarded to Xicon by and through Request for Proposal No. P-O4-15 (“RFP”), In accordance with Section 8 of the Contract and Section 3.23 of RFP, the City has elected to terminate the Contract for convenience. Accordingly. this letter shall serve as the City’s written notice of termination to Xicon. ‘The Contract shall be deemed terminated effective immediately upon receipt of this noti By terminating the Contract for convenience, the City is not waiving its rights to declare Xicon in default of any provisions of the Contract and pursue any remedies at law or in equity related thereto. ‘The City expressly reserves the right to notify Xicon of any such default under the Contract at a subsequent time from the date of this notice. ‘The City is hereby relieved of all further obligations other than payment for the amount of services actually performed to the date of termination. ‘The City has no need for transition services, as provided in Section 3.26 of the RFP.
