Dear Klo,
On the 25th of August we have spoken about the development of a Wordpress website for the Butterfly
Works year report. With this agreement we would like to put in writing the terms and conditions of the
assignment.
BASIC AGREEMENTS

1. The commission will be conducted on behalf of Butterfly Works.

2. Parties explicitly preclude entering into an employment contract.
3. OSD will make an effort to execute the commission carefully and independently, to
promote Butterfly Works interests to the best of his knowledge, and to strive for results that serve
the purpose of Butterfly Works. OSD will keep Butterfly Works informed about the progress of
the activities. There will be a weekly update between OSD and Butterfly Works about the progress
of the activities via mail and/or Skype.
5. Each party can terminate this agreement with immediate effect, if and when:
- the other Party is declared bankrupt;
- the other Party is granted suspension of payments; or if
- the other Party fails imputably in the obligations following from this agreement, and neither can
do so within a period of 14 days after having been summoned in writing to meet with these
obligations.
5. All intellectual property rights including the patent rights, the design rights and the copyrights
resulting from this agreement with regard to those commissions specifically developed for
Butterfly Works, belong to Butterfly Works.
6. This agreement is governed by Dutch law.
DELIVERABLES
- Technical frame build in Wordpress
- Connect designs & content to technical frame
- New database
- Installation of website & URL on server
- End product: a well working Wordpress website
PLANNING

The commission shall commence on Tuesday 26th August 2014 and shall expire once the final
report is delivered. The date for the end deliverable is between September 5 and September 7.
