YBhg Datuk Haji Izhar bin Sulaiman, aged 54, a Malaysian, was appointed
as the Group Executive Chairman of KFC Holdings (Malaysia) Bhd on 25
November 1999. He is also the Group Executive Chairman of QSR Brands Bhd.
Formerly a Director of Berjaya Industrial Bhd, Omega Holdings Berhad and
Kejora Harta Bhd and an Executive Chairman of KPS Consortium Bhd, he has
over twenty (20) years of experience in the construction industry having held
directorships in several private companies. YBhg Datuk Haji Izhar bin Sulaiman
has been a Director of Islamic University College of Malaysia since 1 March
2001. He obtained his Diploma and Advanced Diploma in Marketing from Japan
and United States of America respectively.
YBhg Datuk Haji Izhar bin Sulaiman is an Executive Committee Member and
Remuneration Committee Member of KFC Holdings (Malaysia) Bhd. Save as
disclosed in the Directors Shareholding, YBhg Datuk Haji Izhar bin Sulaiman is
not related to any Director and/or major shareholder of the Company and has
no conflict of interest with the Company. He has had no convictions for offences
within the past ten (10) years.
YBhg Datuk Haji Izhar bin Sulaiman attended all four (4) of the Board Meetings
of the Company held during the financial year ended 31 December 2004.
YBhg Datuk Haji Izhar bin Sulaiman, berusia 54 tahun, telah dilantik sebagai Pengerusi Eksekutif
Kumpulan KFC Holdings (Malaysia) Bhd pada 25 November 1999. Beliau juga adalah Pengerusi Eksekutif
Kumpulan QSR Brands Bhd. Beliau yang dahulunya adalah Pengarah Berjaya Industrial Bhd, Omega
Holdings Berhad dan Kejora Harta Bhd serta Pengerusi Eksekutif KPS Consortium Bhd, mempunyai lebih
daripada dua puluh (20) tahun pengalaman di dalam industri pembinaan dan pernah menjawat jawatan
pengarah di dalam beberapa syarikat swasta. YBhg Datuk Haji Izhar bin Sulaiman telah dilantik sebagai
Pengarah Kolej Universiti Islam Malaysia semenjak 1 Mac 2001. Beliau memiliki Diploma dan Diploma
Lanjutan dalam bidang Pemasaran dari negara Jepun dan Amerika.
YBhg Datuk Haji Izhar bin Sulaiman adalah Ahli Jawatankuasa Eksekutif dan Ahli Jawatankuasa Ganjaran
KFC Holdings (Malaysia) Bhd. Kecuali seperti yang dinyatakan dalam Pegangan Saham Para Pengarah,
beliau tidak mempunyai hubungan persaudaraan dengan lain-lain Pengarah dan/atau sebarang pemegang
saham utama Syarikat serta tidak mempunyai konflik kepentingan dengan Syarikat. Beliau juga tidak
pernah disabitkan dengan sebarang kesalahan dalam tempoh sepuluh (10) tahun ini.

YBhg Dato Johari bin Abdul Ghani, aged 41, a Malaysian, was appointed as
the Group Managing Director of KFC Holdings (Malaysia) Bhd on 20 December
2002. He is also the Group Managing Director of QSR Brands Bhd. Prior to this,
he was the Executive Director of KFC Holdings (Malaysia) Bhd (with effect from
4 September 2001). He holds a Diploma in Accountancy from Institute Teknologi
MARA, which he obtained in 1982 and is a Fellow of the Chartered Association
of Certified Accountants in England. He started his career with an international
accounting firm and has held senior positions in various listed and unlisted
companies including that of Chief Executive of an insurance company. He is also
the Group Managing Director of CI Holdings Berhad, a public listed company.

4 September 2001). Beliau memiliki Diploma Perakaunan dari Institut Teknologi MARA yang diperolehi
dalam tahun 1982 dan juga ialah Fellow of the Chartered Association of Certified Accountants di England.
Beliau memulakan kariernya dengan sebuah firma perakaunan antarabangsa dan telah memegang jawatan
kanan di dalam pelbagai syarikat yang tersenarai dan tidak tersenarai termasuk sebagai Ketua Eksekutif
di sebuah syarikat insurans. Beliau juga adalah Pengarah Urusan Kumpulan C.I. Holdings Berhad, sebuah
syarikat awam yang tersenarai.

YBhg Dato Seri Abdul Ghani bin Abdul Aziz, aged 61, a Malaysian, was
appointed as a Director of KFC Holdings (Malaysia) Bhd on 25 November
1999. He serves as Director on the Boards of CI Holdings Berhad, Intan
Utilities Bhd and several private limited companies. Prior to this, he served in
the Royal Malaysian Air Force (RMAF) for thirty-two (32) years and was the
Chief of the RMAF for three and a half (31/2) years before retiring in November
1996. He has a Masters of Arts degree in International Relations and Strategic
Studies from Lancaster University, United Kingdom.
YBhg Dato Seri Abdul Ghani bin Abdul Aziz is a Remuneration Committee Member
of KFC Holdings (Malaysia) Bhd. He is not related to any Director and/or major
shareholder of the Company and has no conflict of interest with the Company. He
has had no convictions for offences within the past ten (10) years.

Holdings (Malaysia) Bhd pada 25 November 1999. Beliau berkhidmat sebagai Pengarah di dalam Lembaga
CI Holdings Berhad, Intan Utilities Bhd dan beberapa buah syarikat sendirian berhad. Sebelum ini beliau
telah berkhidmat di dalam Angkatan Tentera Udara Diraja Malaysia (RMAF) selama tiga puluh dua (32)
tahun dan beliau adalah Panglima TUDM untuk selama tiga setengah (3 1/2) tahun sebelum bersara pada
November 1996. Beliau memiliki Ijazah Sarjana Sastera di dalam Pengajian Strategik dan Hubungan
Antarabangsa dari Universiti Lancaster, United Kingdom.

Bhd. YBhg Dato Seri Abdul Ghani bin Abdul Aziz adalah seorang Pengarah C.I. Holdings Berhad, sebuah
syarikat yang dahulunya merupakan pemegang saham utama Syarikat. Beliau tidak mempunyai konflik
kepentingan dengan syarikat dan tidak pernah disabitkan dengan sebarang kesalahan dalam tempoh

YBhg Dato Abdullah bin Ngah, aged 77, a Malaysian, was appointed to the
Board of KFC Holdings (Malaysia) Bhd on 8 December 1995. He commenced
his career serving in the Terengganu State Civil Service from 1951 to 1959,
until which time he became a Lay Magistrate in Muar and Batu Pahat. In
1961, he proceeded to read law at Lincolns Inn, London where he obtained
the Degree of an Utter Barrister and was called to the English Bar in July
1963. On his return to Malaya, he joined the judicial and legal service and
was appointed to various posts in the service. He was called to the Malayan
Bar in November 1976 while serving in the legal services. He started
practicing as a lawyer only after retirement from government service in July
1982. He is presently a partner in Abdullah, Ooi & Chan, a law firm in which
he was made a partner in 1991.
YBhg Dato Abdullah bin Ngah is an Audit Committee Member, Nomination
Committee Member and Remuneration Committee Member of KFC Holdings
(Malaysia) Bhd. He is not related to any Director and/or major shareholder of
the Company and has no conflict of interest with the Company. He has had
no convictions for offences within the past ten (10) years.
YBhg Dato Abdullah bin Ngah attended all four (4) Board Meetings of
the Company held during the financial year ended 31 December 2004.
YBhg Dato Abdullah bin Ngah, berusia 77 tahun, telah dilantik sebagai ahli Lembaga KFC Holdings (Malaysia)
Bhd pada 8 Disember 1995. Beliau memulakan karier di Jabatan Perkhidmatan Awam Negeri Terengganu dari tahun
1951 hingga 1959, di mana beliau telah menjadi Majistret Awam di Muar dan Batu Pahat. Dalam tahun 1961,
beliau meneruskan pengajian perundangan di Lincolns Inn, London di mana beliau memperolehi Ijazah sebagai
seorang Utter Barrister dan telah dipanggil ke Badan Peguam Inggeris dalam bulan Julai tahun 1963.
Sekembalinya beliau ke Malaya, beliau telah menyertai perkhidmatan perundangan dan kehakiman serta telah
dilantik ke pelbagai jawatan di dalam perkhidmatan tersebut. Beliau telah dipanggil ke Badan Peguam Malaya pada
November 1976 semasa berkhidmat di dalam perkhidmatan perundangan. Beliau memulakan kariernya sebagai
peguam hanya selepas bersara dari perkhidmatan kerajaan pada Julai 1982. Pada masa ini beliau adalah rakan di
dalam firma guaman Abdullah, Ooi dan Chan, di mana beliau telah dilantik sebagai rakan dalam tahun 1991.
YBhg Dato Abdullah bin Ngah adalah Ahli Jawatankuasa Audit, Ahli Jawatankuasa Pencalonan dan Ahli
Jawatankuasa Ganjaran KFC Holdings (Malaysia) Bhd. Beliau tidak mempunyai hubungan persaudaraan dengan lainlain Pengarah dan/atau sebarang pemegang saham kepentingan dengan Syarikat. Beliau juga tidak pernah

YBhg Dato Mohd Salleh bin Haji Hashim, aged 58, a Malaysian, was
appointed to the Board of KFC Holdings (Malaysia) Bhd on 14 October 1998. He
graduated with a Bachelor of Economics (Analytical) degree from the University
of Malaya in 1970 and has been involved with the Perak-Hanjoong Cement plant
project since its conception. Prior to joining Perak-Hanjoong Simen Sdn Bhd, he
was with the Perak State Development Corporation for about ten (10) years,
where he held various senior positions. He is presently also the Managing
Director of Gopeng Berhad a public company listed on the Main Board of the
Bursa Malaysia Securities Berhad. He is also the Managing Director of PerakHanjoong Simen Sdn Bhd.
YBhg Dato Mohd Salleh bin Haji Hashim is the Chairman of the Audit Committee
of KFC Holdings (Malaysia) Bhd. He is also the Nomination Committee Member
of KFC Holdings (Malaysia) Bhd. He is not related to any Director and/or major
shareholder of the Company and has no conflict of interest with the Company.
He has had no convictions for offences within the past ten (10) years.

PerakHanjoong sejak penubuhannya. Sebelum menyertai Perak-Hanjoong Simen Sdn Bhd, beliau telah
berkhidmat dengan Perbadanan Kemajuan Negeri Perak selama sepuluh (10) tahun, di mana beliau telah
menjawat pelbagai jawatan kanan . Pada masa ini beliau juga adalah Pengarah Urusan Gopeng Berhad,
sebuah syarikat awam yang disenaraikan di Papan Utama, Bursa Malaysia Securities Berhad. Beliau juga
adalah Pengarah Urusan PerakHanjoong Simen Sdn Bhd.

Puan Rita a/p Benoy Bushon, aged 44, a Malaysian, was appointed to
the Board of KFC Holdings (Malaysia) Bhd on 7 February 2003. She
graduated with a Honours Degree in Economics Statistics from the
University Kebangsaan Malaysia in 1984 and Master of Business
Administration, Brunel University, West London, England in 1993. She
joined Employees Provident Fund (EPF) in 1984 and has served in
several EPF departments. Her current designation in EPF is General
Manager of Industry & Securities Division, Investment Research and
Supervision Department. Currently she is also a board member of Badan
Pengawas Pemegang Saham Minoriti Berhad and Land & General Berhad
and in the audit board committee of Land & General Berhad.
Puan Rita a/p Benoy Bushon is the Nomination Committee Member of KFC
Holdings (Malaysia) Bhd. Puan Rita a/p Benoy Bushon is the board
representative of Employees Provident Fund, a major shareholder of the
Company. She is not related to any Director of the Company and has no

Universiti Brunel, West London, England dalam tahun 1993. Beliau menyertai Kumpulan Wang Simpanan
Pekerja (KWSP) dalam tahun 1984 dan telah berkhidmat di dalam pelbagai jabatan di KWSP. Jawatan beliau
pada masa ini di KWSP ialah sebagai Pengurus Besar Bahagian Industri & Sekuriti, Jabatan Kajian Pelaburan
dan Pengawasan. Beliau pada masa ini juga adalah ahli Lembaga Badan Pengawas Pemegang Saham Minoriti
Berhad dan Land & General Berhad serta ahli jawatankuasa lembaga audit Land & General Berhad.

Selaras dengan syarat-syarat Kod, YBhg Dato Mohd Salleh bin Haji
Hashim, selaku Pengerusi Jawatankuasa Audit, telah dilantik
sebagai Pengarah Bebas Bukan Eksekutif Kanan bagi menangani
isu-isu berkaitan dengan Syarikat yang tidak dapat ditangani oleh
Ahli EXCO.

PEMBEKALAN MAKLUMAT
Mesyuarat Pengurusan diadakan sekali sebulan di mana Pengarah
Urusan Kumpulan akan diberikan penerangan ringkas oleh pihak
pengurusan tentang kesemua aspek operasi Kumpulan. Semasa
mesyuarat, Pengarah Urusan Kumpulan akan diberi maklumat
mengenai kemajuan unit-unit yang beroperasi, iaitu aktiviti,
prestasi, projek-projek yang dirancangkan dan masalah yang
timbul, bagi membolehkan beliau menyertai proses membuat
keputusan dan menyelesaikan masalah.
Operations Meetings are held once a month during which the Group
Managing Director will be briefed by management on all operational
aspects of the Group. During the meetings, the Group Managing
Director will be furnished with information on the progress of the
operating units ie activities, performance, planned projects and
problems arising so as to enable the former to participate in
problem solving and decision-making process.

Untuk mengenal pasti dan mencadangkan kepada Lembaga caloncalon untuk jawatan Pengarah Syarikat
Selaras dengan Tataurusan Syarikat, satu pertiga daripada Pengarahpengarah dimestikan bersara pada setiap Mesyuarat Agung Tahunan
dan Pengarah yang akan bersara layak untuk dilantik semula. Manamana Pengarah yang dilantik dalam tahun itu juga tertakluk untuk
bersara dan dilantik semula pada Mesyuarat Agung Tahunan yang
akan datang berikutan dengan perlantikan mereka. Para Pengarah
yang berusia lebih daripada tujuh puluh tahun dikehendaki
mencalonkan diri mereka untuk perlantikan semula secara tahunan
selaras dengan seksyen 129(6) Akta Syarikat 1965.

CONCLUSION
The Board, in fulfilling its responsibilities, has ensured that the Group
has a proper risk management and control framework that is necessary
to achieve a sound system of internal control. The Board is assured that
this system of internal control, which is reviewed on an ongoing basis,
is adequate for the Group to manage its risks and to achieve its
business objectives.
KESIMPULAN
Di dalam memenuhi tanggungjawabnya, pihak Lembaga telah
memastikan bahawa Kumpulan mempunyai rangka kerja pengurusan
risiko dan kawalan yang sewajarnya untuk mencapai tahap sistem

The Economy
On the domestic front, the Malaysian economy was well established
in 2004. The country registered a robust growth of 7.1% for the
year (2003:5.3%), the fastest in four years and stronger than
market expectations.
The vigorous domestic momentum was also largely fueled by the
buoyant broad-based growth across the sectors, particularly in
manufacturing and services. Economic fundamentals such as inflation,
unemployment, interest rate and disposable income were also at their
best since the Asian financial crisis in 1997/98.
However, the poultry and its related retail industry growth was
dampened by the bird flu epidemic in the Asian region in the first
quarter and the outbreak in Kelantan in August 2004. The swift
preventive measures taken by the Government were able to contain its
outbreak from spreading to other states. In addition, the aggressive
advertising and promotions from the Quick Service Restaurant (QSR)
division managed to cushion its adverse impact to the Groups domestic
performance.
Across the Tebrau Strait, the Singapore economy expanded 9.1% in
the first three quarters. The domestic expansion was supported by
the strong external demand for Singapores exports in tandem
with global economic growth this year. Barring any unforeseen
circumstances, the island countrys economic growth is expected to
hover between 8.0-8.5%.
Review of Performance
The Group achieved a higher revenue of RM1.41 billion in 2004, an
increase of 2.2% over previous years RM1.38 billion. The pre-tax profit
for the year, however, was lower, i.e. RM65.7 million against RM66.1
million recorded in the corresponding period of previous year.
The revenue growth was attributed to the effectiveness of the Groups
effort in countering the negative impact of the avian flu scare.
Aggressive advertising and promotions were launched to emphasize the
safety of our products during the period. In addition, new product
introductions and value promotions provided impetus to sales growth
during the post-bird flu period.
Ekonomi
Ekonomi dalam negara mantap berkembang dalam tahun 2004. Keluaran
Dalam Negeri Kasar (KDNK) berkembang pesat sebanyak 7.1% dalam
tahun 2004 (2003:5.3%), kadar pertumbuhan yang pesat dan
menjangkau jangkaan pasaran.
Momentum ekonomi tempatan dijana oleh pertumbuhan pesat di semua
sektor, terutamanya sektor pembuatan dan perkhidmatan. Petunjukpetunjuk ekonomi seperti inflasi, kadar pengangguran, kadar faedah, dan
pendapatan boleh guna juga berada pada paras terbaik sejak krisis
kewangan Asia pada tahun 1997/98.
Walau bagaimanapun, pertumbuhan industri penternakan ayam dan
sektor runcit yang berkaitan dengannya dijejaskan oleh jangkitan wabak
selsema burung di rantau Asia dalam suku pertama dan kecetusan
wabak ini di Kelantan dalam bulan Ogos 2004. Namun, tindakan segera
pencegahan yang diambil oleh kerajaan berjaya mengawalnya daripada
merebak ke negeri-negeri lain. Tambahan lagi, aktiviti pengiklanan dan
promosi yang rancak daripada bahagian Operasi Restoran berjaya
mengurangkan impaknya terhadap prestasi Kumpulan.
Di seberang Selat Tebrau, ekonomi Singapura berkembang sebanyak
9.1% dalam tiga suku pertama. Pertumbuhan ini disokong oleh
permintaan luaran yang kukuh untuk eksport Singapura sejajar dengan
perkembangan ekonomi dunia pada tahun ini. Melainkan berlakunya
sebarang perkembangan yang tidak diduga, pertumbuhan ekonomi
negara pulau ini diramal dalam lingkungan 8.0-8.5%.
Ulasan Prestasi
Kumpulan mencapai perolehan sebanyak RM1.41 bilion dalam tahun
2004, memperlihatkan peningkatan sebanyak 2.2% berbanding dengan
RM1.38 bilion dalam tahun sebelumnya. Walau bagaimanapun, untung
sebelum cukai bagi tahun kewangan adalah lebih rendah, iaitu sebanyak
RM65.7 juta berbanding dengan RM66.1 juta dalam tempoh yang sama
tahun kewangan lepas.
Pertumbuhan ini dicapai melalui keberkesanan usaha Kumpulan
menbendung impak negatif kebimbangan terhadap wabak selsema
burung. Pengiklanan dan promosi yang agresif dilancarkan semasa krisis
wabak ini untuk menekankan aspek keselamatan produk. Tambahan
lagi, pelancaran produk baru dan promosi nilai turut memberi daya
pendorong kepada pertumbuhan jualan selepas berakhirnya wabak
burung selsema.

KFC Malaysia introduced KFC Tom Yam Crunch, Satay Burger and
Popcorn Chicken Shake, Hot & Spicy Pocket Persia and Garden Salad
during the year. Adding more varieties into its menu, KFC Singapore
launched Shrooms Burger, GoGo Sandwich, Extra Tasty and Crispy
Chicken, Singapura Satay Burger, Tom Yam Chicken and Popcorn Shake.
Its Ayamas division launched Ayamas Lemon Grass Crispy Fried Chicken,
Ayamas Light Crust Premium Cut, Spicy Siam Roaster, Frank N Furter
and 2 new premium frankfurters, i.e. Ayamas Premium Garlic and Italian
Frankfurters. Its Rasa Ayamas restaurants also added 2 new varieties
into its menu with the introduction of Arabian Delight and Roaster Wrap.
KFC Singapore continued to perform better despite difficult trading
conditions amidst the gloomy environment caused by the avian flu
outbreak in the region. Aggressive marketing campaign, promotions and
introduction of new products managed to garner higher patronage at the
restaurants and build consumers confidence with regard to product
safety. Concerted efforts in continuous improvement increased
productivity and reduced costs. The strategy proved timely and effective
and resulted in favourable operating performance. KFC Singapore
registered 4.4% increase in sales with substantial improvement in profits.
The strong marketing, advertising and promotions campaigns from KFC
had provided synergistic inflows to the Ancillary and Integrated Poultry
sectors in 2004. As a result, all key operating companies enjoyed
reasonable sales growth even though the Group was operating in
unfavorable trading environment due to the bird flu scare. However, the
substantial hike in raw material costs, especially corn and soya bean
meal, affected the profitability of the Feedmill division. The division
registered a loss of RM28.3 million which affected the overall financial
performance of the Group during the year under review.

Corporate Proposals
The corporate proposals which were announced to Bursa Securities in
December 2002 involving the reorganisation scheme affecting C.I.
Holdings Berhad, Ayamas Food Corporation and the Company had been
successfully completed on 1 April 2004 while the ROS/Private Placement
was completed on 3 June 2004.
Dividends
The Board of Directors has recommended a final dividend of 10 sen less
tax of 28% per ordinary share in respect of the financial year ended 31
December 2004, subject to approval by the shareholders at the
forthcoming Annual General Meeting.
The Company has on 19 August 2004 declared an interim dividend of 4
sen less tax of 28% and subject to shareholders approval for the final
dividend, the total dividend declared by the Company for the financial
year ended 31 December 2004 would represent 14% (2003: 12%) less
tax of 28% per ordinary share.
Prospects
With the continued strength in 2004, the Malaysian economy is expected
to remain strong in 2005 with a forecasted GDP growth of about 6%.
This is achievable given the strong existing fundamentals, low interest
regime and prudent fiscal policy of the Government.
Cadangan Korporat
Cadangan korporat seperti yang diumumkan kepada Bursa Securities
dalam Disember 2002 yang melibatkan penyusunan semula C.I.
Holdings Berhad, Ayamas Food Corporation dan Syarikat telah berjaya
disempurnakan pada 1 April 2004 sementara Tawaran Jualan
Terbatas/penempatan persendirian disempurnakan pada 3 Jun 2004.
Dividen
Lembaga Pengarah mengesyorkan dividen terakhir 10 sen ditolak 28%
cukai sesaham biasa bagi tahun kewangan berakhir 31 Disember 2004,
tertakluk kepada kelulusan para pemegang saham pada Mesyuarat
Agung Tahunan akan datang.
Pada 19 Ogos 2004, Syarikat telah mengumumkan dividen interim 4 sen
ditolak 28% cukai dan tertakluk kepada kelulusan para pemegang
saham untuk dividen terakhir, jumlah dividen yang diumumkan oleh
Syarikat bagi tahun kewangan berakhir 31 Disember 2004 mewakili
14% (2003:12%) ditolak 28% cukai sesaham biasa.
Prospek
Berlandaskan kekukuhan ekonomi yang mantap dalam 2004, ekonomi
Malaysia dijangka kekal teguh dalam tahun 2005 dengan unjuran KDNK
lebih kurang pada 6%. Ini boleh dicapai berdasarkan asas ekonomi
semasa yang kukuh, kadar faedah yang rendah dan polisi fiskal kerajaan
yang cermat.

The strong domestic economic performance of the country during the year had
benefited the division. When the fearsome avian flu scare struck in the first
quarter, the division responded swiftly with aggressive advertising and promotion
campaign to restore consumers confidence on the safety of poultry products. In
addition, it also launched more effective value promotions and new product
variants to drive transactions during post-bird flu period. These measures proved
effective when its turnover began to recover from the second quarter onwards.
The year also saw the introduction of 5 new excitements for its customersTom
Yam Crunch, Hot & Spicy Pocket of Persia, Satay Burger, Popcorn Chicken Shake
and Garden Salad.
While Tom Yam Crunch, Hot & Spicy Pocket of Persia, Satay Burger were created
to meet the distinctive Malaysians taste profile which prefer hot and spicy
flavours, the Popcorn Chicken Shake targets the teens and younger adults,
whereas with the introduction of Garden Salad, the health conscious consumers
had their choice of healthier meals at KFC restaurants.
KFC Malaysia mencapai perolehan sebanyak RM750.0 juta dalam tahun 2004,
mempamerkan peningkatan tinggi sebanyak 8% berbanding dengan RM694.5 juta
dalam tahun sebelumnya. Ia mencatatkan untung sebelum cukai sebanyak
RM42.3 juta berbanding dengan RM52.0 juta dalam tahun kewangan lepas.
Untung yang lebih rendah ini disebabkan oleh kos bahan mentah yang lebih tinggi
seperti jagung, kacang soya dan makanan ikan.
Prestasi ekonomi domestik yang kukuh sepanjang tahun memanfaatkan KFC.
Apabila kebimbangan terhadap wabak selsema burung menular pada suku
pertama, KFC bertindak segera dengan mengadakan kempen pengiklanan dan
promosi untuk memulihkan keyakinan pengguna terhadap keselamatan produk
ternakan kami. Tambahan lagi, Bahagian melancarkan lebih promosi nilai yang
efektif dan produk baru untuk menjana lebih urus niaga selepas berakhirnya
selsema burung. Semua langkah ini terbukti berkesan apabila jualan mulai pulih
sejak suku kedua dan seterusnya.
In addition, constant demand from customers who wish to savour the great tastes
of Original Recipe and Hot & Spicy flavour had led to the introduction of a
promotional bundle in January 2004, aptly named Twiin Bucket, which included
both flavours.
Following the success of the Twiin Bucket, the Mini Bucket Combo was
reintroduced with a new design for its mini bucket tub. Customers will now have
a new mini bucket design to add to their collection.
Sementara Tom Yam Crunch, Hot & Spicy Pocket Persia, Satay Burger dicipta
untuk menepati cita rasa unik warga Malaysia yang menggemarkan rasa pedas
dan berempah, Popcorn Chicken Shake pula menyasar kepada golongan remaja
dan muda. Garden Salad pula diperkenalkan untuk menawarkan pilihan hidangan
yang sihat di restoran KFC untuk pengguna yang peka terhadap kesihatan.
Selain itu, permintaan berterusan daripada pelanggan-pelanggan yang ingin
menikmati keenakan ramuan Original Recipe dan Hot & Spicy telah membawa
kepada pelancaran promosi dalam Januari 2004 yang dinamakan sebagai Twiin
Bucket yang menawarkan kedua-dua citarasa.
Berikutan kejayaan Twiin Bucket, Mini Bucket Combo telah diketengahkan semula

Chicky Club marked its 10th anniversary in 2004. To celebrate this milestone, a
membership pack was introduced with a new image themed Chicky Carnival. The
pack contained a range of stationery that carried the characters of Chicky and
Friends, food vouchers and a new membership card.
With a brand new look, Chicky and his friendsAce the Nugget, Chippy the Fun
Fries and Adora the Sundae Ice Creamhave triggered a rise in new
memberships. Chicky Carnival was the main Kids event of the year. Held on
27 and 28 November at the Exhibition Centre, MidValley Megamall, the
celebration welcomed over 20,000 visitors.
The division continued to expand in 2004. With the opening of 15 more new
outlets during the year, relocation of 3 and closure of 2, KFC ended the year with
a total of 350 outlets in Malaysia.
In 2005, the division will continue to differentiate its brand positioning to enhance
its competitive advantage. Focus will be given on expansion of its stores,
introduction of more innovative new products and consumer focused marketing
programmes. In addition, the division will continue to enhance its operational
efficiencies through staff training and development. It also aims at improving
frontline capability to meet the changing demands and challenges in operating
quick service restaurants. With these strategies, the division envisions a
sustainable growth in year 2005.
Chicky Club menyambut ulang tahun ke-10 nya pada tahun 2004. Bagi meraikan
tahun yang penuh bermakna ini, pek keahlian ahil yang baru telah diperkenalkan
dengan imej baru yang bertemakan Karnival Chicky. Pek ini mengandungi aneka
peralatan menulis yang dihiasi oleh karakter-karakter Chicky and Friends, baucar
makanan dan sekeping kad ahli baru.
Dengan penampilan baru ini, Chicky dan rakan-rakannya, iaitu Ace the Nugget,
Chippy the Fun Fries dan Adora the Sundae Ice Cream, berjaya menarik
lebih ramai ahli baru. Karnival Chicky ialah acara utama untuk kanak-kanak
dalam tahun ini. Diadakan pada 27 dan 28 November di Dewan Pameran,
MidValley Megamall, sambutan mega 2 hari ini menarik kunjungan lebih daripada
20,000 pengunjung.
KFC terus mengembangkan rangkaian restorannya dalam 2004. Dengan
pembukaan 15 cawangan baru sepanjang tahun, penempatan semula 3
cawangan dan penutupan 2 cawangan, KFC menutup tirai tahun kewangan
dengan sejumlah 350 cawangan di seluruh Malaysia.

jenamanya bagi meningkatkan kelebihan persaingan. Fokus akan diberikan
kepada pengembangan rangkaian restoran, pengenalan lebih produk-produk baru
yang inovatif dan program pemasaran berfokuskan pengguna. Tambahan lagi, KFC
akan terus memperbaiki kecekapan operasi melalui latihan dan pembangunan
kakitangan. Ia juga bertujuan meningkatkan keupayaan barisan depan dalam
menghadapi perubahan permintaan dan cabaran semasa mengendalikan restoran.
Dengan strategi-strategi ini, KFC menjangkakan pertumbuhan yang berterusan

KFC Singapore
Despite the bird flu scare in the region, KFC Singapore recorded a turnover of
RM245.7 million (S$109.1 million), up 7.8% or RM17.8 million (S$4.6 million)
from 2003.
The improvement in performance was multifaceted, but was mainly attributed to
aggressive marketing campaigns, improved labour efficiencies and other direct
operating expenses, and the closure of a few unprofitable restaurants.
With the opening of 5 new outlets, closure of 4 and 1 relocation during the year,
KFC Singapore ended the year with a total of 70 outlets in the country.
KFC Singapura
Meskipun kebimbangan terhadap selsema burung menular, KFC Singapura
mencatatkan perolehan sebanyak RM245.7 juta (S$109.1 million), naik 7.8% atau
RM17.8 juta (S$4.6 juta) dalam tahun 2003.
KFC Singapore kicked off the year with the Reunion Family Feast in conjunction
with the Chinese New Year. The value meal promotion featured chicken-on-bone
(COB), snacks and side dishes that came with a specially limited edition bucket.
To counter the negating effects of avian flu, KFC Singapore initiated its Trust KFC
Campaign that included TV commercials, press and in-store communications to
reassure consumers that our chicken was safe for consumption. In February,
Shroom Burger, a delicious burger with topping of juicy mushrooms over golden
chicken patty in a soft bun, was launched at a wow price.
For the image and figure conscious female, GoGo Sandwich was introduced in
April. The sandwich came in soft flat bread with more vegetables enveloping a
crispy strip. It offered 2 variantsPeking and Caesar, catering to both eastern
and western taste buds.
The product that facilitated the recovery for KFC Singapore was the promotional
launch of a new COB variantExtra Tasty and Crispy Chicken (ETC). Marinated
with Basil and Pepper seasoning, ETC is not spicy but crispy. It was introduced
in May backed by a free handphone joint promotion with Siemens and M1 in
June.
KFC Singapura memulakan tahun ini dengan Reunion Family Feast sempena
perayaan Tahun Baru Cina. Promosi hidangan bernilai ini mengenengahkan daging
ayam bertulang (COB), snek dan hidangan sampingan yang didatangkan dalam
bekas edisi terhad yang istimewa.
Bagi memerangi kesan negatif selsema burung, KFC Singapura melancarkan Trust
KFC Campaign yang meliputi iklan TV, akhbar dan komunikasi dalam kedai bagi
memberi lebih keyakinan kepada pelanggan bahawa daging ayam
kami adalah selamat dimakan. Dalam Februari, Shroom Burger, iaitu pilihan baru
burger enak yang dihidangkan dengan cendawan sebagai hiasan atas kepingan
daging ayam keemasan dan roti yang lembut diperkenalkan pada harga yang
berpatutan.
Bagi golongan wanita yang peka dengan imej dan bentuk badan mereka, GoGo
Sandwich diperkenalkan dalam bulan April. Sandwich ini disajikan dalam roti
leper yang lembut dengan kepingan daging ayam dibaluti sayur-sayuran.
Ia menawarkan dua varian, iaitu Peking dan Caesar untuk menepati citarasa timur
dan barat.
Produk yang merangsang pemulihan prestasi KFC Singapura ialah pelancaran
promosi varian COB baru, iaitu Extra Tasty dan Crispy Chicken (ETC). Diperap
dengan Selasih dan Lada Hitam, ETC bukan sahaja pedas berempah, malah
rangup dimakan. Ia diperkenalkan dalam Mei dan disokong oleh promosi usaha
sama yang menawarkan telefon mudah alih Siemen dan M1 dalam Jun.

To give consumers both value and variety, the Ultimate Chicken Meal was
introduced with KFCs signature products COB, Colonel Burger, Popcorn Chicken
and Pepsi in a specially designed box. This promotion provided further boost to
the momentum for recovery.
In July, Singapura Satay Burger, a local flavour burger, made its debut in
conjunction with Singapores National Day celebration.
A five-star campaign Hot & Crispy Thematic Campaign and Coupon promotion
was launched in August using extensive TV, outdoor and in-store communications.
It drove record sales, first time ever surpassing the S$10 million mark.
In addition, a Thai inspired variant, the Tom Yam Chicken added more oriental
taste to its menu in the last quarter of 2004.
In November 2004, Popcorn Shake gave the ever-popular Popcorn Chicken a new
fun twist with 2 exciting seasoningTom Yam and Garlic Pepper, packed in an
attractive shaker cup. Made available in Buddy Meal, Popcorn Shake crowned the
year with the highest monthly sales at S$10.6 million, surpassing its record sales
made in August.

Ditawarkan dalam Buddy Meal, Popcorn Shake menyumbang kepada jualan
bulanan tertinggi pada S$10.6 juta, melebihi catatan dalam bulan Ogos.
To add on to its popular Ayamas Crispy Fried Chicken, Ayamas Lemon Grass
Crispy Fried Chicken was launched in November 2004. It has a strong Lemon
Grass taste with a light spicy note.
Tahun ini menyaksikan banyak pelancaran produk baru daripada Kedai Ayamas.
Demi menambahkan 3 pilihan frankfurternya, Ayamas memperkenalkan 2 varian
baru dalam kategori ini, iaitu Ayamas Premium Garlic Frankfurters dan Ayamas
Premium Italian Frankfurters. Inti Bawang Putih menawarkan rasa yang jelas
berbeza di mana sosejnya diisi dengan bawang putih yang dipotong dadu
sementara sosej varian Itali pula diadunkan dengan rempah Itali yang unik.
Bagi memperhebatkan populariti Ayamas Crispy Fried Chicken, Ayamas Lemon
Grass Crispy Fried Chicken diperkenalkan dalam November 2004. Ia kaya dengan

The division also introduced its new premium range, i.e. Ayamas Light Crust
Premium Cut. Available in Original or Hot & Spicy, this new product targets at
discerning consumers who prefer a healthier choice. It is skinless, crispy thin
breaded and gives a juicy flavour with mouthful of meaty bites.
Kedai Ayamas also launched Spicy Siam Roaster to capture the taste buds of
oriental flavour lovers. Frank N Furter gave a satisfying bite to big appetites with
its monster size chicken meat sausage.
Promotional activities continued to improve sales. Its Ayamas Golden Nuggets
Extra 100gm Bonus Pack increased average monthly sales by 22% during the
promotion period.
During the year, the brand continued to make inroad into Malaysian homes and
kitchens with a special cook show at TV3 hosted by celebrity chef, Chef Wan.
EmmSedapnya Bersama Ayamas featured 13 episodes and was aired on
Saturday, 7.30pm throughout the whole fasting month. Chef Wan demonstrated a
total of 26 Ayamas recipes using 11 different Ayamas products.

Bagi mengurangkan risiko hutang lapuk, bahagian ini telah menghentikan jualan
makanan ternakan di pasaran terbuka mulai bulan Mac. Kos pengangkutan yang
melambung dan kekurangan bekalan bahan mentah telah meningkatkan kos
bahan mentah secara mendadak.
Walau bagaimanapun, ketidaktentuan sama ada wabak avian influenza akan
muncul semula di rantau Asia dijangka akan mempengaruhi jualan. Harga minyak
yang masih tinggi dan kos pembungkusan yang semakin meningkat boleh
mempengaruhi prestasi bahagian dalam 2005. Justeru itu, bahagian akan
mengekalkan kuantiti jualannya untuk meminimumkan pendedahan risikonya
dalam tahun akan datang.
Bahagian Ladang Ternakan dan Penetasan
To reduce risk of bad debts, the division had stopped open market feed sales with
effect from March. The escalating freight rates and shortage in supply of raw
materials had increased the raw material costs substantially.
However, the uncertainty over the re-emergence of the avian influenza in Asia is
expected to affect sales. The still-high oil prices and increasing packaging cost
may also affect the divisions performance in 2005. Hence, the division will
maintain its sales tonnage to minimize risk exposure in the year ahead.
Breeder Farms and Hatchery
As the support centre of the Integrated Poultry division, the Breeder Farms and
Hatchery division achieved total revenue of RM61.7 million in 2004 (2003:
RM58.9 million). This growth of 4.8%, or approximately RM2.8 million, was
contributed by the higher production of hatching eggs and day-old-chicks.
The commission of additional 4 new setters/hatchers in the second quarter of
2004 had enabled its hatchery to meet all hatching demands. In turn, this helped
reduce outsourcing costs and improve profitability. The hatchery now runs at 28
setters/hatchers with a total production capacity of approximately 38 million dayold chicks per year.
Currently the division owns 4 breeder farms located at Bangi, Linggi, Alor Gajah
and Tampin, with an estimated total production capacity of 48 million hatching
eggs per year.
Stability in day-old chicks prices supported the better performance. The division
was not affected by the open market prices as all day-old-chicks produced were
supplied to Ayamas Food Corporation Bhds (AFCB) contract farmers at a fixed
price.
The division will continue to supply all day-old-chicks to AFCBs contract farmers
in 2005. With the Salak Tinggi hatchery being self-sufficient, it helps reduce the
divisions dependency on external hatchery as well as keeping operating costs
low. Also, the Mantin broiler farm will be operating with a full 8-house capacity
as in 2004.

ANCILLARY OPERATIONS
Bakery
The Bakery Division achieved a revenue of RM12.4 million with an operating
profit of RM0.9 million in 2004. This represents a respective growth of 17% and
5% respectively over 2003.
Besides revenue generating promotional activities to boost bun sales, the higher
revenue was also contributed by nationwide supplies of Original Recipe (OR) and
Hot & Spicy (HS) flour blends to KFC restaurants in 2004.
Commissary
The Commissary Division supplies vegetables, salads and coleslaw to KFC and
Pizza Hut restaurants.
It registered higher revenue for the year as a result of increased demand from
the KFC restaurants and the introduction of Garden Salad in the third quarter of
2004. However, the surge in raw material prices, especially the egg powder and
soya oil, dampened the divisions profitability.
As a service centre in the Group, the division will continue to play an important
role to support the KFC and Pizza Hut chains.
Region Food Industries
The year 2004 was an eventful year for Region Food Industries Sdn Bhd. The
division successfully relocated and consolidated its operations in the new factory
in Port Klang.
Nonetheless, the division was able to maintain a healthy growth of 6.5% with a
turnover of RM38 million as compared with RM36 million in the previous year.
The growth was mainly attributed to increased inter-Group businesses that
accounted for 46% of turnover, with the balance coming from open market sales
and exports. The open market segment registered a strong double-digit growth of
20% in the year. This also indicates that its Life brand has increased its market
penetration with more brand awareness and acceptance. During the year,
production surged by 10% over the previous year, producing a total of 10,300
metric tonnes of sauces and seasoning-mix.
OPERASI SAMPINGAN
Kilang Roti
Bahagian Kilang Roti mencapai hasil sebanyak RM12.4 juta dengan untung
operasi sebanyak RM0.9 juta dalam tahun 2004. Ini mencerminkan pertumbuhan
sebanyak 17% dan 5% masing-masing berbanding dengan tahun 2003.
Selain daripada aktiviti promosi yang menjana pertumbuhan jualan roti, hasil yang
lebih tinggi ini juga disumbangkan oleh pembekalan adunan tepung Original
Recipe (OR) dan Hot & Spicy kepada rangkaian restoran KFC di seluruh negara.
Komisari
Bahagian Komisari membekalkan sayur-sayuran, salad, coleslaw kepada restoranrestoran KFC dan Pizza Hut.
Ia mencatatkan hasil yang lebih tinggi dalam tahun kewangan ini kerana
peningkatan permintaan daripada restoran-restoran KFC dan pengenalan Garden
Salad dalam suku ketiga. Walau bagaimanapun, harga bahan mentah yang
melambung, terutamanya tepung, telur dan minyak soya melembapkan
keuntungan bahagian.
Sebagai sebuah pusat penyokong, bahagian akan terus memainkan peranan
penting untuk menyokong rangkaian KFC dan Pizza Hut.
Region Food Industries
Tahun ini merupakan suatu tahun yang penuh bermakna bagi Region Food
Industries Sdn Bhd. Bahagian ini berjaya menempatkan semula dan
menggabungkan operasinya dalam kilang baru di Pelabuhan Klang.
Walau bagaimanapun, bahagian ini berupaya mengekalkan pertumbuhan yang
sihat pada kadar 6.5% dengan perolehan sebanyak RM38 juta berbanding dengan
RM36 juta dalam tahun lepas. Pertumbuhan ini terutamanya disumbangkan oleh
pertambahan perniagaan antara Kumpulan yang menyumbang sehingga 46%
perolehan dengan bakinya datang daripada jualan di pasaran terbuka dan
eksport. Segmen pasaran terbuka mencatatkan pertumbuhan kukuh dwiangka
sebanyak 20% dalam tahun ini. Ini juga menunjukkan jenama Life telah
mendalamkan penebusan pasarannya dengan lebih kesedaran dan penerimaan
jenama. Dalam tahun kewangan, pengeluaran meningkat 10% berbanding tahun
lepas dengan pengeluaran sejumlah 10,300 tan metrik sos dan perasa.

As the focus of the division was placed on consolidating and improving operations
and production efficiency in the new factory, no new product was launched during
the year. The new factory now boasts a total capacity of 58 metric tonnes of
sauces based on 8-hour production with 2 bottling packaging lines
In 2005, the division will continue to strengthen the Lifes brand equity, increase
its market presence and visibility. A new revised label image for two core
products, Chilli Sauce and Tomato Ketchup, will be launched in early 2005. The
new label, which carries nutritional information, will be the first in the industry. It
aims to provide customers with value added health information. Below-the-line
marketing, such as recipe advertisements in magazine, will remain important in
the divisions marketing campaign.
On the operation front, the division is now accredited with ISO9001, Halal and
SIRIM certifications. In 2005, it will continue to complete the Hazard Analysis
Critical Control Point System (HACCP) and target to obtain certifications from the
Ministry of Health in the first quarter.

Dalam tahun 2004, KFC Malaysia telah menyediakan sejumlah 1836 peluang
latihan kepada pekerja kami, iaitu mencapai 75% daripada 2427 peluang latihan
yang dirancang untuk sepanjang tahun. Skop latihan dan pembangunan meliputi
kemahiran teknikal, penyeliaan dan pengurusan. Bagi peserta yang menyertai
latihan teknikal, mereka menjalani, antara lain, program-program seperti
penyediaan makanan dan perkhidmatan, khidmat pelanggan, penjagaan kebersihan
makanan, penggunaan peralatan elektrik dan kemahiran berkaitan komputer.
In 2004, KFC Malaysia provided a total of 1836 training places for our employees,
achieving 75% of 2427 training places planned for the whole year. The scope
of training and development covered both technical as well as supervisory
and management skills. For participants attending technical training, they
underwent, among others, programs such as food preparation and service,
customer service, maintaining food hygiene, application of electrical products and
computer-related skills.
Selected participants were also exposed to theories and practices in management
to enhance their role as supervisors and managers. Courses such as creative
problem solving, planning and organizing, communication, recruitment and
performance appraisal, motivation, leadership and team building were provided.
In addition, when necessary, our employees also attended external or public
courses to keep themselves abreast with the latest development in the market.
Workshops, seminars, conferences on franchising, ISO accreditation and practices,
Halal food assurance, marketing and branding, are some of the programmes
which were attended by our employees.
In Singapore, the Group also managed to renew the People Developer Standard
status for the period from 1 April 2003 to 31 March 2006. The Standard is
awarded to organization that invests in its people and has a comprehensive
system for developing staff.
The Ministry of Manpower implemented a new S-pass category in July to
increase flexibility for admitting foreign skilled manpower at the middle level. In
its effort to promote population growth and employees welfare, the Singaporean
Government, had legislated and extended Maternity Leave to 12 weeks and an
entitlement of maximum 2 days Childcare Leave per year for parent with child
aged 7 years old or below.

COMMUNITY RELATIONS
Charitable Activities
To impart some added joy for Mothers Day, KFC presented mothers of patients
at University Malaya Medical Centres Pediatric Ward in Petaling Jaya with cake,
chocolates, flowers, blankets, thermos mugs and Mothers Day cards. In addition,
patients received a newly refurbished Playland with new play structures. KFC also
gave away vouchers and premium items to the KFC Colouring Competition
organized the week before.
June 2004 saw KFC Malaysia donating RM320,000 worth of books to the Ministry
of Education for distribution to primary schools in the country. The handover of
30,000 books was officiated by Director General of Education, Malaysia.
KFCH sponsored the International Childrens Day 2004 (ICD) celebrations at the
Dewan Millennium, Kepala Batas, Penang on 9 October. This marked the
thirteenth year the Group has had the privilege of being the main sponsor of this
national event. Themed Love your childrenthey will inherit our countrys
prosperity, the celebration was organised by the Ministry of Women, Family and
Community Development. More than 4,300 children took part, including the
physically disadvantaged and those from underprivileged backgrounds, from all 15
states and Federal Territories in Malaysia. The Governor of Penang, Tun Dato Seri
Haji Abdul Rahman bin Haji Abas, officiated the event.
On 1 November, over 120 orphans were the guests of Their Majesties, Duli Yang
Maha Mulia Yang Dipertuan Agong Tuanku Syed Sirajuddin ibni-Al-Marhum Tuanku
Syed Putra Jamalullail and the Raja Permaisuri Agong Tuanku Fauziah binti AlMarhum Tengku Rashid to break fast at Balai Seri Rong, Istana Negara. KFC was
on hand to provide a finger-lickin good meal with its signature dish: KFC OR,
accompanied with butter buns, whipped potato, coleslaw and chick-a-cheese.
HUBUNGAN KOMUNITI
Bagi menceriakan Hari Ibu, KFC menghadiahkan ibu-ibu kepada pesakit kanakkanak di Wad Pusat Perubatan Pediatrik Universiti Malaya di Petaling Jaya dengan
kek, coklat, jambak bunga, selimut, kole termos dan kad ucapan Hari Ibu. Selain
itu, pesakit kecil juga menerima Playland yang diperbaiki dengan struktur mainan
baru. KFC juga memberikan baucar dan cenderahati kepada Pertandingan
Mewarna KFC yang dianjurkan seminggu sebelum lawatan ini.
Bulan Jun 2004 juga menyaksikan KFC menderma sejumlah buku bernilai
RM320,000 kepada Kementerian Pendidikan untuk diagihkan ke sekolah-sekolah
rendah di seluruh negara. Majlis penyerahan buku-buku ini dirasmikan oleh Ketua
Pengarah Pendidikan Malaysia.
KFCH menaja sambutan Hari Kanak-Kanak Sedunia 2004 di Dewan Millennium,
Kepala Batas, Pulau Pinang pada 9 Oktober. Perayaan ini menandakan buat kali
ketigabelas Kumpulan menjadi penaja utama acara kebangsaan ini. Bertemakan
Sayangilah anak-anak kita. Mereka akan mewarisi kemakmuran negara,
sambutan ini dianjurkan oleh Kementerian Wanita, Keluarga dan Pembangunan
Masyarakat. Lebih daripada 4,300 orang kanak-kanak menyertai sambutan ini,
termasuk mereka yang cacat dan kurang berkemampuan dari 15 negeri dan
Wilayah Persekutuan di Malaysia. Gabenor Pulau Pinang, Tun Dato Seri Haji Abdul
Rahman bin Haji Abas hadir merasmikan sambutan meriah ini.

KFCH was also honoured to participate in the breaking of fast at the end of
Ramadhan with the King and Queen. The Royal Couple, Duli Yang Maha Mulia
Yang Dipertuan Agong Tuanku Syed Sirajuddin ibni-Al-Marhum Tuanku Syed Putra
Jamalullail and the Raja Permaisuri Agong Tuanku Fauziah binti Al-Marhum
Tengku Rashid hosted 150 senior citizens at Istana Negara on 9 November.
KFCs Projek Penyayang community outreach programme celebrates its tenth
anniversary in 2005. The programme adopts orphans from various homes and
institutions, and provides them with finger-lickin good meals every quarter of
the year. In 2004, the number of participating organisations under the programme
increased to 80, from 66 the year before. Over RM100,000 was spent during the
year, which reached more than 7,000 orphans throughout the country.
In June 2004, Ayamas conducted a Spicy Siam Roaster Lunch for 40 orphans
living at Rumah Keluarga Kami in Kajang. The event also included a drawing and
colouring competition, magic show, lucky draw games, and perhaps
the highlight for the orphans T-shirts, caps, stationery sets, cookies and
other goodies.
Ayamas also helped raise RM 88,000 to buy books and other reading material for
schools in Subang Jaya. The effort was undertaken in cooperation with the
Subang Teachers Resource Centre. The project, named Happy Reading
Programme with Ayamas, supplied RM5 denomination sales vouchers to 200
area schools in a buy and donate scheme. For every voucher sold by the
schools, RM1 would go into a special fund to buy reading materials.
KFCH berasa bangga kerana berkesempatan berbuka puasa pada akhir bulan
Ramadhan dengan Duli Yang Maha Mulia Seri Paduka Baginda Yang Dipertuan
Agong dan Raja Permaisuri Agong. Pasangan Duli Yang Maha Mulia Seri Paduka
Baginda Yang Dipertuan Agong Tuanku Syed Sirajuddin ibni-Al-Marhum Tuanku
Syed Putra Jamalullail dan Raja Permaisuri Agong Tuanku Fauziah binti AlMarhum Tengku Rashid juga menghulurkan jemputan kepada 150 warga emas ke
Istana Negara pada 9 November.
Program khidmat masyarakat KFC, Projek Penyayang akan menyambut ulang
tahun kesepuluh dalam 2005. Program ini menaja anak-anak yatim daripada
pelbagai rumah anak yatim dan institusi di samping menyediakan hidangan yang
sedap sehingga menjilat jari kepada mereka setiap suku tahun. Dalam tahun
2004, bilangan organisasi yang menyertai program ini meningkat ke 80 daripada
66 dalam tahun sebelumnya. Sebanyak RM100,000 telah dibelanjakan dalam
tahun ini dan ia memberi manfaat kepada lebih daripada 7,000 orang anak-anak
yatim di seluruh negara.
Dalam Jun 2004, Ayamas mengadakan Spicy Siam Roaster Lunch untuk 40 orang
anak-anak yatim yang menetap di Rumah Keluarga Kami di Kajang. Program
acara ini termasuk pertandingan melukis dan mewarna, persembahan silap
mata, permainan cabutan bertuah dan acara yang paling menarik bagi kanakkanak ialah pemberian kemeja T, topi, peralatan menulis, biskut dan lain-lain
cenderahati oleh Naib Presiden Ayamas, Encik Abdul Aziz Isa.
Ayamas juga membantu mengutip sebanyak RM88,000 bagi membeli buku dan
lain-lain bahan bacaan untuk sekolah-sekolah di Subang Jaya. Usaha ini
dijalankan dengan kerjasama daripada Pusat Kegiatan Guru-guru Subang Jaya
(PKG). Projek yang dinamakan sebagai Program seronok membaca bersama
Ayamas memberikan baucar jualan bernilai RM5 kepada 200 buah sekolah
daerah untuk skim beli dan derma. Bagi setiap baucar yang dijual oleh sekolah,
RM1 akan didermakan kepada PKS Subang Jaya untuk membeli bahan bacaan.

Across the Tebrau strait, KFC Singapore also had its share of community works.
Following KFCs opening of the first restaurant with hearing-impaired personnel
Toa Payoh Express in 2003 KFC became the Ambassador for the Deaf in
Singapore. Efforts were made in raising deaf awareness in Singapore, including
coverage in the internal quarterly Chit Chat magazine, the quarterly Chicky Club
magazine which reached out to 55,000 members, KFC website and in-store
communications. KFC also participated in the International Day of the Deaf in
September which saw several KFC restaurants and staff taking part in the islandwide Tic-Tac-Toe and Walkathon.
KFC also organised a joint promotion with NKF Childrens Medical Fund in
September where we gave special privileges to donors to the fund.
Chicky Hour

Another exciting addition was a virtual 3D animated set that now decorates
Chicky Hours studio, replacing the old 2D background. The new set is more
vibrant and colourful with additional furnishings and decorations.
Syariah Advisory Council
The Syariah Advisory Council (SAC) acts as an advisory body to KFCH on all
religious matters relating to its food business and other operations. Set up in
1996, members of the SAC are distinguished and prominent religious scholars
from Islamic institutions.
By maintaining a close rapport with the various religious departments, councils
and bodies, as well as conducting regular inspections on the various plant and
operation outlets, the SAC ensures that KFCH complies with the halal
requirements of Islamic Law in general and in particular Malaysian Government
regulations.
The SAC held 3 ordinary meetings and 2 extra ordinary meetings pertaining to
the visit of DYMM Yang Dipertuan Agong to Ayamas. During the year, the SAC had
successfully formulated the Halalan Toiyyiba for Ayamas and delivered 20 slots of
2 hour lectures at its training centre.

Sebagai program kanak-kanak yang paling lama di negara ini, KFC Hour yang
disiarkan melalui saluran TV3 kekal menjadi salah satu daripada 5 program paling
popular di kalangan penonton kanak-kanak. Kandungannya yang unik amat
digemari oleh para ibu bapa dan kanak-kanak kerana ia menggabungkan
keseronokan, pendidikan dan hiburan.
Dalam Mei 2004, siri baru Dexters Laboratory diperkenalkan untuk menggantikan
Tom and Jerry. Cheryl Samad, pengacara popular yang disukai oleh generasi
muda, telah menyertai Chicky Hour sebagai pengacara utama dan didampingi
oleh Intan Khairani.
Bukan itu sahaja, malah set animasi maya 3D kini menghiasi studio Chicky Hour,
menggantikan latar lama 2D. Set ini lebih rancak, berwarna dan dilengkapi
perabot dan perhiasan baru.
Majlis Penasihat Syariah
Majlis Penasihat Syariah (SAC) bertindak sebagai badan penasihat kepada KFCH
untuk semua perkara keagamaan yang berkaitan dengan perniagaan makanan
dan lain-lain operasi. Ditubuhkan dalam tahun 1996, ia dianggotai oleh sarjana
keagamaan yang terkemuka dan ternama dari institusi-institusi Islam.
Dengan mengekalkan jalinan yang erat dengan pelbagai jabatan, majils dan
badan keagamaan, di samping mengadakan pemeriksaan yang kerap ke kilangkilang dan cawangan operasi di dalam dan luar Malaysia, SAC memastikan KFCH
mematuhi syarat-syarat Halal mengikut perundangan Islam secara amnya dan
peraturan kerajaan Malaysia secara khususnya.
SAC mengadakan 3 mesyuarat am dan 2 mesyuarat khas mengenai lawatan
DYMM Yang Dipertuan Agong ke Ayamas. Dalam tahun ini, SAC telah berjaya
merumuskan Halalan Toiyyiba untuk Ayamas dan menyediakan 20 kuliah yang
mengambil masa 2 jam setiap kuliah di pusat latihan.

PRINCIPAL ACTIVITIES
The principal activities of the Company are that of investment holding and provision of management services. The subsidiaries are primarily engaged in the

wholly-owned subsidiaries of the Group upon the completion of the Reorganisation Scheme as disclosed in Note 34 to the financial statements.

At the forthcoming Annual General Meeting, a final dividend in respect of the financial year ended 31 December 2004, of 10 sen less 28% taxation per share
on 198,274,670 ordinary shares, amounting to a total dividend payable of RM14,275,776 (7.2 sen net per share) will be proposed for shareholders' approval.

1. CORPORATE INFORMATION
The principal activities of the Company are that of investment holding and provision of management services. The principal activities of the subsidiaries
are as disclosed in the Directors' report of the Company. There have been no significant changes in the nature of the principal activities during the
financial year other than as disclosed in the Directors' report of the Company.
The Company is a public limited liability company, incorporated and domiciled in Malaysia, and is listed on the Main Board of Bursa Malaysia Securities
Berhad. The registered office of the Company is located at Level 17, Wisma KFC, No. 17 Jalan Sultan Ismail, 50250 Kuala Lumpur.

3. DISCONTINUING OPERATIONS
In 2002, the Group entered into a reorganisation scheme as disclosed in Note 34 to the financial statements, which resulted in the disposal of Pizza
Hut Holdings (Malaysia) Sdn Bhd for a total consideration of RM115 million. The disposal involved the sale of the entire Pizza Restaurants division.
Control of the division effectively ceased on 1 April 2004 upon completion of the scheme.
The revenue and results of the subsidiary are highlighted on page 57.
The Pizza Restaurants division had cash outflows/(inflows) from operating activities of RM10,276,590 [2003: (RM36,500,689)], cash outflows from
investing activities of RM7,244,130 (2003: RM18,182,066) and no cash outflows from financing activities (2003: RM3,972,757).

The effective tax rate for the Group is lower than the statutory rate principally due to certain income not subjected to tax and certain expenses not
deductible for tax purposes.
Domestic income tax is calculated at the Malaysian statutory tax rate of 28% (2003: 28%) of the estimated assessable profit for the year. Taxation for
other jurisdictions is calculated at the rates prevailing in the respective jurisdictions.

KEGIATAN UTAMA
Aktiviti utama Syarikat adalah pegangan pelaburan dan penyediaan perkhidmatan pengurusan. Kegiatan utama anak-anak syarikat adalah di dalam operasi:

Dalam tahun semasa, sebuah anak syarikat telah menamatkan kegiatan berikut:
Kepentingan Kumpulan di dalam Pizza Hut Holdings (Malaysia) Sdn Bhd dan anak-anak syarikatnya berakhir sementara Ayamas Food Corporation Bhd dan
anak-anak syarikatnya menjadi anak-anak syarikat yang dimiliki sepenuhnya oleh Kumpulan berikutan penyempurnaan perlaksanaan Skim Penyusunan
Semula seperti yang dinyatakan dalam Nota 34 dalam penyata kewangan.
Penamatan kegiatan ini tidak mempunyai kesan yang penting ke atas Kumpulan secara keseluruhan.

Pada Mesyuarat Agung Tahunan yang akan datang, dividen terakhir berhubung dengan tahun kewangan yang berakhir pada 31 Disember 2004, sebanyak 10
sen ditolak 28% cukai sesaham atas 198,274,670 saham biasa, berjumlah sebanyak RM14,275,776 (7.2 sen bersih sesaham) akan dicadangkan untuk
kelulusan para pemegang saham.
Penyata kewangan untuk tahun kewangan semasa tidak menggambarkan dividen yang dicadangkan ini. Dividen berkenaan, jika diluluskan oleh pemegang
saham, akan diambilkira di dalam ekuiti pemegang saham sebagai peruntukan bagi keuntungan tertahan di dalam tahun kewangan berakhir pada 31
Disember 2005.

KEPADA AHLI-AHLI KFC HOLDINGS (MALAYSIA) BHD
Kami telah mengaudit penyata kewangan yang terbentang dalam muka surat 102 hingga 140. Penyata kewangan ini adalah tanggungjawab para
Pengarah Syarikat.
Adalah tanggungjawab kami untuk memberi pendapat bebas berdasarkan audit kami mengenai penyata kewangan ini, dan melaporkan pendapat kami
kepada anda sebagai sebuah badan menurut Seksyen 174 Akta Syarikat 1965 dan tidak untuk matlamat-matlamat lain. Kami tidak bertanggungjawab
terhadap mana-mana orang-perseorangan terhadap kandungan laporan ini.
Kami menjalankan kerja audit kami berdasarkan Piawaian Audit Malaysia yang diluluskan. Piawaian ini memerlukan kami merancang dan melaksanakan
kerja audit untuk mendapatkan jaminan yang munasabah bahawa penyata kewangan ini adalah bebas daripada kenyataan yang salah. Kerja audit
termasuklah pemeriksaan, atas dasar ujian, bukti-bukti sokongan ke atas jumlah dan pendedahan di dalam penyata kewangan. Kerja audit juga meliputi
penilaian prinsip-prinsip akaun yang digunakan dan anggaran-anggaran nyata yang dibuat oleh Pengarah-pengarah termasuk penilaian secara menyeluruh
persembahan penyata kewangan. Kami percaya kerja audit kami menyediakan asas yang munasabah bagi pendapat kami.
Pada pendapat kami:
(a) penyata kewangan tersebut telah disusun dengan wajar menurut peruntukan-peruntukan Akta Syarikat 1965 dan piawaian perakaunan yang diluluskan
di Malaysia supaya memberi gambaran yang benar dan saksama tentang:
(i) kedudukan kewangan Kumpulan dan Syarikat pada 31 Disember 2004 dan hasil serta aliran tunai Kumpulan dan Syarikat bagi tahun berakhir pada
tarikh tersebut; dan
(ii) perkara-perkara yang dikehendaki oleh Seksyen 169 Akta Syarikat 1965 untuk diuruskan di dalam penyata kewangan.
(b) rekod-rekod perakaunan dan rekod-rekod lain dan daftar-daftar yang diperlukan oleh Akta untuk disimpan oleh Syarikat dan anak-anak syarikat yang
mana kami adalah juruauditnya telah disimpan dengan wajar menurut peruntukan Akta tersebut.
Kami telah meneliti penyata kewangan dan laporan juruaudit tentang anak-anak syarikat di mana kami tidak bertindak sebagai juruauditnya seperti yang
dinyatakan pada Nota 14 kepada penyata kewangan, adalah penyata kewangan yang termasuk di dalam penyata kewangan penyatuan.
Kami berpuas hati bahawa penyata kewangan anak-anak syarikat yang telah disatukan dengan penyata kewangan Syarikat adalah dalam bentuk dan
kandungan yang sesuai dan wajar bagi tujuan penyediaan penyata kewangan penyatuan dan kami telah menerima maklumat dan penjelasan yang
memuaskan seperti mana yang kami kehendaki bagi tujuan tersebut.
Laporan-laporan juruaudit bagi penyata kewangan anak-anak syarikat adalah bebas daripada sebarang teguran dan tidak termasuk sebarang ulasan yang
perlu dibuat di bawah Seksyen 174(3) Akta tersebut.

1. MAKLUMAT KORPORAT
Kegiatan-kegiatan utama Syarikat adalah pemegangan pelaburan dan penyediaan perkhidmatan pengurusan. Kegiatan utama anak-anak syarikat adalah
seperti yang dinyatakan dalam laporan Pengarah Syarikat. Tiada perubahan ketara di dalam kegiatan-kegiatan tersebut sepanjang tahun kewangan
semasa selain daripada yang dinyatakan dalam laporan Pengarah Syarikat.
Syarikat ialah sebuah syarikat awam yang terhad kewajipan kewangannya, ditubuhkan dan berpusat di Malaysia dan disenaraikan di Papan Utama Bursa
Malaysia Securities Berhad. Pejabat berdaftar Syarikat ini terletak di Aras 17 Wisma KFC, No. 17 Jalan Sultan Ismail, 50250 Kuala Lumpur.

Kedua-dua syarikat, Shakeys Restaurants Sdn Bhd dan Grand Synergy Sdn Bhd di mana YBhg Dato George Ting Yew Tong, bekas Pengarah Syarikat
yang dianggap mempunyai kepentingan membeli bahan-bahan pembungkusan, hasil-hasil daging ayam dan pelbagai jenis sos termasuk sos tomato
dan cili daripada Kumpulan pada dasar yang dipersetujui oleh kedua-dua pihak.
Urus niaga dengan syarikat-syarikat ini hanyalah dalam masa tiga bulan kerana syarikat-syarikat ini menjadi anak syarikat milik 100% Kumpulan
pada 1 April 2004 seperti yang dinyatakan dalam Nota 14(a) dan 34(i).
Permanis Sandilands Sdn Bhd telah berhenti menjadi sebuah syarikat bersekutu Kumpulan pada 1 April 2004 melalui pelupusan seluruh kepentingan
ekuiti dalam Pep Bottlers Sdn Bhd seperti yang dinyatakan dalam Nota 14(b) dan 34(ii).
C.I Holdings Berhad ialah bekas pemegang saham Syarikat dan mempunyai pengarah-pengarah yang sama.
Para Pengarah berpendapat bahawa kesemua urus niaga yang tersebut di atas telah dijalankan mengikut norma perniagaan biasa dan diasaskan atas
syarat-syarat yang tidak ada perbezaannya dengan urus niaga dengan pihak-pihak yang tidak berkaitan.

berkaitan kerana kurangnya terma pembayaran balik tetap antara parti-parti yang terlibat dan ketidakupayaan menganggarkan nilai saksama
tanpa melibatkan kos yang tinggi.
Kaedah-kaedah dan andaian-andaian yang berikut digunakan untuk menganggarkan nilai saksama kelas-kelas instrumen kewangan berikut:
(i) Tunai dan Kesamaan Tunai, Perdagangan dan Lain-lain diterima/berbayar dan Pinjaman Jangka Pendek
Jumlah nilai dibawa adalah lebih kurang menyamai nilai saksama disebabkan tempoh matang yang secara relatifnya pendek bagi instrumeninstrumen kewangan ini.
(ii) Pinjaman
Nilai saksama pinjaman dianggarkan secara mendiskaunkan aliran tunai yang dijangka pada masa depan dengan menggunakan kadar faedah
semasa untuk liabiliti yang mempunyai profil risiko yang lebih kurang sama.

THAT YBhg Dato Abdullah bin Ngah, who is over the age of seventy years and retiring in accordance with Section 129 of
the Companies Act 1965, be and is hereby re-appointed as a Director of the Company and to hold office until conclusion of
the next Annual General Meeting.

As special business:
To consider and, if thought fit, to pass the following resolutions as Ordinary Resolutions :(a)
Authority to allot and issue shares pursuant to Section 132D of the Companies Act 1965
THAT subject always to the Companies Act 1965, Articles of Association of the Company and approvals from the Bursa
Malaysia Securities Berhad and other governmental or regulatory authorities, where such approvals shall be necessary,
full authority be and is hereby given to the Directors pursuant to Section 132D of the Companies Act 1965 from time
to time to issue and allot ordinary shares from the unissued share capital of the Company upon such terms and
conditions and at such times as may be determined by the Directors of the Company to be in the interest of the
Company provided always that the aggregate number of shares to be issued pursuant to this Resolution shall not exceed
10 percent of the issued share capital for the time being of the Company.
(b)
RESOLUTION 8
the aggregate number of shares bought back and/or held does not exceed ten percent (10%) of the total issued
and paid-up share capital of the Company as quoted on the Bursa Securities;
(ii)
the amount allotted shall not exceed the retained profits and/or share premium account of the Company. The
audited retained profits and share premium of the KFC Holdings (Malaysia) Bhd as at 31 December 2004 are
RM252,395,000 and RM18,721,000 respectively.

to retain all or part of the purchased ordinary shares as Treasury Shares for distribution as dividend to the
shareholders and/or resale on the market of the Bursa Securities and/or subsequent cancellation.
AND THAT the authority conferred by this resolution shall commence immediately upon the passing of this Resolution
and continue to be in force until the conclusion of the next Annual General Meeting of the Company (unless earlier
revoked or varied by ordinary resolution of the shareholders of the Company in general meeting or upon the expiration
of the period within which the next Annual General Meeting is required by law to be held, whichever occurs first).
AND THAT the Directors of the Company be and are hereby authorized to take all such steps as are necessary or
expedient to implement, finalise or to effect the purchase(s) of shares with full powers to assent to any conditions,
modifications, variations and/or amendments as may be imposed by the relevant authorities.

RESOLUTION 9
Proposed Renewal of and New Shareholders Mandate for KFCH and its subsidiaries to enter into Recurrent Related Party
Transactions of a Revenue or Trading Nature with Related Parties (Proposed Shareholders Mandate)
THAT for the purposes of paragraph 10.09 of the Listing Requirements of the Bursa Malaysia Securities Berhad,
approval be given for the Company and its subsidiaries (KFCH Group) to enter into any category of recurrent
transactions of a revenue or trading nature as set out in paragraph 2.2.1 of the Circular to Shareholders dated 5 April
2005 with the related parties mentioned therein which are necessary for KFCH Groups day-to-day operations, provided
that :(i)
the transactions are in the ordinary course of business, made at arms length and on terms not more favourable
to the related parties than those generally available to the public and are not to the detriment of the minority
shareholders and on normal commercial terms;
(ii)
the shareholders mandate is subject to annual renewal and disclosure is made in the annual report of the
aggregate value of transactions conducted pursuant to the shareholders mandate during the financial year; and
AND THAT the authority conferred by such mandate shall continue to be in force until :(i)
the conclusion of the next AGM of the Company following the forthcoming AGM at which such Proposed
Shareholders Mandate is passed, at which time it will lapse, unless the authority is renewed by a resolution passed
at an AGM;
(ii)
the expiration of the period within which the next AGM after that date is required to be held pursuant to Section 143(1)
of the Act (but shall not extend to such extension as may be allowed pursuant to Section 143(2) of the Act); or

To transact any other ordinary business of which due notice shall have been given.
Shares transferred into the Depositors Securities Account before 4.00 pm on 3 May 2005 in respect of the ordinary transfers; and
(b)
Shares bought on the Bursa Malaysia Securities Berhad (Bursa Securities) on a cum entitlement basis according to the Rules of the Bursa Securities.
Notes:
A member of the Company entitled to attend and vote at the abovementioned Meeting may appoint a Proxy to attend and vote in his stead. A Proxy may but need not
be a member of the Company. The instrument appointing a Proxy must be deposited at the Companys Registrar Office, Tenaga Koperat Sdn Bhd, 20th Floor, Plaza Permata,
Jalan Kampar, Off Jalan Tun Razak, 50400 Kuala Lumpur, not less than 48 hours before the time for holding the Meeting or any adjournment thereof.
Explanatory Notes on Special Business
1. Resolution Pursuant to Section 132D of the Companies Act 1965
The Ordinary Resolution proposed under item 7(a), if passed, will give the Directors of the Company, from the date of the above General Meeting, authority to issue and
allot ordinary shares from the unissued capital of the Company being for such purposes as the Directors consider would be in the interest of the Company. This authority
will, unless revoked or varied by the Company in General Meeting, expire at the next Annual General Meeting.
2. Resolution pursuant to the renewal of Share Buy-Back authority
This resolution proposed under item 7(b) will empower the Directors of the Company to purchase the Companys shares up to ten percent (10%) of the issued and
paid-up share capital of the Company (Proposed Share Buy-Back) by utilizing the funds allocated which shall not exceed the total retained earnings and share premium
of the Company. This authority, unless revoked or varied at a general meeting, will expire at the conclusion of the next Annual General Meeting of the Company.
Further information on the Proposed Share Buy-Back are set out in the Circular to Shareholders of the Company which is dispatched together with the Companys Annual
Report 2004.
3. Resolution pursuant to the Proposed Shareholders Mandate
This resolution proposed under item 7(c) will enable KFCH Group to enter into any recurrent transactions of a revenue or trading nature which are necessary for the
KFCH Groups day-to-day operations, subject to the transactions being in the ordinary course of business, made at arms length and on normal commercial terms and
are not to the detriment of the minority shareholders of the Company.
Further information on the Proposed Shareholders Mandate are set out in the Circular to Shareholders of the Company which is dispatched together with the Companys
Annual Report 2004.

memperuntukkan saham-saham daripada modal Syarikat yang belum diterbitkan tertakluk kepada syarat-syarat dan
perihal keadaan dan pada masa yang ditentukan oleh Pengarah-pengarah Syarikat demi kepentingan Syarikat asalkan
agregat jumlah saham yang akan diterbitkan selaras dengan Resolusi ini tidak melebihi 10 peratus daripada modal
saham terbitan semasa Syarikat."

DAN BAHAWA kuasa yang diberikan melalui resolusi sedemikian akan bermula serta-merta dengan lulusnya Resolusi ini
dan terus berkuatkuasa sehingga tamatnya Mesyuarat Agung Tahunan Syarikat seterusnya (kecuali dibubarkan terlebih
dahulu atau diubah oleh resolusi biasa pemegang-pemegang saham Syarikat di dalam mesyuarat biasa atau apabila
tamatnya tempoh di mana Mesyuarat Agung Tahunan yang akan datang perlu diadakan seperti keperluan undangundang, yang mana lebih awal).
DAN BAHAWA para Pengarah Syarikat mempunyai dan diberikan kuasa untuk mengambil sebarang langkah yang perlu
atau mempercepatkan implementasi, menyelesaikan atau melaksanakan pembelian saham-saham dengan kuasa penuh
untuk bersetuju kepada sebarang keadaan, pengubahsuaian, variasi dan/atau pindaan yang boleh dikenakan oleh pihak
berkuasa berkenaan."

RESOLUSI 9
Mencadangkan Pembaharuan Mandat Pemegang Saham untuk KFCH dan anak-anak syarikatnya untuk memasuki Urus
Niaga Berulangan dengan Pihak Berkaitan berbentuk Pendapatan atau Perniagaan dengan Pihak-pihak Berkaitan
(Cadangan Mandat Pemegang Saham).
"BAHAWA, untuk tujuan perenggan 10.09 dalam Syarat-syarat Penyenaraian Bursa Malaysia Securities Berhad,
kebenaran diberikan kepada Syarikat dan anak-anak syarikatnya (Kumpulan KFCH) untuk memasuki sebarang kategori
urus niaga berulangan berbentuk pendapatan atau perniagaan seperti yang dinyatakan dalam perenggan 2.2.1 dalam
Edaran kepada Pemegang Saham bertarikh 5 April 2005 dengan pihak-pihak berkaitan yang disebutkan, yang perlu bagi
urusan harian Kumpulan KFCH, dengan syarat bahawa :
(i)
urus niaga adalah dalam tatacara perniagaan biasa, dijalankan secara amanah dan di atas syarat-syarat yang tidak
lebih memanfaatkan pihak berkaitan daripada yang biasanya untuk orang awam serta tidak menjejaskan pemegang
saham minoriti dan dalam bentuk komersial biasa;
(ii)
mandat pemegang-pemegang saham tertakluk kepada pembaharuan tahunan dan nilai agregat urus niaga yang
dijalankan dibentangkan dalam laporan tahunan selaras dengan mandat pemegang-pemegang saham sepanjang
tahun kewangan; dan
(iii) para Pengarah yang berkepentingan, pemegang saham utama yang berkepentingan dan lain-lain orang
perseorangan yang berkepentingan yang mempunyai kaitan dengan mana-mana Pengarah atau pemegang saham
utama, dan jika membabitkan kepentingan seseorang yang berkaitan dengan para Pengarah atau pemegang saham
utama, tidak dibenarkan mengundi untuk meluluskan resolusi urus niaga tersebut. Seorang pengarah
berkepentingan atau pemegang saham utama berkepentingan mesti memastikan sesiapa yang berkaitan dengannya
mengecualikan diri dari mengundi untuk meluluskan resolusi urus niaga itu.
DAN BAHAWA, kuasa yang diberikan melalui mandat sedemikian akan berkuatkuasa sehingga :
(i)
selesainya Mesyuarat Agung Tahunan Syarikat seterusnya yang akan disusuli Mesyuarat Agung Tahunan yang akan
datang di mana Cadangan Mandat Pemegang Saham diluluskan, akan dibubarkan, kecuali kuasanya diperbaharui
oleh resolusi yang diluluskan di dalam Mesyuarat Agung Tahunan;
(ii)
perlupusan sesuatu jangkamasa di mana Mesyuarat Agung Tahunan mesti diadakan selepas tarikh itu selaras
dengan Seksyen 143(1) dalam Akta (tetapi tidak diperlanjutkan sehingga suatu lanjutan yang boleh dibenarkan
selaras dengan Seksyen 143(2) dalam Akta); atau
