ARTIST - PRODUCER AGREEMENT

1. This is an agreement made this day of , 20 , between the

undersigned PRODUCER and the undersigned ARTIST.

2. This agreement states that ARTIST has the right to use the master recording for sales,
performance and/or promotion independently from any RECORD COMPANY.

3. This agreement does not cover and is not intended to cover any agreement with a
RECORD COMPANY concerning song publishing and/or mechanical licenses. In the
event either ARTIST or PRODUCER is entitled to share in songwriting and/or publishing
rights and/or royalties, a separate agreement will cover that aspect.

4. PRODUCER maintains copyrights to music instrumental only and may use it at any
time for sale or promotion.

6. ARTIST does not have the right to sell or distribute the instrumental track to any third
party.

5. ARTIST agrees to pay to PRODUCER a total of .

7. ARTIST agrees to make full payment before a master recording or any rough draft of
the recording is released from studio.

IN WITNESS WHEREOF we have entered into this written agreement as of the date
