MUSIC PRODUCTION AGREEMENT

This Music Production Agreement ("Agreement") is entered into on this ____

day of ____, 20, ("Effective Date"), by and between:

PARTIES:
1. Artist's Full Legal Name:

___ (hereinafter referred to as the "Artist")
2. Producer's Full Legal Name:

_ (hereinafter referred to as the "Producer")
Collectively, the parties shall be referred to as the "Parties."

BACKGROUND:
1. The Artist is a musical performer and desires to create and produce
new music recordings.
2. The Producer has the expertise, resources, and experience necessary
to produce music recordings.

AGREEMENT TERMS:
1. Scope of Services:
The Producer agrees to provide the following services (the "Services") to the
Artist:
a) Music Production: The Producer shall produce, compose, arrange, and
create high-quality music tracks (the "Music Tracks") as agreed upon
between the Parties. The Producer shall be responsible for the overall
creative direction of the Music Tracks, including but not limited to
instrumentation, recording, mixing, and mastering.
b) Production Schedule: The Parties shall collaborate on a production
schedule, outlining key milestones, deadlines, and deliverables, which shall
be agreed upon in writing.
2. Compensation:
a) Payment: In consideration of the Services rendered by the Producer, the
Artist agrees to pay the Producer the agreed-upon fee, as outlined in Exhibit
A attached hereto.
b) Royalties: The Parties shall discuss and agree upon the division of any
royalties generated from the commercial exploitation of the music recordings
produced under this Agreement. The royalty structure shall be documented
in a separate agreement (the "Royalty Agreement") between the Parties.
3. Ownership and Rights:
a) Music Tracks: The Producer shall retain all rights to the Music Tracks,
including but not limited to copyright and publishing rights, unless otherwise
specified in a separate agreement between the Parties.
b) Artist's Performance: The Artist shall retain all rights to their
performance on the Music Tracks subject, unless otherwise specified in a
separate agreement between the Parties.

4. Term and Termination:

This Agreement shall commence on the Effective Date and continue until the
completion of the Services, unless earlier terminated by mutual written
agreement or due to a material breach of the terms herein by either Party.
5. Confidentiality:
Both Parties agree to keep confidential all proprietary information and trade
secrets disclosed during the course of this Agreement.
6. Governing Law:
This Agreement shall be governed by and construed in accordance with the
laws of the Philippines
7. Entire Agreement:
This Agreement constitutes the entire understanding between the Parties
concerning the subject matter hereof and supersedes all prior agreements,
understandings, negotiations, and discussions, whether oral or written.

IN WITNESS WHEREOF, the Parties hereto have executed this Music

Production Agreement as of the Effective Date.
