AMENDMENT # 1 TO THE SUBCONTRACTOR AGREEMENT This Amendment # 1 effective as of 2nd August,2010 to the Subcontractor Agreement (Amendment # 1 to the Subcontractor

Agreement) is entered into by and between Persistent Systems Limited (Company) and Commis HR Services Pvt. Ltd. (Subcontractor). Whereas, the parties have entered into the Subcontractor Agreement dated 1st August 2010 (the Agreement); Whereas, the parties wish to add a annexure to the agreement and hereinafter execute this Amendment # 1 to the Agreement; Therefore, the parties mutually agree to the following clauses:1. Annexure: Effective from 2nd August, 2010, the parties mutually agree to the following: Contract to Hire (CTH): In case Company directly absorbs on Companys permanent payrolls (either as employee or as a consultant) a Subcontractors resource(s) providing services to the Company through the Subcontractor on such date, then Company, will pay one time placement fees / professional charges to Subcontractor as per below mentioned structure. o o o For candidates hired within 6 months from date of joining one months salary For candidates hired within 12 months from date of joining 15 days salary For candidates hired beyond 12 months from date of joining No fees is payable.

The above stated fees shall not be payable for any Subcontractors resources who ceases to work for the Subcontractor and a period of six months or more has since elapsed. 2. Other Terms and Conditions: All other terms and conditions of the Agreement shall remain unchanged. IN WITNESS THEREOF, the parties hereto have caused this Amendment # 1 to the Agreement to be duly executed as of the day and year first written above.
