Solo Stunts Contest Rules

1. Eligibility: The 440Hz Solo Stunts competition is open to individuals/ bands/ groups in India of any musical style or experience. This is an amateur competition to win a PRS guitar (worth Rs.45,000) and 2 Carl Martin pedals (worth Rs. 15,000) administered by 440Hz to be held on Facebook from 5st August 2011 15th August 2011. 440Hz shall serve as the Administrator for the Contest. Employees of 440Hz and their families, subsidiaries and affiliate companies as well as household members (persons who live in the employees home or have the same principal residence as the employee) of each such employee of the Administrator and the Administrator, respectively, are not eligible to enter into the Contest. This Contest is subject to all applicable federal, state, and local laws and regulations, and is void where prohibited. Participation in the Contest constitutes entrants full and unconditional agreement to these Official Rules and Administrators and Administrators decisions, which are final and binding in all matters related to the Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein.

4. Timing: Solo Stunts will go live at 11:30 pm on the 4th of August, 2011. The competition

will close at midnight on the 19th of August 2011. At this point, no more entries will be accepted.

5. How to Enter:

During the Submission Phase, Musical Acts can enter by accessing http://www.facebook.com/440Hzmusic and uploading a video (in a variety of possible video uploading formats) of the Musical Act performance, of no longer than backing track length. Alternatively, contestants can send in a YouTube link of their performance to contact@440hz.co.in. Any inappropriate video images not suited for young children, as determined by the Administrator, will not be allowed. By uploading the Submission, the entrant agrees that the Submission conforms to the Submission Guidelines and Content Restrictions that are set forth here and that the Administrator, in its sole discretion, may remove the Submission and disqualify the entrant from the Contest if it believes, in its sole discretion, that the Submission fails to conform to the Guidelines and Restrictions. Each Musical Act may only submit one (1) Submission during the Submission Phase. Submissions generated by script, macro or other automated means are void.

6. Declaration of Copyright and Permission to Use:

By uploading a video, Entrant represents that he/she holds the appropriate copyrights, and is authorize to engage Administrator and Administrator for the purposes of this Agreement. Entrant must have prior permission from all Musical Act members to use their name, voice and likeness in the Submission and to grant the rights set forth herein.

7. License to Use:

Uploading a Submission constitutes entrants consent to give the Administrator and the Administrator a royalty-free, irrevocable, perpetual, non-exclusive

license to use, reproduce, modify, publish, create derivative works from, and display such Submission in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, for non-commercial promotional or marketing purposes. If necessary, the entrant may be required to sign any relevant documentation by the Administrator, Administrator, or their designees, to conclude the nonexclusive rights.

8. Winner Determination:

Administrators and Administrators decisions as to the administration and operation of the Contest and the selection of qualified Finalists are final and binding in all matters related to the Contest.

9. Online Voting Phase:

During the Online Voting Phase, all eligible Submissions will be on the http://www.facebook.com/440Hzmusic site for public viewing. The winner, receiving the most votes will be invited to receive their prize at the 440Hz retail store if they are in Delhi, or will have the prize shipped to them in they reside anywhere else in India. The winner shall be notified by the Administrator via email or phone and will be sent a subsequent official notice by email. If a potential Finalist cannot be contacted within the required time period, the potential Finalist (and all Musical Act members) shall forfeit the prize. Potential Finalists (including all Musical Act members) must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. In the event that a potential Finalist is disqualified for any reason, Administrator will award the invitation to perform or applicable prize to an alternate Finalist by random drawing from among all remaining eligible Finalist Submissions. Only three (3) alternate drawings will be held after which the prize will remain unawarded. The Administrator and Administrator reserves the right to select fewer than twenty-five (25) Finalists, if, in their sole discretion, it does not receive a

sufficient number of eligible and qualified Submissions.

10. Judging Phase:

Finalists will be judged on musical skill, ensemble, musicianship and stage presence. The judges scores will be kept confidential.

12. Legal Liability:

Neither the Administrator nor the Administrator shall assume any legal liability or responsibility for the members of the participating Finalists Musical Acts, or chaperones, while traveling in the USA or elsewhere.

13. Prizes:

GRAND PRIZE: PRS Guitar and 2 Carl Martin amps worth Rs. 55,000 Prizes are non-transferable and no substitution will be made except as provided herein at Administrators sole discretion. Each Musical Act (and all Musical Act members) is responsible for all taxes and fees associated with prize receipt in India.

14. Release:

By receipt of any prize, each member of a winning Musical Act (parent/legal guardian if winner is a minor in his/her state of residence) agrees to release and hold harmless Administrator and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such companys officers, directors, employees and agents (collectively, the Released Parties) from and against any claim or cause of action, including, but not limited to, personal

injury, death, or damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any prize.

15. Publicity:

Except where prohibited, participation in the Contest constitutes each Musical Act member of the winners (parent/legal guardian if winner is a minor in his/her state of residence) consent to Administrators use of such persons name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without payment or consideration.

16. General Conditions:

Administrator reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor beyond Administrators reasonable control impairs the integrity or proper functioning of the Contest, as determined by Administrator in its sole discretion. Administrator reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Administrator reserves the right to seek damages from any such person to the fullest extent permitted by law. Administrators failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

17. Limitations of Liability:

The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the

Contest; (4) technical or human error which may occur in the administration of the Contest or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrants participation in the Contest or receipt or use or misuse of any prize. If for any reason an entrants entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrants sole remedy is another entry in the Contest, provided that if it is not possible to award another entry due to discontinuance of the Contest, or any part of it, for any reason, Administrator, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance, including entries confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted prior to the date of discontinuance, for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Administrator reserves the right to award the contestant with the second highest number of votes.

18. Disputes:

Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action; (2) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental, special and consequential damages and any other damages, other than for actual outof-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
