Dear Sir, You have at our signed and/or agreed to sign, as and required by us guarantee in favour of various authorities and department of the Central and State Government bodies, local or Public bodies , or authorities and various other persons, companies proportions or bodies corporate, whom we may specify from time to time, but so that the total amount of the liability outstanding under all such guarantee does not at any one point exceed sum of Rs. 3,670/- (Rupees Three thousand six hundred seventy only) and subject to refuse to issue any guarantee of which do you don not approve or to refuse to issue any further guarantee at any time. The said guarantees so issued or to be issued by you hereinafter referred to as such guarantees. Which expression shall unless repugnant to the context or meaning thereof be deemed to include any renewals or extension or modification of all or any such guarantees. We, as so bind ourselves and our successors and assigns agree with you and your successors and assigns as follows:1. To indemnify you and keep you fully indemnified and saved, defended and harmless in respect of and against each and every payment made and obligation, liability, loss or damage whatsoever undertaken or incurred or suffered by you (whether directly

or indirectly) under or in connection with and/or arising from all o any of such guarantees. 2. To pay to you Mominpur on demanded by you all such sum or sums of money as you may under or in connection with all or any of such guarantees with interest thereon at % per annum or at such other rate or interest as may be notified by you to me/us from time to time, from the date on which you so pay until repayment by me/us. 3. Payment of all or any part of the sum or sums guaranteed by you under or by virtue of All any of such guarantees on a request or demand being made on you for this purpose there under. Any request or demand made to or upon you by the beneficiary or beneficiaries of all or any of such guarantees for payments of any sum or sums of money shall be sufficient authority from me/us to you for making such payments. 4. Notwithstanding the possibility, existence, pendency or continuance of any dispute or differences or of any arbitration proceedings or of any suit or other legal proceedings whatsoever between me/us or any of us and the beneficiaries of all or any of such guarantees and/or between us inter-se which may directly or indirectly arise out of

under or in connection with the subject matters of all and any of such guarantees or which may effect the legality or validity of all or any of such guarantees and/or of any transaction. Directly or indirectly connected with or relating to or arising out of subjects matter of all or any of such guarantees, the reasonableness or property or validity of any such payments made by you to such beneficiary or beneficiaries shall not be questioned by me/us or any of us on any ground whatsoever and such payment shall be conclusive and binding on me/us and each of us so far as concerns our liability so you hereunder. 5. To pay you at Mominpur on demand all costs, charges and expenses(the legal costs being between Attorney/Advocate and client ) paid or incurred by you in anywise concerning all or any of such guarantee and your obligation and liability there under and concering this Counter- Guarantee and indemnity and your rights hereunder. 6. That you shall be entitled without any further consent from me/us or any of us debit the Accounts or Accounts of or any one or more of us at any of your Branches (whether cash credit or overdraft, savings or current of fixed or short deposit or any other Accounts whatsoever ) with the amount of any payments you may make under or in respect of all or any such guarantees. 7. This Guarantee of Counter Guarantee and indemnity shall be irrevocable and shall be binding on me/us and each of us jointly and severally and also on my/our respective heirs, executors, administrators, estates and effects jointly.
