The Hotel Agrees to: (MUST BE SIGNED and COMPLETED)

Preferred Rates must be lower than or equal to the rates offered to any other travel agency, agency group, or travel agency consortium throughout the Agreement period of 2014 (Parity). Pay the selected package fee Overdue invoices are subject to a late penalty of 1.50% per month and removal from the hotel program Payment must be received in order for property to be included in the Program Preferred rates must be guaranteed not to increase during effective date periods. Preferred rates must be commissionable. The commission level must be guaranteed not to decrease during the Agreement period. Hotel will not add any additional fees or surcharges which are not officially mandated by a governmental authority. Preferred Rates will be available as long as any room type is still for sale (excluding suites & concierge/club level). Blackout dates must be enclosed along with the Agreement. Net rates are optional. Net rates must offer last room availability. Walk policy: Hotel will secure and assume expense of first night at alternate hotel, provide transfer and provide one free phone call. Authorize the signer of this document to act on behalf of the hotel listed herein. Acknowledge that these terms are binding for the term of the Agreement, regardless of any changes in management or ownership of the hotel listed herein. The obligations shall be binding upon the successors and assigns of the participating parties. Forward all pertinent information regarding this Agreement to the hotel general manager, reservations, front desk, and sales staff, and to any chain or representation company specified above. Authorize RADIUS to contact the chain/representative to make the RADIUS Preferred Rate available through the global reservation systems. Represents that the information provided herein is entirely accurate and agrees to abide by all information provided herein. Participating party (hotel) shall indemnify RADIUS for any claim made by any third party with regard to any information provided by RADIUS concerning the participating partys property or properties and/or any claims arising from the use by a third party of any participating partys property. In the case of a chain property, any provisions of an Agreement reached between RADIUS and the chain that are in conflict with, or which contain additional provisions to this Agreement shall, where in conflict, supersede this Agreement and where additional, be deemed part of this Agreement. All Rates loaded under the WTT rate code must be eligible to accrue points or miles in any frequent stay/frequent flyer Program in which your property participates. The term of this Agreement is from the date it is executed by the participating party through December 31, 2013. If you wish to sell best available rates (BAR) or preferred rates to RADIUS in 2013, RADIUS must be given rate parity (the same or better rates) with the BAR rates or preferred rates you provide to all other travel providers, both on-line and off-line.

Users: The Participating Party understands and consents to RADIUS providing its Global Hotel Program to any organization to which RADIUS provides its hotel program product. Acceptance of Agreement: Completion and timely receipt by RADIUS of this Agreement, including timely receipt of the annual fee, does not guarantee inclusion in the Program.

RADIUS reserves the exclusive right to reject any application for participation in this Program, for any reason deemed appropriate in the sole opinion of RADIUS. RADIUS agrees to promptly refund the annual fee of any application not accepted.

This Agreement is governed by the laws of the State of Maryland, United States of America. You expressly consent and submit to the jurisdiction of the United States District Court for the State of Maryland in any action or proceeding brought in connection with this Agreement. In addition to all other remedies available to RADIUS, failure to adhere to the above terms and conditions could mean immediate disqualification from the Program.
