Official Rules

Sponsor: Boston Globe Media Partners LLC, 135 Morrissey Blvd., Boston, MA 02125

1. TIMING. The Covered by Arbella contest (the "Contest") starts on August 25,
2014 at 12:00:00 a.m. Eastern Time (ET) and ends on October 20, 2014 at
11:59:59 p.m. ET ("Contest Period"). The Contest Period shall contain both an entry
period starting on August 25, 2014 at 12:01:01 a.m. ET and ending on September
30, 2014 at 11:59:59 p.m. ET (the Entry Period) and a separate public voting
period starting on October 1, 2014 at 10:00 a.m. ET and ending on October 20,
2014 11:59 p.m. ET (the Public Voting Period). All entries must be received no
later than 11:59:59 p.m. ET on September 30, 2014 to be eligible to participate.

2. ELIGIBILITY. Contest is open to legal US residents currently residing in the
state of Massachusetts who are members of a band (either an individual or a band of
multiple members, up to four (4) people) (a Band) who are 18 years of age or
older at the time of entry. The Band must designate one individual member of the
Band as the leader (Band Leader) for contact purposes. The Band Leader shall be
responsible for submitting the Entry on the Bands behalf in which all official
members of the Band will be listed and for obtaining all Band members signatures
on any releases or documents that Sponsor may require. For purposes of these
Official Rules, the Band Leader is also considered a member of the Band. The Band
Leaders submission of Entry constitutes agreement of these Official Rules by all
Band members. If an Entry is submitted by a Band composed of more than one
individual, each individual member of the Band must meet the eligibility
requirements set forth herein. The term Entrant as used in these Official Rules
refers to each eligible Band member and the Band that submits an Entry.
Employees of Sponsor and its parents, subsidiaries, affiliates, promotion and
advertising agencies, and members of their immediate family (defined as spouse
and parent, children and siblings and their respective spouses, regardless of where
they reside) and persons living in the same household, whether or not related, of
such employees, are not eligible to enter or win. Employees of Arbella are not
eligible to enter or win. Void outside the Boston Metropolitan area and where
prohibited by law. Contest is subject to all applicable federal, state and local laws.

3. HOW TO ENTER. During the Entry Period, go to
bdcwire.com/coveredbyarbella (the Contest Site) and follow the on-screen
instructions. Entrants will be invited to complete an Official Entry Form available on
the Contest Site and submit their best video or audio file (photo must accompany
audio file) cover of the song Here Comes your Man (the Composition) written by
Charles Thompson as performed by the band, The Pixies directly on the Contest Site
or via a link to the Bands YouTube account (the Submission). The Submission
together with the Official Entry Form shall be collectively referred to as the Entry.
Entrants can submit once to both the Individual and Band/Ensemble categories

(each a Category, collectively the Categories). All Entries become the sole
property of the Sponsor and will not be returned.

Standard text messaging and/or data rates may apply to those who choose to
submit Entries or opt to receive Sponsors tweets or messages via a wireless mobile
device. Wireless service providers may charge for airtime for each message sent and
received. Contact your provider for pricing and service plan before use of mobile
device for participation.

4. ENTRY/SUBMISSION REQUIREMENTS. All Submissions must be provided as
either a jpeg and mp3 file or video file.
Each Entry must also comply with the following additional Submission
Guidelines:
a. The Submission may not contain any content that is lewd, obscene,
sexually explicit, pornographic, disparaging, defamatory, libelous, obscene, or
that otherwise contains inappropriate content or objectionable material as
determined by Sponsor in its sole and unfettered discretion.
b. The performance contained in the Submission must be the Entrants
original work, created solely by the Entrant, and other than the music
publishing assigned to the Composition, must not infringe the copyright,
trademark, privacy, publicity, or other intellectual rights of any person or
entity.
c. If any persons appears in the Submission, the Entrant is responsible for
obtaining, prior to sending the Entry, any and all releases and consents
necessary to permit the exhibition and use of the Entry by Sponsor as set
forth in these Official Rules. If any person appearing in any Submission is
under the age of majority in their state, country or province of residence, the
signature of a parent or legal guardian is required on each release.
d. The Submission must not contain any personally identifiable
information of any person other than the Entrant. Should the Entrant include
personally identifiable information about him/herself in his/her Entry, Entrant
acknowledges and agrees that such information will be disclosed publicly and
Entrant is solely responsible for any consequences thereof.
e. Entrants may not be, nor may Entrant work with parties in conjunction
with their Submission, who: 1) are represented under contract (e.g., by a
talent agent or manager) that would limit or impair Sponsor's ability to
display the Submission in any media form; 2) have an acting or modeling
contract that would make their appearance in the Submission a violation of
any third party rights; or 3) are under any other contractual relationship,
including but not limited to guild and/or union memberships, that may
prohibit them from participating fully in this Contest, or from allowing Sponsor
to use royalty-free, the Submission worldwide in all media in perpetuity.
f. The Submission must not contain any commercial content or logos.
g. The Entry may not have been previously published and may not have
won previous awards.
h. The Submission may not contain any material or elements that are not
owned by the Entrant and/or which are subject to the rights of third parties.

By submitting an Entry, Entrant agrees that Entrants Entry conforms to these
Official Rules and that Sponsor, in its sole discretion, may disqualify the Entry for
any reason at any time, including if it determines, in its sole discretion, that the
Entry fails to conform to these Official Rules in any way or otherwise contains
unacceptable content as determined by Sponsor, in its sole discretion.

By submitting an Entry, Entrant hereby grants permission for the Entry to be posted
on the Contest Site, boston.com or other websites without Entrants further approval.
Entrant agrees that Released Parties (as defined below) are not responsible for any
unauthorized use of Entries by third parties. Released Parties do not guarantee the
posting of any Entry. Entrants agree that they will not use the Submission for any
other purpose, including, without limitation, posting the Entry to any online social
networks (except that of Sponsors), without the express consent of Sponsor in each
instance.

5. Public Voting. A panel of qualified judges will review each Entry to determine
if the Entry meets the Submission Requirements and Submission Guidelines (an
Eligible Entry) as they are received. Each Eligible Entry will be posted on the
Contest Site for the public to view and vote for his/her favorite Entry (Vote) during
the Public Voting Period. Voting is subject to the Voting Terms and Conditions
located at bdcwire.com/coveredbyarbella. Entrants are prohibited from obtaining
Votes by any fraudulent or inappropriate means, including, without limitation,
offering prizes or other inducements to members of the public, as determined by
Sponsor in its sole discretion. Voting for Submissions is unlimited, however, Votes
are capped to one Vote per day, per person, per email address. A day is
understood to mean 12:00 a.m. ET through 11:59 p.m. ET. Votes generated by
script, macro or other automated means or which subvert or impair the integrity of
the voting process will be void. Any attempt to exceed the limited number of Votes,
shall give the Sponsor the right to void the Votes in question and disqualify the
Entry, at its sole discretion.

6. JUDGING. Following the Public Voting Period, the three (3) Entries in each of
the two (2) Categories with the highest number of Votes will be considered finalists
(Finalists), and will be judged (on a scale of 1 to 10 where 10 is the highest) by a
panel of qualified judges based on the following criteria: (i) Musical aptitude (34%);
(ii) Musical Passion (33%); and (iii) Originality (33%). Sponsor reserves the right
to select less than three (3) Finalists in each Category if it decides in its sole
discretion there are not a sufficient number of qualified Entries in a Category. The
one (1) Entry from all Finalists in each Category with the highest judging score,
combined with the highest number of Votes will be deemed the potential winner of
that Category. An Entry can only win in one Category. In the event of a tie, the
Entry among the tied Entrants with the highest score in Musical aptitude will be
declared the potential winner of that Category. Prize awards are subject to
verification of eligibility and compliance with these Official Rules.

7. WINNER NOTIFICATION. Judges and Sponsors decisions are final and binding
on all matters relating to this Contest. Each potential winners Band Leader will be
notified by telephone, mail and/or email and will be required, along with any other
Band members to complete an Affidavit of Eligibility, Liability and Publicity Release
(unless prohibited by law) and any other documents required by Sponsor, which
must be returned within five (5) days of date appearing on prize notification. Return
of prize or prize notification as undeliverable, failure to sign and return requested
documentation within the specified time period, the inability of Sponsor to contact
potential winner within a reasonable time period or noncompliance with these
Official Rules by any potential winner will result in disqualification and, at Sponsors
sole discretion, the prize may be awarded to a runner-up. If any potential winner is
an eligible minor in his/her jurisdiction of residence, Sponsor reserves the right to
award the prize in the name of his/her parent or legal guardian who will be
responsible for fulfilling all requirements imposed on the winner set forth herein.
Potential winner is not an official winner (Winner) until potential winners eligibility
has been verified and potential winner has been notified that verification is
complete.

8. PRIZES.
Individual Category: One (1) Winner in the Individual Category will receive (a) the
opportunity to perform in the RadioBDC Retro Series, (b) one (1) 2015 All-Access
Pass good for all Live and Lab +1 Shows, (c) one (1) guest DJ segment also known
as a Celebrity Series Takeover, and (d) a pair of tickets to an upcoming Fall 2014
concert.

Band/Ensemble Category: One (1) Winner in the Band/Ensemble Category will
receive (a) the opportunity to perform in the RadioBDC Retro Series, (b) one (1)
2015 All-Access Pass good for all Live in the Lab and +1 Shows, (c) three (3) hours
of recording time in the performance studio, which includes both set-up and
breakdown time, and (d) a one-on-one meet and talk with Paul Driscoll, Director of
Ops/Program Development.

Prizes are promotional in nature and have no monetary value. Prizes are awarded
as is with no warranty or guarantee, either express or implied by Sponsor. A
Winner may not substitute, assign or transfer a prize or redeem a prize for cash, but
Sponsor reserves the right, at its sole discretion, to substitute a prize or a potion
thereof with one of comparable or greater value. The Winners are responsible for all
applicable federal, state and local taxes, if any, as well as any other costs and
expenses associated with prize acceptance and use not specified herein as being
provided. For the sake of clarity, prize does not include airfare, ground
transportation and/or hotel accommodations. Winner is responsible for his/her own
transportation and accommodations. All prize details are at Sponsors sole
discretion.

All-Access Pass and tickets to 2014 Fall concert are subject to certain terms and
conditions as specified thereon. Seat locations will be determined by Sponsor.
Winner must comply with all venue rules and regulations. Failure to do so may result
in forfeiture of such portion of the prize. In the event Sponsor is unable to provide
the All-Access Pass, or tickets no compensation or substitution will be provided in
lieu thereof; however, remainder of the prize will be awarded and Sponsor will have
no further obligation to Winner.

9. GENERAL CONDITIONS. By participating, each Entrant understands and
agrees: (a) that if the Submission is made via a link to the Entrants YouTube
website account or any YouTube products, software, data feeds and services offered
on or through the YouTube website (collectively, the Service) such Submission
shall be made subject to YouTubes standard terms of use, conditions, policies and
practices which may include, without limitation: enabling automatic video claiming
tools (that may result in inaccurate claims); allowing content owners/administrators
to manually claim videos [including the publisher and/or co-publisher(s) of the
Composition, if applicable]; monetizing content by or on behalf of content
owners/administrators, including any music publisher that may own the
Composition; and blocking access to content from the Service. Neither Sponsor, the
publisher and/or co-publisher(s) of the Composition assume responsibility for
YouTubes terms of use, conditions, policies or practices; (b) to abide by these
Official Rules and decisions of Sponsor and judges, which shall be final and binding
in all respects relating to this Contest; (c) to release, discharge and hold harmless
Sponsor, the publisher and/or co-publisher(s) of the Composition, YouTube, Inc. and
their respective parents, affiliates, subsidiaries, and advertising and promotion
agencies, and the respective officers, directors, shareholders, employees, agents
and representatives of the forgoing (collectively, Released Parties) from any and
all injuries, liability, losses and damages of any kind to persons, including death, or
property resulting, in whole or in part, directly or indirectly, from Entrants
participation in the Contest or any Contest-related activity or the acceptance,
possession, use or misuse of any awarded prize; and (d) to the use of his/her name,
voice, performance, photograph/video, image and/or likeness for programming,
advertising, publicity and promotional purposes in any and all media, now or
hereafter known, worldwide and on the Internet, and in perpetuity by Sponsor and
its designees, without compensation (unless prohibited by law) or additional
consents from Entrant or any third party and without prior notice, approval or
inspection, and to execute specific consent to such use if asked to do so. Entrant
agrees not to release any publicity or other materials on their own or through
someone else regarding their participation in the Contest without the prior consent
of the Sponsor, which it may withhold in its sole discretion.

10. a. OWNERSHIP/USE OF ALL ENTRIES. By submitting an Entry, each Entrant
hereby grants to Sponsor, and to its licensees, successors and assigns, and any
person or entity acting on its behalf, the irrevocable right and license to use,
publish, exploit, modify, edit, transmit and distribute the Entry, including, without
limitation, the names and likenesses of any persons or locations embodied therein,

in any and all media now known or hereafter devised, worldwide, in perpetuity for
purposes without compensation, permission or notification to Entrant or any third
party.

b. OWNERSHIP OF THE WINNING ENTRIES. By accepting a prize, the Winners agree
that the Entry will be deemed a Work Made For Hire under the Copyright laws of the
United States and that the Entry is wholly owned by Sponsor and Entrant will have
no rights in and/or to the Submission, but if it cannot be so deemed, then the
Winners irrevocably assign and transfer to Sponsor all of Winners rights, titles and
interests in and to the Entry, including all but not limited to all copyright and
trademark rights which Winners may have, in the United States and worldwide,
therein, for consideration, the receipt and sufficiency of which is hereby
acknowledged. Winners hereby waive in favor of Sponsor, all rights of Droit Moral
or Moral Rights of Authors or any similar rights or principles of law that Winners
may now or later have to the Entry. Sponsor reserves the right to alter, change or
modify the winning Entry, in its sole discretion. Upon request of Sponsor, Winners
shall execute and deliver such additional instruments of assignment, as may be
solely deemed by Sponsor, reasonably necessary to establish the ownership of
record of the right, title and interest in and to the Entry and of the copyrights
transferred and Moral Rights of Authors waived under these Official Rules. Should
Sponsor fail to request the said assignment as stated, that shall not be deemed a
waiver of Sponsors rights and Sponsor may at a later time request the assignment.

11. GOVERNING LAW/JURISDICTION. The Contest and these Official Rules are
governed by and shall be construed in accordance with the substantive laws of the
State of Massachusetts (as distinguished from the choice of law rules) and the
United States of America applicable to contracts made and performed entirely in
Massachusetts and where the relevant contacts are with such state. Except where
prohibited, as a condition of participating in this Contest, each Participant agrees
that any and all disputes, claims and causes of action arising out of or connected
with this Contest, the Prizes awarded, or the determination of the Official Winner
shall be resolved individually, without resort to any form of class action. Entrant
further agrees that in any cause of action, the Released Parties entire liability will be
limited to the cost of entering and participating in the Contest, and in no event shall
the Released Parties be liable for attorneys' fees and/or experts' fees and costs.
Entrant waives the right to claim any damages whatsoever, including, but not
limited to, punitive, consequential, direct, or indirect damages and Entrant further
waives all rights to have damages multiplied or increased.

12. USE OF INFORMATION. By entering the Contest, Entrant agrees that Entrants
Entry and any other personally identifiable information collected or used in
connection with the Contest may be used by Sponsor in accordance with its Privacy
Policy, as posted on www.boston.com.

13. MISCELLANEOUS. Released Parties are not responsible for lost, late,
incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or
garbled Entries; or for lost, interrupted or unavailable network, server, Internet

Service Provider (ISP), website, or other connections, availability or accessibility or
miscommunications or failed computer, satellite, telephone or cable transmissions,
lines, or technical failure or jumbled, scrambled, delayed, or misdirected
transmissions or computer hardware or software malfunctions, failures or difficulties,
or other errors or difficulties of any kind whether human, mechanical, electronic,
computer, network, typographical, printing or otherwise relating to or in connection
with the Contest, including, without limitation, errors or difficulties which may occur
in connection with the administration of the Contest, the processing or judging of
Entries, the announcement of the prize, the incorrect uploading of the Submission or
in any Contest-related materials. Released Parties are also not responsible for any
incorrect or inaccurate information, whether caused by Contest Site users,
tampering, hacking, or by any equipment or programming associated with or utilized
in the Contest. Released Parties are not responsible for injury or damage to any
person's computer related to or resulting from participating in this Contest or
downloading materials from or use of the Contest Site. Persons who tamper with or
abuse any aspect of the Contest or Contest Site, who act in an unsportsmanlike or
disruptive manner or who are in violation of these Official Rules, as solely
determined by Sponsor, will be disqualified and all associated Entries will be void.
Should any portion of the Contest be, in Sponsors sole opinion, compromised by
virus, worms, bugs, non-authorized human intervention or other causes which, in
the sole opinion of the Sponsor, corrupt or impair the administration, security,
fairness or proper play, or submission of Entries, Sponsor reserves the right at its
sole discretion to suspend, modify or terminate the Contest and, if terminated, at its
discretion, select the potential winners from all eligible, non-suspect Entries received
prior to action taken using the judging procedure outlined above. CAUTION: ANY
ATTEMPT TO DELIBERATELY DAMAGE THE CONTEST SITE OR UNDERMINE THE
LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL
AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES
THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS
FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW,
INCLUDING CRIMINAL PROSECUTION.

14. REQUEST FOR WINNERS LIST. To obtain the name of the winners (available
after November 4, 2014), send a self-addressed, stamped, envelope to:

Voting Terms and Conditions To Be Posted at bdcwire.com/coveredbyarbella
The public will be provided with the opportunity to visit bdcwire.com/coveredbyarbella and select his/her
favorite Entry (each a Vote) between October 1, 2014 at 10:00 a.m. ET and ending on October 20, 2014
11:59 p.m. ET (the Public Voting Period) subject to the Terms and Conditions herein. You must be 18
years of age or older to vote. Limit one vote per video or audio per person per day. A day is understood
to mean one calendar day during the Public Voting Period between 12:00 a.m. ET and 11:59 p.m. ET.
Entrants into the Contest are prohibited from obtaining votes by any fraudulent or inappropriate means,
including, without limitation, paying for votes; offering contest entries, prizes or other inducements;
agreeing to exchange votes with another person; or offering any consideration or incentive of any kind
whatsoever to persons in exchange for votes, as determined by Sponsor in its sole discretion. Any attempt
by Entrant and/or his/her family/friends or any other individual to vote using any mechanism that violates
these Terms and Conditions or any kind of fraudulent mechanism, as determined by Sponsor in its sole
discretion, shall give Sponsor the right to void the votes in question and/or disqualify the Entrant in its sole
discretion. Votes must be entered manually. Votes generated by script, macro, bot or other automated
means or which subvert or impair the integrity of the voting process will be void, as determined by Sponsor
in its sole discretion. Voting must be completed by the actual person casting the vote. A person may not
vote on behalf of another person. Multiple votes by one person during one day will be disqualified. Voters
must follow instructions on bdcwire/com/coveredbyarbella to submit their votes.

Sponsor and each of its parent, affiliates, subsidiaries, consultants, agents, participating advertising and
promotion agencies and suppliers, and the respective officers, directors, shareholders, employees, agents
and representatives of the foregoing (collectively, Released Parties) are not responsible for
incorrect/inaccurate voting information. Released Parties assume no responsibility for any error, omission,
interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or
destruction or unauthorized access to, or alteration of, votes. Released Parties are not responsible for any
problems or technical malfunction of any telephone network or telephone lines, computer online systems,
servers, or providers, computer equipment, software, failure of any vote to be cast or tabulated on account
of technical problems, human error or traffic congestion on the Internet or at website, or any combination
thereof or for any other reason, or for any injury or damage to participants or any other persons computer
relating to or resulting from participation in voting process or downloading any materials. CAUTION: ANY
ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE
OPERATION OF THE VOTING PROCESS OR THE CONTEST IS A VIOLATION OF CRIMINAL AND
CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO
SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE
ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

Sponsor reserves the right, in its sole discretion, to modify, terminate, or suspend the voting or void any
vote should a virus, bug, non-authorized human intervention, action of Entrant or voter, or other cause
corrupt or impair the administration, security, or fairness of the voting. Sponsor reserves the right, in its
sole discretion, to disqualify any Entrant or voter they find to be violating these Terms and Conditions,
tampering with the voting process, or acting in an unsportsmanlike or improper manner and void all
associated votes. If the voting process is terminated early by Sponsor, Sponsor reserves the right to count
the eligible votes among all non-suspect, eligible votes received up to time of cancellation, or not count the
votes and simply have an expert panel judge the winning entries. The decision of the Sponsor with
respect to the tallying of votes, and the invalidation or disqualification of any suspected votes, shall be
within Sponsors sole discretion and shall be final and binding.
