AIRCRAFT DRY LEASE

This Lease of an Aircraft is made, effective this

, by and between ______________., a limited liability

corporation incorporated under the laws of the State of Texas, with principal offices at ____________________, (hereinafter referred to
as "LESSOR") and

, a Georgia Corporation, hereinafter referred to as "LESSEE"), with principal offices at :

RECITALS
The PARTIES recite that:
A.

LESSOR owns the Aircraft listed on Schedule A (hereinafter referred to as the "AIRCRAFT"). The AIRCRAFT is
available for use by a qualified LESSEE; and

B. LESSEE desires to lease the AIRCRAFT on a non-exclusive basis, under such terms and conditions as are mutually
satisfactory to

all PARTIES.

The PARTIES agree to as follows:

SECTION ONE
LEASE OF AIRCRAFT
LESSOR agrees to lease the AIRCRAFT to LESSEE, without crew, and without fuel as per the attached Schedule B. Payment
for each trip will be billed by LESSOR to LESSEE for the actual flight time registered on the Hobbs meter. Overnight Lease charges
will not be assessed for each night the AIRCRAFT is away from base. Payment must be made no later than ten days after receipt of
invoice. Fuel, pilots salaries, expenses, lodging, and away from base charges, such as aircraft hangar or tie down expenses, and
landing fees, will be the responsibility of the LESSEE. In case of inclement weather, as determined by the pilot, AIRCRAFT must be in
a hangar when away from base overnight. LESSOR shall invoice LESSEE to top off tanks upon return of AIRCRAFT, or LESSEE may
make its own arrangements to top off the tanks. On Lessees first flight under this Lease, LESSEE shall inspect the AIRCRAFT to the
extent deemed necessary by LESSEE. LESSEE shall have one week following the first Lease Period in which to notify LESSOR in
writing of any defects in the AIRCRAFT or its equipment or accessories. If at the end of such period, LESSOR has not received such
notification, it shall be conclusively presumed between the PARTIES that LESSEE has fully inspected the AIRCRAFT having
knowledge that it is in good condition and repair and that LESSEE is satisfied with and has accepted the AIRCRAFT in such condition
and repair.

As outlined by the FARs, The Pilot in Command is responsible for the determination of the
Airworthiness of the Aircraft before any intended flight.
SECTION TWO

TERM
This Lease Term shall commence on the

and continue for a 1 year commitment to Lease after said

date. Thereafter, this Lease shall be automatically renewed on an annual basis. LESSEE or LESSOR can cancel the Lease for any
reason, by giving the other party thirty days written notice in advance of intention to cancel. Thirty days after the date of such notice
the Lease shall automatically cancel and neither party shall have any further obligations hereunder provided LESSEES account is fully
paid.

SECTION THREE
COMMERCIAL OPERATION RESTRICTION
Neither LESSEE nor LESSOR will make the AIRCRAFT available for hire within the meaning of the Federal Aviation
Regulations. The AIRCRAFT is to be operated strictly in accordance with 14 C. F. R- Part 91.

SECTION FOUR
INSURANCE
During the term of this Lease, LESSOR shall cause to be carried and maintained, at LESSORS cost and expense, physical
damage insurance with respect to the AIRCRAFT in the amount set forth and outlined below. At all times during the term of this Lease,
LESSOR shall also cause to be carried and maintained, at LESSORS cost and expense, third party aircraft liability insurance, property
damage liability insurance, and medical expense insurance in the amounts set forth below:

LESSEE shall bear the cost of paying any expense not covered by insurance in case of a claim or loss while the AIRCRAFT is in
Lessees possession. LESSEE shall pay the premium to carry additional insurance above the amount specified within the terms of this
contract. LESSOR shall arrange for and shall furnish to LESSEE a Certificate of Insurance evidencing appropriate coverage as to the
AIRCRAFT and the satisfaction of the requirements set forth above to be given by its insurance carriers.

SECTION FIVE

RESTRICTIONS ON USE
LESSEE may operate the AIRCRAFT only for the purposes and within the geographical limits set forth in the
insurance policy or policies obtained in compliance with section four of this Lease. 'The AIRCRAFT shall be operated at
all times in accordance with the flight manual and manufacturers suggested operating procedures. Additionally, LESSEE
shall not use the AIRCRAFT in violation of any foreign, federal state, territorial or municipal law of regulation and shall
be solely responsible for any fines, penalties, or forfeitures occasioned by any violation by LESSEE. If such fines or
penalties are imposed on LESSOR and paid by LESSOR, LESSEE shall reimburse LESSOR for the amount thereof within
thirty (30) days of receipt by LESSEE of written demand from LESSOR. LESSEE will not base the AIRCRAFT, or permit
it to be based, outside the United States of America, without the written consent of LESSOR.
The AIRCRAFT shall be flown only by certificated and qualified pilots and shall be maintained only by certificated and
qualified mechanics.

Pilots must be approved in advance by LESSOR, and by the insurance carrier(s) for the AIRCRAFT.

Crewmembers must also meet the following minimum qualifications as set forth in Schedule C.
LESSEE will not directly or indirectly create, incur, assume or suffer to exist any lien on or with respect to the AIRCRAFT.
LESSEE will promptly, at its own expense, take such action as may be necessary to discharge any lien not excepted above if the same
shall arise while the AIRCRAFT is in possession of LESSEE.

SECTION SIX
INSPECTION BY LESSOR
LESSEE agrees to permit LESSOR or any authorized agent to inspect the AIRCRAFT at any reasonable time and to furnish any
information in respect to the AIRCRAFT and its use that LESSOR may reasonably request.

SECTION SEVEN
ALTERATIONS
Except in accordance with other written agreements entered into subsequent to the date of this Lease between LESSEE and
LESSOR regarding maintenance of the AIRCRAFT, LESSEE shall not have the right to alter, modify, or make additions or
improvements to the AIRCRAFT without the written permission of LESSOR- All such alterations, modifications, additions, and
improvements as are so made shall become the property of LESSOR and shall be subject to all of the terms of this Lease.

SECTION EIGHT
MAINTENANCE AND REPAIR

LESSOR, at LESSORS own cost and expense, shall repair and maintain the AIRCRAFT during the term of this Lease.
Notwithstanding any other provision in this Lease, LESSOR shall not be obligated to pay for maintenance ordered or requested by
LESSEE unless LESSOR has approved the work to be done, and the maintenance facility, in advance. The AIRCRAFT will be
maintained under Cessna Aircraft CESCOM Factory recommendations. LESSOR shall pay all costs and expenses of parts and
accessories for replacement, including transportation charges thereon. LESSOR shall be entitled to all salvage from broken or worn out
parts.
All inspections, repairs, modifications, maintenance, and overhaul work will be assigned by LESSOR and shall be performed by
personnel certificated to perform such work. Any work performed to the Aircraft will be in accordance "with the standards set by the
Federal Aviation Regulations,and Cessna repair guidlines. Lessees pilot shall maintain all customary flight logs and records pertaining
to the AIRCRAFT during the period of this Lease in accordance with the Federal Aviation Regulations and LESSOR. LESSOR shall
make such records available for examination. Any maintenance problems shall be immediately reported to LESSOR. Failure of
LESSOR to maintain the AIRCRAFT to Lessees reasonable satisfaction shall, by written notification from LESSEE, void this lease and
result in no further obligations by either party except the full payment of LESSEE for any hours actually flown on the AIRCRAFT.

SECTION NINE
TITLE
The registration of and Title to the AIRCRAFT shall be in the name of the LESSOR. The AIRCRAFT at all times during the
term of this Lease or any extension shall bear United States registration markings. Lessee has no authorization to apply for a change to
the Aircrafts registration, ownership, or domicile recordings on file with the FAA records branch in Oklahoma City, Oklahoma City
without express written consent of the Lessor.

SECTION TEN
PAYMENT OF TAXES
LESSOR shall pay or cause to be paid all taxes incurred by reason of ownership of the AIRCRAFT during the term of this
Lease, including state personal property taxes. LESSEE shall pay all taxes and expenses associated with Lessees use of the
AIRCRAFT on Lessees own business, including pilots' fees, landing fees, Fuel taxes, use fee tax, tie down or hangar rental,
and any other taxes, fees, or away from base expenses which may be assessed against a specific flight by LESSEE.

SECTION ELEVEN

ASSIGNMENT
LESSEE shall not assign this Lease or any interest in the AIRCRAFT, or sublet the AIRCRAFT, without prior written consent of
LESSOR. Subject to the foregoing, this Lease inures to the benefit of, and is binding on, the heirs, legal representatives, successors,
and assigns of the PARTIES.

SECTION TWELVE
ACCIDENT AND CLAIM
LESSEE shall immediately notify LESSOR of any accident or incident involving the AIRCRAFT. Notification shall specify the
time, place, and nature of the accident or damage, the names and addresses of parties involved, persons injured, witnesses, and owners
of properties damaged, and such other information as may be known. LESSEE shall advise LESSOR of all correspondence, papers,
notices, and documents whatsoever received by LESSEE in connection with any claim or demand involving or relating to the
AIRCRAFT or its operation, and shall aid in any investigation instituted by LESSOR and in the recovery of damages from third persons
liable therefore. LESSEE shall indemnify and hold LESSOR harmless for any loss or liability in any way related to Lessees use of the
AIRCRAFT pursuant to this Lease. LESSOR shall indemnify and hold LESSEE harmless for any loss or liability in any way related to
LESSORS use of the AIRCRAFT.

SECTION THIRTEEN
RETURN OF AIRCRAFT TO LESSOR
After each flight under this Lease by expiration or otherwise, LESSEE shall return the AIRCRAFT to LESSOR at Hobby Airport
or other airport designated by LESSOR, in as good operational condition and appearance as when received, ordinary wear, tear and
deterioration excepted, and shall indemnify LESSOR against any claim for loss or damage occurring prior to the actual physical delivery
of the AIRCRAFT to LESSOR.

SECTION FOURTEEN
MODIFICATION OF AGREEMENT
This lease constitutes the entire understanding between the PARTIES as outlined in section one of this Lease, and any change or
modification must be in writing and signed by both PARTIES.

SECTION FIFTEEN
GOVERNING LAW
This Lease is entered into under, and is to be construed in accordance with, the laws of the State of Texas, County of Harris.

SECTION SIXTEEN
TRUTH IN LEASING STATEMENT
THE AIRCRAFT, AS LISTED IN SCHEDULE A AND CURRENTLY REGISTERED WITH THE WITH THE FEDERAL
AVIATION ADMINISTRATION, HAS BEEN MAINTAINED AND INSPECTED UNDER FAR PART 91 DURING THE 12 MONTH
PERIOD PRECEDING THE DATE OF THIS LEASE.
THE AIRCRAFT WILL BE MAINTAINED AND INSPECTED UNDER FAR PART 91 FOR OPERATIONS TO BE
CONDUCTED UNDER THIS LEASE. DURING THE DURATION OF THIS LEASE,

RESPONSIBLE FOR OPERATIONAL CONTROL OF THE AIRCRAFT UNDER THIS LEASE. AN EXPLANATION OF FACTORS
BEARING ON OPERATIONAL CONTROL AND PERTINENT FEDERAL AVIATION REGULATIONS CAN BE OBTAINED FROM
THE NEAREST FAA FLIGHT STANDARDS DISTRICT OFFICE. THE "INSTRUCTIONS FOR COMPLIANCE WITH TRUTH IN
LEASING REQUIREMENTS" ATTACHED HERETO ARE INCORPORATED HEREIN BY REFERENCE.
