Matt,

Please let me thank you for the gift of your Friday evening. Your family gives you up often enough that my
request might have felt even heavier (everyone cherishes their Friday evenings) so I thank you *and* your family
for giving that time again to consider development of Troutdale. It was beyond the call of duty and I wanted to
express my appreciation.

David communicated some areas that he thinks we can hone and I am preparing a description of how I think we
could find agreement (and being me, it's rather long). So, that document will be out shortly and I will be slightly
modifying the MOU accordingly to match.

David communicated that you would want to know exactly what Troutdale woulds need to do. The public/private
venture structure does mean work on your side, yes, and I have no reason to pretend it isn't there. Rather, I'd like
to show you what that work looks like, what documents need to be assembled, and and how they work together.
I've just spoken to Mayor DeBerry for permission to share Holly Springs BTU report with you and the BTU
commitment, both of which speak to BTU forward pricing (Tristone Energy Survey). I am hoping you may have
some time today for me to bring them by, and show you "around" how they operate together. I will be glad to
leave them with you.

Would you have some time soon, maybe even today?
