Subject: Engagement of your services as the Second Assistant Director in our film ............
(Film).

Dear .......

With reference to the talks the undersigned had with you, this is to put on record that you
have agreed to provide your Services as mentioned for the Film on the terms and conditions
mentioned hereunder:
1. We are hereby engaging your services as the Second Assistant Director for Film and
you have conveyed your assent to be a part of this Film and have agreed to render
your services throughout the Term as a the Second Assistant Director in relation to the
Film. You have agreed to perform all the duties and carry out all such responsibilities
of an Second Assistant Director and assist the director of the Film, until the
certification with respect to the aforementioned Film has been obtained from the
censor authorities and even thereafter, for the purpose of re-shootingetc., for the
betterment of the Film or even otherwise and you will make yourself available on
such dates and time as may be intimated to you by the Producer for the same.
(Services).
2. You agree to personally devote your full time and energy to complete your Services to
the satisfaction of the Producer. You agree to adhere to the suggestions and
instructions of the Producer and perform your Services in a diligent, conscientious
and efficient manner for the entire Term.
3. That in consideration of your Services and the timely performance and observance of
your obligations in relation to the Film from April 15, 2016 till the end of the shoot
(Term). The Producer hereby agrees to pay you fixed amount of Rs. 30,000/-

(Rupees Thirty Thousand Only) per month inclusive of any and all taxes
(Consideration), unless your services are terminated earlier in accordance with this
Letter. In the event that the Producer requires your Services beyond the specified
Term, you shall be compensated for your Services on a pro rata basis.You shall not be
entitled to any monies in excess of the Consideration by reason of overtime, weekend
work, holidays etc. Youagree and acknowledge that the Consideration as stated above
is subject to deduction of tax at source and other taxes as may be levied by the
government from time to time.
You agree that the Producer shall be the first and exclusive owner of all rights
including but not limited to Intellectual Property Rights and copyright in the Film and
the products of your Services for all purposes, for the entire territory of the World and
in perpetuity. The Producer, as first and exclusive owner, shall have the sole and
exclusive right to exercise all rights comprised in copyright in the Film in accordance
with Section 14 (1) (d) of the Copyright Act, 1957 or any other equivalent provision
thereof.You, hereby, specifically consent to a waiver all of her/her rights relating to
the Services and the said Film to which you are now or may in the future be entitled
including under Section 19(4), Section 19A and Section 57 of the Copyright Act,
1957.
Subject to your fulfillment of all his obligations / Services to the full and complete
satisfaction of the Producer, the Producer hereby agrees that the Producer shall award
screen credit to you in the Film in such placement as the Producer deems fit.
Producers inadvertent failure to accord credit in accordance with the terms of this
shall not be deemed a breach of this Letter.
You shall not without the prior written consent of Producer, at any time hereafter,
either personally, or by means of press or publicity or advertising agencies, divulge or
disclose any information of any nature or kind relating to the development or
production of the Film, or make any statement or announcement or disclosure, or
supply any information or photographs, to any person, or to the public, relating to any
matter arising hereunder, or to the general affairs of Producer coming within your by
reason of rendering of the Services hereunder.
You agree that you are not under any disability, restriction, or prohibition, whether
legal, regulatory, quasi-judicial contractual, or otherwise, which shall restrict you
from performing or adhering to any of your obligations under this Letter, and you
have not entered into and shall not enter into any Letter that may violate this Letter.
Notwithstanding the foregoing, you agree that you shall not at any time hereafter say
anything detrimental about the Film, Producer or any person involved in or associated
with the Film.
The Producer shall be entitled to terminate this Letter by giving you a prior notice of
15 days without assigning any reason thereto. Further, the Producer shall be entitled to
terminate this Letter in its sole discretion in the event you are in breach of any of your
obligations contained in this Letter, or if you are unwilling or unable to carry out the
required Services. In such an event, you will be paid on pro rata basis and any excess
payments made to you by the Producer shall be refunded by you within 3 days of
intimation by the Producer.

10. You shall indemnify, save and hold harmless and keep fully indemnified, at all times,
the Producer, including his affiliate/s, successor/s, agent/s, representative/s and / or
employees from and against all actions, proceedings, claims, demands, losses,
injuries, damages or costs, including legal costs, awards, damages arising directly or
indirectly as a result of any third party claims that may arise on account of the your
negligence, acts of commission or omission, breach, misrepresentations and / or
default under this Letter.
11. This Letter is non-assignable by you. However, the Producer shall have the right to
assign the rights and obligations of your services under this Letter to any third party at
its sole discretion.
12. This Letter shall be governed by and construed in accordance with the laws of India.
The Parties agree that the Courts at Mumbai shall have the jurisdiction in all the
matters arising out of this Letter.
