NORTH CAROLINA,
ALAMANCE COUNTY SUPERINTENDENT'S CONTRACT
‘THIS AGREEMENT, made and entered into this 2th day of February, by and between
the Alamance-Burlingion Board of Education, hereinafter referred to a8 "Board,” and Dr.
William Harrison, hereinafter referred to as "Superintendent";
WHEREAS, the Board desires to provide the Superintendent with a writen employment
contract in order to enkance administrative stability and continuity within the schools which the
Board believes generally improves the quality ofits overall educational program; and
WIIEREAS, the Board and the Superintendent believe that a written employment
contract is necessary to describe specifically their relationship and to serve as the basis of
effective communication between them es they fulfill their governance and administrative
functions inthe operation ofthe education program of the schools;
NOW, THEREFORE, the Bosrd and the Superintendent, for the consideration herein
specified, agree as follows:
1. TERM. The Board, in consideration of the promises, herein contained, of the
Superintendent, hereby employs Dr. William Tlarison as Superintendent of the Alimank
Burlington School System ("Distriet” or “ABSS") for a term commencing July 1, 2015, and:
‘ending June 30,2017.
2, PROFESSIONAL LICENSE AND RESPONSIBILITIES OF SUPERINTENDENT.
‘A. LICENSE. The Superintendent shall furnish throughout the term of his
employment as Superintendent a valid and appropriate license to act as Superintendent as
prescribed by the laws of this state and by the regulations of the State Board of Education,
B. DUTIES. The Superintendent shall have charge of the edininistration of the
schools under the direction of the Board. He shall be the chicf exccutive officer of the Boatd;
shall serve as secretary to the Board; shall select all personnel subject (0 the approval of the
Board; shall have the authority to immediately accept resignations of personnel, for and on
behalf of the Board shall from time to time suggest regulation, rules, and procedures deemed
necessary for the orderly administration of the Disirit; and in general perform all duties incident
to the office of the superiniendent and such other duties as may be prescribed by law or by the
‘Board from time to time. ‘The Board and its individual members shall refer to the Superintendent
criticisms, complaints, inquiries, and suggestions brought to the attention of the Bourd or an
individual member thereof. The ection taken by the Superintendent in response to each referral
shall be reported as soon as practical to the Board.3. COMPENSATION. ‘The aggregate annual salary paid the Superintendent from state and
local funds shall be Two Hundred Forty-Five ‘Thousand Dollars ($245,000.00) per year. In
addition, the Superintendent's annual salary shall include an addtional payment inthe amount of
Eighty-Five Thousand Dollars ($85,000) which shall include any available unrestricted funds
donated or granted to ABSS by individual or community organizations. The aggregate annual
salary paid the Superintendent from slate, local and donated funds shall be paid in equal monthly
installments in accordance with the rules of the Board governing payment of other professional
employees ofthe school administration unit
4. RESIDENCE, During the term of this Contract, the Superintendent shall reside within
‘Alamance County.
5. EXPENSES, The Board shall reimburse the Superintendent for reasonable expenses
incurred by the Superintendent on behalf ofthe Board in the amount and manner prescribed by
Board policy. The Board recognizes that the Superintendent shall incur such expenses from time
'o time as the Board's representative in the pursuit of educational excellence, private funding,
‘rants, and for other reasons. ‘The Superintendent shal ile itemized expense siaiements with the
finance officer and Chairman of the Board for reimbursement of these expenses, Such
reimbursement requests shal be submited to the Chairman ofthe Board for review and approval
ptior to payment. Ata minimum, the Chairman ofthe Board shall report such reimbursements as
have been approved to the members of the Board as part of the anual evaluation of the
superintendent. In the absence ofthe Chairman, the actions, authority, and responsibilities of the
Chairman set forth in tis paragraph may be carried out by the Vice-Chainnan of the Board
6. VACATION AND OTHER BENEFITS.
A. LEAVR, The Superintendent shall receive annual leave and sick leave as
provided by state law and North Carolina State Bourd of Education regulations. Annual leave
‘and sick leave shall be taken in accordance with Board policy and State Board of Education
regulations. Vacation and sick leave may be caried forward as provided by law and Board
policy, and payment for any accrued and unused vacation leave at the termination of this
Contract shall be made in accordance with State Board of Education regulations and Board
policy.
“The Sopeincndent shall eccve any insurance or
benefits, including hath insuancc, provided to the Superintendent by the Site of North
Carolina to wiih the Superintendent senile as an employee ofthe ABSS.
C.__ PROFESSIONAL DEVELOPMENT. The Superintendent shall maintain
wembership in professional organizations approved by the Board and say participate in @
reasonable number of conferences, profesional meetings, and seminars, and other events which
the Superintendent and the Board fel are necessary to maintain and improve professional skills
and represent the interests of the District. The Board shall pay all costs incurred in the
‘Superintendent's membership in the American Association of School Administrators, the North
Carolina Association of School Administrator, three civic organizations, and other professional
organizations approved by the Board, The Board shall pay the reasonable expenses of the
Superintendent incurred in travel and participation in these conferences, meetings, and seminarsconsistent with Bourd policy, provided, however, that the Superintendent reccives the prior
approval of the Beard for atendance at any out-of-state conferences, meetings, oF seminars.
The Superintendent shall keep the Board informed of his’ attendance al meetings and
conferences away from the District and shall ensure that such attendance does not conilit with
his duties in supervising operation of the ABSS. The Board reserves the right to limit the
‘number of conferences or meetings attended in the Board's opinion, such attendance interferes
with the Superintendent's ability to supervise operation of the District,
D. _CELLULARPHONE. The Board will provide the Superintendent witha celular
phone, digital phone, or “pesonal digital assistant” (“PDA”) for official use from the provider of |
his choice, The Superintendent shall be reimbursed for the cost of school business calls in
excess of any monthly calling limits made on the cellular phone, digital phone, or PDA provided
by the Board. All maintenance and other monthly or recutring charges for the phone shall be at
the expense ofthe Board, and the phone shal remain property ofthe Board
E, TRANSPORFATION AND TRAVEL. In licw of a monthly travel allowance, the
Board shull provide the Sunerintendent with a Distriet-owned vehicle for his commute to and
from work and for official schoo! business. In the event thatthe Superintendent chooses to use
his personel automobile for out-of-counly travel, he shall be reimbursed for such travel atthe
same rates as provided for al Distriet employees.
7. MEDICAL EXAMINATION AND DISABILITY.
‘A. MEDICAL. EXAMINATION. The Superintendent hereby agrees to have a
‘medical examination once each year. The Superintendent shall be reimbursed for ary co-pay or
deductible incurred asa result of this medical examination.
‘A statement from a licensed physician of the Superintendent’ choice, certifying to the
physical competency ofthe Superintendent to fulfill his dulies and responsibilities, shall be filed
with the Chairman of the Board following the Superintendents annual medical examination. IF
‘the Chairman of the Board deers it necessary to provide the physician's statement to the fall
Board, the Chairman may ¢o so. The physician's statement shall at allimes be maintained as,
‘confidential information. 1° requested, the Superintendent agrees to authorize his physician (0
provide the Chairman of the Board’ with a copy of the complete results of his medical
‘examination. nthe event of illness, the Superintendent, upon request by the Chsiman, shall
urish additional writen medical records and these shall be treated as confidential information.
B. DISABILITY. Ifthe Superintendent is unable to perforin his essential functions
by season of illness or disbility, and reasonable efforts to accommodate his disatility do not
‘enable hitm to perform hs sential funetlons, and the disability exists for a perod of more
than ninety (90) days beyend the period of time which the Superintendent would have been
entitled to take as sick leave or vacation Ieave, or both, the Board may, at its option, terminate
this agreement whereupon the respective dutics, vights, and obligations hereof shall terminate
“The Board will cooperate fly withthe Superintendent in his application for disability bones.
If-a question arises concerning the capacity of the Superintendent to return to his duties,
the Board may require the Superintendent to submit to a medical examination tits expense to be
performed hy the certified physician of the Board's choosing, The physician shall submit areport to the Board as to whether the Superintendent is fully capable of resuming his duties and
responsibilities with or without accommodations.
8. EVALUATION. The Board shall conduct an appraisal of the Superintendent's
performance by October 30 of each year, beginning in 2015. This appraisal shall be conducted
by the Board in closed session «nd shall include a writen evaluation. In addition, the
Superintendent at any time may discuss with the Board his performance us Superintendent andlor
‘ny other mater involving the relationship between the Board and the Superintendent.
9. _ CONSULTING AND OUTSIDE EMPLOYMENT. The duties and responsibilities of
the Superintendent require fulltime employment and frequently quire that the Superintendent
avtend (o his duies during the evenings, weekends, and holidays. The Superintendent shall not
accept any outside employment that in eny manner inteeferes with the performance of his duties
tnd responsibilities as Superintendent of the Alamance-Burington School System. In no event
shall the Superintendent accept any outside employment, including consultative work or
appointments 1 foundations, boards or other commissions, without the prior written approval of
the Board. The Superintendent shal take appropriate leave while performing any outside work
during normal weekday work hours. The Superintendent shal make a written report tothe Board
no later than June 1 of each year listing all ouside employment he has performed during the
preceding year
10. _ CONFLICT OF INTEREST PROHIBITED. ‘The Superintendent acknowledges that he
has reed and understands the confit of interst statutes ofthe Sate of North Carolina and agrees
to comply with these statues and any other State laws or Board policies releting to conflicts of
imeres
11, RESIGNATION. The Superintendent shall provide the Board at least ninety (90) days
vwttten notice prior to resigning his position.
12, TERMINATION. Throughout the erm of this contract the Superintendent shall be
subject to discharge for good and just cause as provided by N.C. Gen. Stat. § 115C-274,
provided, however, thatthe Superinlendent shall have the righ to writen charues, a fir hearing
before the Board, and ten (10) day writton notice of said charges and hearing. At any said
hearing before the Board, the Superintendent shall have the right to be present and to be heard, to
be represented by counsel, and (o present through witnesses any testimony relevant to the issue,
‘A wanscript ofthe record of the proceedings before the Board shall be made available without
charge to the Superintendent. The Superintendent shall be solely responsible for the cost of his
Tegal representation under this ecticn,
13, UNILATERAL TERMINATION BY TIE BOARD. The Board may, at its option,
unilaterally (rminate this contract. Im the event of such termination, the Board shall pay to the
Superintendent, as severance pay, te aggregate salary he would have earned pursuant to Section
3.A of this Agreement, from the actual date of termination tothe ending date set forth in Section
{of this Agreement or any extensions hereof, or three (3) months salary , whichever is less. The
‘amount due the Superintendent shall be paid in a lump sum, or as may be agreed by the partics,
Inthe event thatthe Board chooses to ferminate the Superintendent's employment pursuant (0,this section, the right 10 hearing before the Board, as specified in Section 12 above, and any
right to appeal the Boar's action shall be considered waived by the Superintendent
14, AMENDMENT. The Agreement may be amended during its team by mutual written
consent ofthe Board ane the Superintendent. Any such amendment shall be in writing, approved
by official action ofthe Board, and accepied in writing by the Chairman ofthe Board and the
‘Superintendent.
15. SAVINGS CLAUSE. If, during the term of this contract, iti found that a specific clause
of the contac is illegal under federal or state lay, the remainder of the contract not affected by
such a raling shall remain in free.
16. LAW. This Agreement shall be governed by, construed, and enforced in accordance with
the law of the State of North Carolina.
17.__ FILING. A copy ofthis contact shall be filed with the State Board of Education before
the Superintendent is eligible to assume office.
18. ENTIRE AGREEMENT. The parties hereto ugree that this instrument contains the entre
agreement between them as of this date, and that it has not been induced by either party by any
representations, promises or undertakings not expressed herein, and that there are no collateral,
agreements stipulations, promises or understandings whatsoever by the respective parties in any
way affecting the subject matter of this contract which are not expressly contained in (his
instrument,
IN TESTIMONY THEREOF, the Alamance-Burlingion Board of Education bas
approved this Agreement and caused this instrument to be executed in its name by its Chairman,
and duly altested (0, all by order and resolution of the Bourd, and Dr. William Harison has
accepted this Agreement and has hereunto set his hand and seal, this the day and year first above
