STATE OF NORTH CAROLINA COUNTY OF ANSON EXTENSION OF SUPERINTENDENT'S CONTRACT THIS EXTENSION OF CONTRACT AGREEMENT, made and entered. into this 2 day of July, 2014, by and between the Anson County Boare of Education, hereinafter referred to as the “Board”, and Michael Freeman, hereinafter referred to as “Superintendent”; WHEREAS, by that certain “Superintendent's Contract” dated the 4" day of June, 2013, the Board and the Superintendent entered into an agreement whereby the Superintendent would serve a term beginning July 1, 2013 and continuing to June 30, 2015 as the superintendent of the Anson County Administrative Unit; AND WHEREAS, the first twelve (12) months of said “Superintendent's Contract” having passed, and pursuant to Chapter 115C, Section 115C-271(c) of the North Carolina General Statutes, the Board, having assembled on July 28, 2014 at their regularly scheduled meeting, has voted and agreed to extend the term of the Superintendent's contract for a term of no more than four years from the date of extension, said term now continuing until Sune 30,2018; AND WHEREAS, the Superintendent has consented to the extension of the “Superintendent's Contract” by his signature hereto; AND WHEREAS, the Board and the Superintendent are desirous that with the exception of the extended term, the remainder of the terms, conditions, provisions, promises, and mutual covenants contained in the “Superintendent's Contract” dated the 4" day of June, 2013 remain in full force and effect; NOW, THEREFORE, in consideration of the extension of said contract, together with the promises and mutual covenants contained herein, the term of the “Superintendent's Contract” shall hereby be extended for a term ending June 30, 2018, with the remainder of the terms, conditions, provisions, promises, and contained in the “Superintendent's Contract” dated the 4" day of in full force and effect; IN WITNESS WHEREOF, the Board has caused this Extension of Contract Agreement to be executed on its behalf by its Chairperson, and Michael Freeman has approved and consented to the extension by affixing his signature, as of the date first above written, Superintendent: “Michael. DUTIES AND RESPONSIBILITIES. ‘Michoe! Freeman, during the tem of his appointment as Superintendent set forth in Paragraph One (1) above, shall perform all of those duties prescribed by the Board, the State Board of Education, and the Laws and Statues of the State of North Carolin for Superintendent, including performance of the duties and exercise ofthe powers preseibed for a ‘Superintendent by the North Carolina General Statutes. In addition, but without limiting the Pap lott responses of the pares, the Board and Michael Freeman further acknowledge and agree ‘hat Mishel Freeman shall on an snoval basis furnish evidence that he continues to possess the sinimum eredentils, education prerequisites and experince requirements as the State Board ‘of Education shall preseibe, Superintendent sball also furnish throughout the tem of his ‘employment as Superintendent a valid and appropriate cette to ect es Superintendent 0s ‘retried bythe laws ofthis state and by the regulations ofthe State Board of Education, Superintendent shall have complete freedom to organize, re-orgaize and arrange the ‘ministrative and supervisory staf, including instruction and business affairs in any manner or fashion, which in his judgment bet serves the Anson County Public School System. The Board stall vest responsibilty for selection placement and transfer of all personnel in the ‘Superictendent subject to approval bythe Board ‘The Board individually and collectively, will refer to the Superintendent for swdy and recommendation, criticisms and suggestions called to its etention, 3. COMPENSATION. ‘The monthly salary of the Superintendent shall be established by the applicable state salary sale, This monthly salery does nt include state salery for advanced degrees, which is © separa sum paid by the Stat. In addition to the salary pad the Superintendent ffom state finds, the Board agrees to supplement the Superintendents salary from local funds in the ‘mouty of Twenty-Four Thousand and no/10OMhs Dolins ($24,000.00) per year. However, this Teal sapplement shall be reduced each year by an amount equal to the difference between the ‘cost of individual health insurance coverage for the Superintendent andthe cost of the family ‘eal insurance coverage plan chosen by the Superintendent In addition to the Superintendent's aggregate annual salary provided above, be shall be gible for peformance-based compensation set at Fifteen Thousand and no/1O0Gths Dollars ($15,000.00) during each year ofthis Contract. The Superintendent sall etm such prformance- ‘esed compensation by reaching or exceeding specific goals to be agreed upon by the Board and Superintendent no later than September 15 of each year. If the Superintendent achieves all of the stated goal, he wil be eligible forthe entire bonus. Minimum standards wil be established foreach goal. Ifthe Superintendent achieves less than the minimum standard for ‘any geal, be will receive no bonus for that goal. Ifthe Superintendent achieves the minimum tt, be wil receive a pro-rated percentage bonus based upon the percentage of the goal reached, Page 2 4, OTHER BENEEITS. ‘The Superintendent shal receive leave, including locally paid sick leave up te the state ‘init, health insrares including health insurance coverage for his family under the tems ofthe state health insurance plan chosen bythe Superintendent, and other benefits generally epplicable to other twelve (12) month certified administrative employees of the Board and pursuant to (Chapter 115C ofthe North Caroline General Statutes and State Policy as well sth followin A. LIFEINSURANCE. ‘The Board shall purchase a policy of term life insurance for the Superintendent's Contract in an amount of Seventy-Five Thousand apd na/1O0ths Dollars ($75,000.00) and the Superintendent shall be owner of the policy and shall designate beneficiaries in accordance with the terms ofthe policy. B, DISABILITY INSURANCE. In edition tothe life insurance as set out above, the Board agrees to purchase forthe ‘benefit of Superintendent supplemental disability insurance as set out inthe State Supplemental ‘Benefits Plan or equivalent coverage. C.__ PROFESSIONAL AND CIVIC ORGANIZATIONS. ‘The Board expects the Superintendent to continue his professional development and expects him to participate in relevant learning experiences. The Superintendent shoud stend appropriate professional meetings at the local and state level and out of state upon agproval of ‘the Board chair. The Superintendent should also be a member of appropriate professional orgeniations. The Supecintendent's membership dues for one professional organization und the reasonable expenses for attendance at such meetings shal be reimbursed to him by tie Board, ‘The Superintendent shall file an itemized expense statement withthe finance officer ofthe Board to obtain reimbursement of these expenses in accordance with Board policy. The total expenses for such meetings and other out of County travel by the Superintendent for attending such ‘meetings shall not exceed the sum of Five Thousand and no/1OOths Dollars (85,000.00) per yea, ‘without the express consent ofthe Boar, D. MOVING EXPENSES. ‘The Board will reimburse Superintendent for his actual expenses incured in moving to ‘Anson County in tke event he does not already reside in Anson County a the time of execution ofthis Contec. The Superintendent shal file an itemized expense statement with invoices with ‘the finance officer cf the Board to oblain reimbursement ofthese expenses. Superintendent shall file an itemized expense satement with ths finaaee ‘officer ofthe Boor to obinin reimbursement of these expenses in accordance wil Board policy FAMILY HEALTH COVERAGE. ‘The Board agrees to provide Family Health Insurance coverage for Superintendent's ‘amily under the terms of the state insurance plan chosen by Superintendent; however, the Aiffrence between the cost of individual coverage under the plan chosen by the Superniendent and the cost of the Family plan shall be deducted fom Superintendents local smplement compensation under Paragraph 3 of this contrac. 5. TRANSPORTATION EXPENSE, ‘The Board shall provide the Superintendent with arto be designated by the Bord, sid ‘art be wed by the Superintendent for travel required in the performance of his ofcal duties during is employment under this Contract. Superintendent sll have the option of resiving & travel allowance of Six Hundred and no/10Odhs Dellars ($600.00) per month instead of car, in ‘which case, no car will be provided to the Superintendent by the Board. The Superntendent Shall be reimbursed for automotive and transportation expense incurred for wavel outside Anson County. “However, the total anount reimbursed for out of County travel and meeting, es set forth in the section on compensation shall not exceed the sum of Five Thousand and co/100ths Dollis ($5,000.00) per year without Boerd approval. Superintendent shall ile itemized expense statements With the finance officer ofthe Board to obisin reimbursement for out of county travel expenses. PROFESSIONAL LIABILITY. ‘The Board agrees that it shall defead and indemnify the Superintendent from aay zd all demunds, claims, suits, actions, and legal proceedings brought aglast the Superintendent in his individual or officiel capacity provided the iacident giving rise to any such demands, claims, su sctions or legal proceedings, (a) is not criminal in nature and arose vhile the Supetintendent was scting within the scope and course of his employment and (b) provision of such lability is within the authority ofthe Board under Norta Carolina Law. Tn no event will individual Board members be considered personaly Hable for indemnifying the Superniendent gana such demands claims, suits, actions or legal proceedings. 7. HEALTH CERTIFICATE. Michael Freeman agrees to submit toa complete medicl examination pursuantto North Carling General Statutes Section 115-323 and to provide the results of seid examination tothe Boud. Thereafter, and at his expease, the Superintendent shall have an annual medical ‘examination and shall submit the appropriate certification pursuant to North Caroling General Page oft Statute Section 115C-823 as to the results ofthat examination tothe Board, Seid cetifiation and all related medical reports shall be treated as confidential medical records and shall be ‘etumed tothe Superintendent a the termination ofthe Contract. 8 RESIDENCE. Pursuant to North Carolina General Stetutes the Superintendent shall establish and ‘mtinain his residerce within Anson County. 9. CONSULTING AND OUTSIDE EMPLOYMENT. ‘The duties and responsibilities of the Superintendent require full ime employment and fiequently require thatthe Superintendent atend to his duties during the evenings, Weekends and holidays. The Superintendent shall not accept any outside employment that in any manner interferes withthe performance of his duties end responsibilities as Superintendent ofthe Anson County Schools. The Bosrd does recognize that certain ouside employment may have beneficial impact oa the Superintendent's professional growth or may not interfere with the Superintendents performance of his duties and responsibilities. The Superintendent may accept 8 limited amount of outside employment on weekends, holidays, and on anual lave days, provided thatthe Board has approved in advance the outside employment and foun! thatthe ‘outside employment in no manner interferes with the Superiatendent's performance ofhis duties ‘nd responsibilities Upon request by the Board, the Superintendent shall make a writen report to the Board listing all outside employment he has performed during the proceeding year, Superintendent agrees to comply with the laws and siatues of North Carolin and with Boerd policy regarding conflicts of interest. 10. DISABILITY. ‘Should the Superintendent be unable to perform any of all of his dues by reason of ites, accident or other eause beyond his contol, and should sid disability exist for period of ‘more than tity (30) days beyond the period of time which the Superintendent would ave been entitled to tke a5 sick leave or vacation leave ot both, or if sxid disability is permanent, ineparsble or of such nature that is determined by the Board will make the performance of his duties impossible, te Board may atts option terminate tis agreement whereupon the especsive duties, rights and obligations hereof shall terminate. The diseblity insurance provisions provided the Supesntendent in this Contac shall be limits of the ibility ofthe Board in the vent ofthe Superintendents disability. 1, DISCHARGE. ‘The Board may discharge the Superintendent for cause during th term of the Contre. ‘Causes for removal shall include but not be limited to those eaumerated in North Caroline General Stu 115C-274 (lcluding any subsequently enacted amendments thereto) nd any of the grounds for the dismissal or demotion of a career teacher enumerated in Nort Carolina General Statue 1:5C-325 (@) (1). Prior to any decision by the Board to discharge the Superintendent for eause, the Superintendent shall have the right toe waitten statement of the Page Sot alleged grounds for discharge und ten (10) days written notice ofthe time and place of hearing before the Board, Superintendent shall have the right to be present at the bearing, to be represeted by counsel, o present evidence in his own behalf ane to cross-examine adverse winesses. If Superintendent elects to be represented of accompanied by legal counsel at any hhewing before the Board, be shall assume the cost of his legal expenses, In the event the ‘Superintendent undertakes an appes! from any Board action; a trarscrptof the record of the seedings before the Board shall be mode available without chirge to Use Superintendent. Discharge for cause pursuant to this provision shall terminate all rights end responsibilities of ‘Michel Freeman as Superintendent. 12, SUSPENSION. ‘At anytime the Board receives a report from the Superintendent of Publi Instruction or & statement ftom a member of the Board pursuant to North Carolina General Steutes 115C-274, ‘he Board may in its discretion determine that immediate suspension ofthe Superintendent is neowsary. The Bourd may suspend the Superintendent with or withost pay fora reasonable time not to exceed ninety (90) days. Before suspending the Superintendent the Board shall give the ‘Superintendent written notice ofthe suspension, said notice to inchue an explanation ofthe basis {or the Boar's decision to institute his suspension. Lf suspension i 9 be without pay, the Board stall schedule a hearing before the Board within fifteen (15) days of commencement of the suspeosion. If tis finally determined that no grounds for discharge exis, the Superintendent shal be reinstated immediately and ifthe suspension was without py, the Superitendentsball ‘be paid forthe period of suspension. During the period of suspensien, the Board may, parsuant ‘o Non Carolina General Statutes, appoint another person to serve 1s acting or Superintendent with all the powers and duties prescribed for a Superintendent by te North Cacolina General States 13, UNILATERAL TERMINATION BY THE BOARD. ‘The Board may at its option unilaterally erminste this Contract. Inthe event of such temination, the Board shall pay the Superintendent as severance pay the aggregate annval salary payable pursuant to Paragraph tree (3) herein forthe period beginning with the effective date oF ‘the termination and continuing to the termination date set forth inthe Contract. The Board shall py seid severance ey in equal monthly installments. Inthe even te Superintendent obtains ‘other employment prior tothe terminstion date of the Contact, sid severance pay shall be reduced in the amount of the salary or other monciary compensation received by the Superintendent from his subsequent employer. In the event the Board decides to terminate the Contract pursuent to this provision, the right to shearing befor the Berd a specified above and the right to appeal the Board's setion pursuant to North Carolina General Stetute shall be comidered waived bythe Superintendent. During the term of his appointment es Superintendent, the Board shall provide Michael Freeman with an anual evaluation of his performance as Superintendent by a method and _ursuait oa schedule tobe determined by the Bout after consultation with the Superintendent. ‘A confieatial writen record ofeach evaluation shall be mainiined inthe files ofthe Board. 15, REPRESENTATION AND WARRANTIES. Michael Freeman represents and warrants that he has never beea discharged from any ‘rior employment for cause, been convicted of a criminal offense (other than a minor traffic olan), declared bankruptcy or otherwise become unable to pay his just debts, had a civil judgment rendered against him, or committed any offense for which he was liable for discharge for cause s thet tem is defined pursuant to North Carolin General Statutes Sections 115C-274 and 115C-325 (¢) (1). Breach of this representation and waranty sall coasttue grounds for discharge for cause 16, APPROVAL BY STATE SUPERINTENDENT AND STATE BOARD OF EDUCATION. Appointment of Michtel Freeman as Superintendent is subject tothe approval of the ‘State Superintendent of Public Instruction and the State Board of Educetion pursuant to North Cerolica General Stetute 115C-271. If the appointment of Michael Freeman as Superintendent is ‘ot aprroved, this Contact is mall and void. 17, MISCELLANEOUS. A. This Contract may be executed in several counterparts each of wiich shall be deemed to ‘x original end which together shall constitute one and the seme instrument, BL Allheadings herein are inserted for convenience only. . Any exception or modification tothe Contract shall be only by mutual writen consent of the partes. D. This Contract stall be governed and interpreted by the laws of the State of North Caolina, B, This Contracts subject to any amendment, repeal, or enactment of applicable provision fn the North Caroling General Statutes.
