The term of employment for the “SUPERINTENDENT” of the Bladen County Schools is extended to continue until June 30,2017. The provisions ofthis Amendment are effective as ofthe date of the date ofthe execution of tis ‘amendment. All other provisions of the Superintendent's Contract executed April 21,2011, tit ‘are not amended by the provisions stated hereinabove shall continue in effect unless and until further amended through written agreement by and between the “BOARD” and the “SUPERINTENDENT”. ROBERT PERNELL TAYLOR, hereinafter referred to as “Superintendent; \WITNESSETH: WHEREAS, the Board desires to provide the Superintendent with a written employment contract in order to enhance administrative stability and continuity within the schools which the Board believes generally improves the quality ofits ove educational program; and WHEREAS, the Board and the Superintendent belive that a writen employment contact is necesary to describe speilly their relationship and to serve asthe bass of effective communication between them as they full ther govemance and adminisatve nein in the operation ofthe education program ofthe schools NOW, THEREFORE, the Board and the Superintendent, forthe consideration herein specified, grea follows: 1. TERM OF APPOINTMENT, The Board in consideration of te promises herein contained ofthe Superintendent, bereby employs Dr Robert Taylor as Superintendent of Schools for aterm begining Sly 1,201 and ending June 30% 2014. In each subsequent yar, the Board shall consider whether by specific aston nd withthe consent ofthe Superintendent to extend the termination dat ofthe existing contract within the extent permite by sate law. 2 JRESSIONAL LICENSE AND RESPONSIBILITIES OF ‘SUPERINTENDENT. ‘A. LICENSURE, The Superintendent shall furnish throughout the term of his employment as Superintendent a valid and appropriate license to act as Superintendent as prescribed by the laws of this state and by regulations of the State Board of Education, B. DUTIES. The Superintendent shall have the charge of the administration of the schools under the direction of the Board. He shall be the chief executive officer of the Board; shall serve as secretary (0 the Board; shall direct and assign teachers and other employees of the schools under his supervision; shall organize, reorganize and arrange the administrative and supervisory staff, including instruction and business, as best serves the Bladen County Public ‘School System, shall recomend for employment individuals subject to the approval of the ‘Board; shall from time to time suggest regulations, rules and procedures deemed necessary for the well ordering of the school district; and in general shall perform all duties incidental to the office ofthe Superintendent and such other duties as may be prescribed by law, Board Policy, or by the Board from time to tme, not limited to any duties identified by the Board in establishing the Superintendent's annual performance criteria. ‘The Board individually and collectively, shall promptly refer all criticisns, complaints, and suggestions called to its attention to the Superintendent for study and recommendation. In their dealings with the Superintendent the ‘Board members shall dal through Board Action, ‘The Superintendent shall have the right to attend all Board mectings and all Board ‘onmiiee mectings, except mecting called to discuss the superintendent's evaluation, and shall hhave the right to provide the administration recommendations on each item of business considered by the Board andit ‘The Superintendent shall have the authority to recommend the selection of attorneys to the school distrie: on any specialized matters in which the superintendent considers it ‘committes, work in the best interest of the System, including special education-related issues, personnel, and any investigations. In any mater, which involves the Superintendent in hearings or presentation of evidence to the Board on betalf ofthe administration of the System, and in his offical capacity, the Board shall be represented by the Board's local attomey and the Superintendent may recommend outside counsel represent the system at the systems expense ‘This is an agreement forthe peeformance of professional services as superintendent by the Superintendent, who shall not be assigned to any other position or have his duties reassigned to others without his consent 3. COMPENSATION, A. ANNUAL AGGREGATE SALARY. The Superintendent shall be paid an annual aggregate salary in the amount of One Hundred Thirty Thousand Dollars ($130,000), less ‘amounts tha are required tobe withheld from salary by State, Federal, and local laws, rules and regulations. The annval aggregate salary paid the Superintendent from slate and local funds shall, be paid in equal romthly installments in accordance with the mules of the Board governing payment of other Professional employees of the school administrative unit 4. YACATION DAYS AND SICK LEAVE AND MEDICAL INSURANCE, ‘The Superintendent shall receive annual leave, sick leave, and health insurance as provided by state law and North Carolina State Board of Education regulations 5. OTHER BENEFITS ‘A. TRANSPORTATION, The Board shall provide a vehicle for the exclusive use of the Superintendent. The vehicle may be used by the Superintende B, MOVING EXPENSE. ‘The Board will pay the actual moving expense ofthe Superintendent and his wife. The the performance of official school business Superintendent agress to obtain three acceptable bids for moving expense and the Board will pay the lowest of the three bids upon approval by the Board Chairman. C. PROFESSIONAL AND CIVIC DUES. ‘The Board will pay forthe Superintendent's dues for membership in two professional and two civie organizations, and any other organizations with prior approval by the Board Chairman, D. BENEFITS TO TWELVE-MONTH EMPLOYEES, Superintendent shall be entitled to any other benefits, not hereinabove referred to, provided to twelve- month professional employees of the Board by state law or regulation, and shall further be ented to receive annual salary increases as paid to other certified professional employees. The Board shall have the option to award additional salary increases as determined by the Board E. CELL PEONE EXPENSE ‘The Board shall pay all expenses for use of cell phone, including the cell phone cost, ‘monthly access fee and other cost of a plan selected by the Superintendent, and approved by the Board Chairman, for business and personal use. F, OUT OF COUNTY TRAVEL. ‘The Board shall pay or reimburse the Superintendent for out of county expenses incurred by the Superintendent in the continuing performance of his duties under this employment contract in accordance with budget constraints, and in accordance with rates established by Board policy for school system employees. PROFESSIONAL GROWTH OF SUPERINTENDENT. ‘The Board expects the Superintendent to continue his growth and professional evelopment through membership in and attendance of appropriate and relevant professional and community meetings atthe local slate, and national level with prior approval ofthe Board, and within the budget constraints as approved by the Board 7. PROFESSIONAL LIABILITY. ‘The Board agrees that it shall defend, hold harmless, and indemnify the Superintendent ffom any and all demands, claims, suits, actions and legal proceedings brought ‘against the Superintendent in his individual eapacity, or in his offical capacity as agent and ‘employee ofthe Board, provided the incident giving rise to any such demand, claim, suit, action or legal proceeding arose while the Superintendent was acting within the scape of his ‘employment, and provided further, that such Tis Board to provide under state aw, The Board shall provide indemnity from liability asset forth above from all claims made and occurrences throughout the term of this contract and any silty coverage is within the authority of the extensions thereof. In no case will individual board members be considered personally iable for Indemnifying the Superintendent against such demands, claims, suits, actions and legal proceedings. 8. DI ION AND DISABILITY. ‘A. MEDICAL EXAMINATION, ‘The Superintendent hereby agrees to have an annual medical examination paid for by the Board. A statement from a licensed physician of the Superintendent's choice, certifying to the physical competency ofthe Superintendent to fulfil his duties and responsibilities, shal be filed with the Chairman of the Board and treated as confidential information by the Board, and if the Board deems it necessary, the Superintendent agrees to authorize his physician to provide the Board with a copy of the complete results of his medical examination. Inthe event of illness, the Superintendent, upon request by the Board, shall furnish additional written medical records to the Board and these shall be treated as confidential information. B. DISABILITY. ‘Should the Superintendent be unable to perform any or all of his duties by reason of illness, accident, physical or mental incapacity or other cause beyond his control and should said inability exist for a continuous period of more than 90 days, excluding that period of time which the Superintendent would be entitled to take as paid sick leave or vacation leave, of both, or if said inability is permanent, ineparable, or of such nature as, in the discretion of the Board, will ‘materially impair the performance of his duties, the Board may, at its option, and subject to applicable provisions of State and Federal Iaw regarding handicapping conditions and Aisabitties, terminate this Coatract whereupon the respective duties, rights and obligations of the partes hereto shall terminate. 9. EVALUATION. ‘The Board shall meet with the Superintendent at least annually t identity Superintendent's annual performance goals. The board shall provide the Superintendent with periodic opportunities, at lesst annually, to discuss Superintendent-Board relationships, The ‘Board shall provide the Superintendent wit a written annual evaluation of his performance that reflects the consensus of the Board no later then August 31" of each year beginning in August 2012. 10. CONSULTING AND OUTSIDE EMPLOYMENT. ‘The duties and responsibilities ofthe Superintendent requir full-time employment and frequently require thatthe Superintendent attend to his duties during the evenings, weekends and holidays. The Superintendent shall not be currently employed or accept any outside employment Without knowledge and approval of the Board 11. CONFLICT OF INTEREST PROHIBITED. ‘The Superintendent ecknowledges that he has read and understands the conflict of ierest statutes ofthe State of North Carolina and agrees to comply with the statutes and any ‘other State laws or Board polices relating to conflicts of interest. 12, TERMINATION. ‘Throughout the term ofthis contract the Superintendent shall be subject to discharge for ‘good and just causes as provided by N.C. Gen. Stat. Section 115C-274. 13. UNILATERAL TERMINATION BY THE BOARD. ‘The Board may at its option, unilaterally terminate {termination the Board shall pay to the Superintendent, as severance pay, the annual aggregate salary and benefits he would have eamed pursuant to this agreement for the upcoming twelve ‘months of employment or the remaining time of the contract, whichever is less. Inthe event that is contract. In the event of such the Board offers to terminate the contract by paying the amount specified herein, the right to a hearing before the Board and the right to appeal the Board's actions shall be considered waived by the Superintendent 14, NOTENURE. ‘The Board and the Superintendent agree that this Contract is for employment for a limited term of three years, that this Contact is not a continuing contact, and that there is no ‘express of implied agreement by the Board for employment of the Superintendent beyond the term set forth in this Contract, The Board and the Superintendent further agree that the Superintendent is not eligible to obtain career status (lenure) and that this Contract of ‘employment dots not require the Superintendent to perform the responsibilities of a teacher as defined by North Carolina General Statute Section 115C-325, 15, AMENDMENT. This Contract may be amended during its terms by mutual written agreement of the Board and the Superintendent. Any such amendment shall bein writing, approved by the official action of the Bourd, and executed in writing on behalf ofthe Board by its Chairman and executed by the Superintendent, 16. GOVERNING LAW. ‘his Cortract shall be governed and construed in accordance with the laws of the State of North Carolina. 17. SAVINGS CLAUSE. If, during the term of this contrat, itis found that a specific clause of the contract is illegal under federal or state law, the remainder ofthe contract not affected by such a ruling shall remain in fore. 18. FILING. ‘A copy of this contract shall be filed with the Superintendent of Public Instruction in North Carolina, 19, ENTIRE AGREEMENT. ‘The parties hereto agree that this instrument contains the entire agreement between them as of this date, and that it has not been induced by either party by any representations, promises or undertakings not expressed herein, and that there are no collateral agreements, stipulations, promises or understanding whatsoever by the respective parties in any way affecting the subject ‘matter ofthis instrument IN TESTIMONY THEREOF, the Bladen County Board of Education has approved this ‘Agreement and caused this instrument to be executed in its name by its Chairman, and duly attested to, all by order and resolution of the Board, and Dr. Robert Taylor has accepted this ‘Agreement and has hereunto set his hand and seal, this the day and year first above written BLADEN COUNTY BOARD OF EDUCATION R a: LEWIS, Sean rect DR.
