NORTH CAROLINA FIRST AMENDMENT 1 SUPERINTENDENT'S CONTRACT ORANGE COUNTY ‘As authorized by the Chapel Hil-Carrboro City Board of Education (“Board the contact between the Board and Dr, Tom Forcella dated April 14, 2011, i hereby amended as follows effective November 1, 2012 1. EXPENSES. “The Board shall reimburse the Superintendent for reasonable expenses incurred by'the Superintendent on behalf of he Board. ROARD OF EDUCATION / tt. fa sea) ote (Seal) STATE OF NORTH CAROLINA COUNTY OF ORANGE ‘SUPERINTENDENT'S CONTRACT ‘THIS AGREEMENT, is made and entered into this the 14th day of April, 2011, by and between the Chapel Hill-Cartboro City Board of Education (hereinafter refered 19 as "Board", and Dr. Thomas A. Forcella (hereinafter referred to as "Superintendent" WHEREAS, the Boord desires to provide the Superintendent with a wit employment contract in order to enhance administrative stability and continuity within the schools which the Board believes generally improves the quality of ts overall eduetional programs and WHEREAS, the Board and the Superintendent believe that a. wtiter employment contract is necessary to desribe specifically their relationship and to serve as the basis of effective communication between them as they fulfill their governance and administrative functions inthe operation ofthe education program ofthe schools; NOW, THEREFORE, the Board and the Superintendent, for the consideration herein ‘specified, agree as follows: 1. TERM ‘The Bow, in consideration of the promises herein contained ofthe Supeinenden, hereby employs Dr, Tomas A. Forcell as Superintendent of Schools fora term of four years commencing only 1, 2011 and ending on June 30,2015, 2. "PROFESSIONAL CERTIFICATION AND RESPONSIBILITIES OF SUPERINTENDENT — A. CERTIFICATION, The Supesintendent shall fumish throughout the term of his ‘employment as Superintendent a valid and appropriate certificate to act as Superintendent as the Superintendent with an aggregate ennual salary of One Hundred Ninety Five Thousand and (00/100 Dottars (195 000.00) ‘The aggregate annual salary paid the Superintendent from state and local funds shall be paid in equal monthly installments in accordance with the rules ofthe Board governing payment of other professional employees of the administrative unit B. SALARY REVIEW. During the term of this agreement, the Superintendents salary shall be revizwed at least annually by the Board. The Board may increase the Superintendent’ salay by mutual conseat or at any time by action ofthe Board. Inthe event of ‘an increase during the term of this contract in the Swie-approved salary schedule for superintendents, any such increase automatically shall be matched in an equal percentage amount through an increase in the local supplement, and both increases shall be applied to the ‘Superintendent's annual aggregate salary. ©. SALARY REDUCTION. The Board may, by majority vote, reduce the Superintendent's salary by a maximum of three percent in any fiscal year when teachers employed by the Bourd receive an across-the-board reduction in salary or supplement, if the teacher reduction is based on financial exigency faced by the Board. In no event shall the ‘Superintendent's salary be reduced by a greater percentage than the average reduction applicable to teachers. LEAVE, The Superintendent shall receive annual vacation and sick leave as provided by state law end North Carolina State Board of Education regulations. Annual leave and sick leave shall be taken in accordance with Board policy and State Board of Education the Chairperson ofthe Board. The Superintendent shal ie itemized expense statements withthe finance officer ofthe Board for reimbursement of these expenses in accord with Board Policy. The Board retain th ight o review the Superintendents expense statements and to deny any tht the Board deems excessive or unjustified. The Board shall pay resonable expenses forthe Superintendents inital move fiom ‘Connecticut tothe Chapel Hil-Carrboo City School District. The Board Chair hall have authority to review and eppove the Supecntendet’s moving expenses, 7. TRANSPORTATION, ‘The Boar shall reimburse the Supeinendent for out-of district travel athe same rte as provided for all employees In lieu of reimbursement for outofulstict travel, the Superintendent may use a Board-ovmed vehicle for such out-of istrict travel 10. DISABILITY. Should the Superintendent be unable to substantially perform the duties required by this Contract by reason of illness, accident or other eause beyond his contol, and should this inability to perform his duties exist for more than thirty (30) days beyond that period of time for which the ‘Superintendent would have been entitled to take sick leave or annual leave o both, the Boa may at its option terminste this agreement. If the Board determines such conditions as permanent, ireparable or of such nature as will make the performance of the Superintendent duties impossible, the Board may compensate the Superintendent's unused sick leave and terminate this agreement. 11, PERFORMANCE EVALUATION ‘The Board shall provide the Superintendent with periodic opportunities to discuss the Superintendent Board relationship, and it shall provide for a formal performance evaluation at least annually. In the Superintendent's first year of employment, the Board and Superintendent will conduct a mid-year evalustion. As part of each annual evaluation, the Board shall review and consider increases in the Superintendent’ salary. 12, CONSULTING AND OUTSIDE EMPLOYMENT. ‘The Superintendent shall not accept any outside employment that in any manner interferes with the performance of his duties and responsibilities as Superintendent. However, the Board recognizes that certain outside employment may have a beneficial impact on the Superintendent's professional growth and may be such that it would not interfere with the Superintendent’ performance of his duties and responsibilities. Thus, the Board grants to the Superintendent, subject to prior approval by the Board, the opportunity to accept outside eraployment or appointments. The Superintendent agrees to keep the Board informed ofall such 15. UNILATERAL TERMINATION BY THE BOARD. ‘The Board may, a its option unilaterally terminate this ccnract, Inthe event of such termination the Board shall pay to the Superintendent, as severace pay, a sum equal tothe aggregate salary he would have recsived for eighteen (18) months of employment or fr the remainder ofthe term of ths contact, whichever sles. The severance willbe paid in a lump sum or as otherwise agreed by the Superintendent and Board. In the event thatthe Board offers to terminate the contact by paying the amount specified herein, the ight to hearing before the Board, as specified in Section 14 above, and the right 10 appeal the Board’ action shall be considered waived by the Superintendent 16, MERGER OR CONSOLIDATION, In the event of the merger or consolidation of the Chapel Hill-Canboro Public School System with any other schoo system before the expiration of this Contract, ithe Superintendent {is not selected and employed by mutual agreement asthe Suprinendent ofthe merged seho0l system at east one hundred eighty (180) days prior othe effective date of merger; and further, in the event the Superintendent acceps employment elsewhere and cesses his employment withthe Chapel Hill-Carboro City Boatd of Education ater fuliling hs contractual obligations through the day prior tothe effective date of merger, he sall be ened to one lump-sum severance payment forthe remaining tem of this contractor fora period of one year beyond the date of serge whichever term is shorter 17, NOTICE OF RESIGNATION ‘The Superintendent shall provide the Board with atleast $0 days advance notice of his resignation from employment. IN TESTIMONY THEREOF, the Chapel Hill-Carrboro City Board of Education has approved this Agreement and caused this instrument to be executed in its name by its Chairperson, and duly atested to, all by order and resolution of the Board, and Dr. Thomas A.
