SUPERINTENDENT'S CONTRACT
“THIS SUPERINTENDENT'S CONTRACT (the “Contract”), dated below and becoming
effective on July 1, 2012, by and between the CLINTON CITY BOARD OF EDUCATION (the
Board”) and Stuart Blount (the “Superintendent")
‘WITNESSETH:
WHEREAS, the Board has determined that Smart Blount possesses the credentials
educational prerequisites, and the experience requirements as provided for superintendents
pursuant to Chapter 115C of the North Carolina General Statues, and asthe State Board of
Edvcation hs prescribed and that che said Board desires to appoint Stuart Blount to the position
‘of Superintendent; and;
“WHEREAS, Stuart Blount desires to accept the Boar's appointment tothe position of
Superintendent,
‘NOW THEREFORE, In consideration ofthe promises and mutual covenants contained
herein, the parties hereto agree as follows;
|. TERM OF APPOINTMENT: The Board hereby appoints, and Stuart Blount hereby
‘accepts the appointment, to fulfill dhe duties and responsibilities of Superintendent of the Clinton
City Schools fora four (4) year term commencing on July 1, 2012, and continuing through June
30,2016. Extension or renewal ofthe Contract shall be underaken only by resolution ofthe
‘Board and pursuant to North Carolina General State §115C-271.
2. CERTIFICATION: The Superintendent shall hold 2 valid and appropriate certificate
‘as required by the laws ofthe State andthe regulations of the State Board of Education,
3, DUTIES AND RESPONSIBILITIES: The Superintendent shall have charge ofthe
administration ofthe schools under the direction of the Board. He shall be the chief
sdministrative officer ofthe Bosrd; shall serve as secretary tothe Board; shall direct and assign
teachers and other employees of the schools under his supervision; shall organize, reorganize,
reclasify and arrange the administrative end supervisory staff, including instruction and business
affairs, as best serves the Clinton City School; shall select all personnel subject to the approval
lof the Board shall have the authority to immediately accept resignations of personne, for and on
bebalf of the Board; shall fom time to time, suggest regulations, rules and procedures deemed
necessary forthe well ordering ofthe school system, and in general shall perform all duties
incideat to the office of the Superintendent and such other duties as may be prescribed by law or
by the Board from time to time. The Board, individually and collectively, shall promptly refer
all criticisms, complaints, and suggestions called tots attention tothe Superintendent for study
‘and recommendation and shall refrain from individual interference with the administration ofschool policies except through Board action. This i a contrat for the performance of
professional services as Superintendent by Stuart Blount, who shall not be assigned to aay other
position o have his duties reassigned to others without his consent.
4, COMPENSATION AND BENEFITS: The Superintendent, during the term of his
appointment as Superintendent, shall be paid a yearly salary of ONE HUNDRED THIRTY FIVE,
‘THOUSAND EIGHT HUNDRED TWENTY THREE DOLLARS AND 60/100 ($135,823.60).
‘This amount iste sum total of « $123,476.00 base salary plus a 10% supplement ofthe said
{§123,476.00 base of $12,347.60. It is understood thatthe salary amount stated herein shall be
collectively the combined total of state and local funds, In addition, the Superintendent may
receive annvally from local or state fands such other financial incentives or performance bonuses
as the Board might adopt. These annual incentives or bonuses will not be considered part of the
haze aggregate sary. The Superintendent shall receive all state benefits applicable to the
position including longevity pay. The Board reserves the right to increase the annual salary paid
to the Superintendent et anytime during the contract period by appropriate Board action. The
‘base aggregate silary paid the Superintendent shall not be reduced during the term ofthis
contract, The Superintendent shall be eniled to any salary increases adopted by the North
Carolina General Assembly or Department of Public Instruction that increases the salary of
Superintendents, including any salary increases forthe 2012-2013 school year,
ELECTION — TRAVEL ALOTMENT or AUTOMOBILE,
‘The Superintendent may choose one of the following options: He may elect to receive
SIX THOUSAND DOLLARS ($6,000.00) a year as a travel allotment paid to him monthly, oF
‘an aulomobile provided by the Board. The Superintendent has chosen to elect to receive SIX
‘THOUSAND DOLLARS ($6,000.00) a year as a travel allotment,
5. VACATION AND OTHER BENEFITS: The Superintendent Shall be entitled to all
the benefits applicable to twelve (12) month administrative certificated employees as ae inciden:
to their employment relationship with the Board including but not necessarily limited to
vacation, holidays, sick leave, retirement, disability income and other administrative employee
benefits
‘The Board shall pay the Superintendent's membership dues and/or fees forthe American
Association of Sehool Administrators, the North Carolina Association of School Administrators,
one local civic club of the Superintendent's choice, and such other group membership as are
necessary and appropriate as recommended by the Superintendent and approved by the Board.
In the event thatthe Superintendent suffers along term illness (physical or mental) or
other disability as certified by a physician approved by the Board, and has exhausted his sick.
leave, he shall centinve to receive his ful salary atthe regular monthly rate until the sixtieth
(60th) day afer the inception of the illness or disability. After the sixtieth (60) day or atthe
option ofthe Superintendent, after the Superintendent has exhausted hs sick leave, the Board,and/or the State Dissbilty Income plan shall pay the Superintendent fifty (50) percent of this
base aggreyate annual salary monthly during the shores of the following two petiods:
1. One year; or
2. ‘Thetime during which the Superintendent is disabled and unable to perform the
duties of Ssperintendent.
‘Tae Board is entitled to coordinate this benefit with the Social Security Administration,
the Disabiliy Income Plan of the North Carolina Teacher's Association and The State
Employees Retirement System, and any other Disability income accruing tothe Superintendeat.
6, PROFESSIONAL GROWTH AND OUTSIDE ACTIVITIES: The Bourd encourages
the continuing professional grow of the Superintendent through his participation in and
attendance of;
A. Themectings, programs, and other activities conducted by or sponsored
‘by local, state, and national school administrator and school board associations;
B. Seminars and courses offered by public or private educational institutions;
and
C.— Meetings of the State Superintendent, State Department of Public
Instruction, and other persons vibose particular skills, knowledge, informacion or
background would serve to improve the capacity of the Superintendent to perform his
duties for the sehool system.
Iniss encouragement ofthese professional grow sctvities, the Board hereby approves a
reasonableamount of time forthe Superintendent as he deems appropriate to ster such
activities within the course and scope ofhis employment and shall reimburse the Superintendent
for his acs travel and subsistence expenses subject tothe appropriation for this 2urpose
approved by the Board in its annual budget,
While the Superintendent shall devote his time, atention, and energy to the business of |
this school system he may serve as a consultant to other school systems or educational agencies,
lecture, engage ia writing sctvities and speaking engagements, and engage in othe activities
which are ofa short term duration at his diseetion. Such activities which require the
‘Superintendent to be absent from the school system for more than three (3) consecutive days
shall be submitted to the Board for approval. The Superintendent may at his opti continue to
craw his sary while engaged in the outside activity as described above. In such >ases
honorarium or consultant fees paid to the Superintendent shall be transferred to th: school
system, Ifthe Superintendent chooses to use vacation eave to perform outside activites he shall
_be entiledo retain any honorarium or fees paid to im. Inno case will the Board be responsiblefor any expenses incurred by the Superintendent inthe performance of outside activities not
approved as provided berein,
7, PROFESSIONAL LIABILITY: The Board agrees thet it shall defend, hold harmless
and indetnnify the Superintendent from aay and all demands, claims, suits, actions and legal
proceedings brought against the Superintendent in his individual capacity, or in his official
capocity«s agent and employee of the Board: provided the incident arose while the
Superintendent was acting within the scope ofthis employment; provided further thatthe Board
bas waived its defense of goveramental immunity by the purchase of liability insurance and
excluding criminal litigation and any cleim coverage for which is not within the authority ofthe
Board to provide under State law.
If in the good faith opinion ofthe Superintendent, a conflict exists as regards the defense
toaclaim between the legal postion ofthe Superintendent and the legal position of the Board,
the Superintendent may engage separate legal counsel in which case the Board shall indemnify
the Superintendent forthe cass of legal defense as permitted by State law.
“The Board shall not, however, be required o pay any legal costs of any legal proceeding
in the eveat the Board and the Superintendent have adverse interests in such litigation ori the
event that no legal conflict in fact existed.
8. MEDICAL EXAMINATION: The Bosrd reserves the right to request a
comprebensive medical examination ofthe Superintendent by a physician of his choosing atthe
‘Board's expense
9, EQUIPMENT AND MOVING EXPENSES: The Board shall provide the
Superintendent a celfular phone (Blackberry) or similar device and pay the cost for service. The
Board shall also provide the Superintendent a computer.
“The Superintendent shall secure bids from atleast three movers or “moving companies”
relative to the transportation of bis household belongings ftom Scotland County, North Carolina
to Sampson Couaty, North Carolina. The Board shall reimburse the Superintendent for the cost
ofthe lowest bidder
10, EVALUATION: The Board shall provide the Superintendent with periodic
opportunities to discuss Superintendent-Board relationships and shall inform him atleast
annually of any insdequacies as perceived by the board. An annual evaluation on a format
agreed toby the Board and the Superintendent will be completed.
11, RENEWAL OR EXTENSION: Extension or renewal ofthe full tem ofthe
Superintendent's contract shall be considered by the Board in executive session at its regular
_mecting in Janvary of each year. Contract renewal shall result in the issuance of a complete new
‘contact with terms as agreed to by both pares.12, TERMINATION FOR CAUSE: Throughout the term of this contract the
Superintendent shall be subject to discharge for cause as provided by State law: provided,
however, thatthe Board does not arbitrarily or capiciously call for hs dismissal andthe
Superinteadent shall have the right to written grounds for his discharge, a fair bearing before the
Board and atleast ten (10) days writen notice of said charges and hearing. At any such hearing
before the Board, the Superintendent shall bave the right to be presented and to be beard, to be
represented by counsel and to present through witnesses any testimony relevant to the grounds
identified by the Board for his discharge. A transcript ofthe record ofthe precedents before the
‘Board shall be made available without charge tothe Superintendent. Ifthe Superintendent
chooses tobe accompanied by legal counsel atthe hearing before the Board be will assume the
cost ofthis legal expense.
‘in the event that the Superintendent does not wish tobe heard regarding the charges
against im, he shall notify the Board prior o the heating date of his decision to resign; such
notice sball be in writing
13, UNILATERAL TERMINATION BY THE BOARD: The Board at its option and by
a rinimum of thirty (30) days written notice tothe Superintendent may unilaterally terminate
this contrac. In the event af such termination the Board shall pay tothe Superintendent as
severance pay all of the aggregate salary and benefits he would have earned under this Coatrect
‘fom the actoal day of termination to the termination date set forth in this contract. Inthe event
thatthe Board offers to terminate the Contract by paying the amount specified herein, the right to
‘hearing before the Board as specified in Section 12 above and the right to appeal the Board's
action shall be considered waived by the Superintendent.
14, SURVIVAL CLAUSE: The Board agrees and warrants that the superintendent sball
receive the benefits ofthis contract through the termination date specified herein. If daring the
term of this contact the Board should cease to exist for any eason including merger with
nother school system or by the cancellation of ts charter asa separate school system, the Board
shall guaranee tothe Superintendent al the benefit or value ofthe benefits described herein.
Failuze of the system which assumes the faiiies, properties, structures, funds, contacts, deeds,
title and other obligations, assets, and liabilities ofthe Board and the Clinton City Schools to
issue tothe Superintendent a new contract including the benefits herein ot terms satisfactory to
the superintendent prir to thirty (30) days ofthe date of merger or the final date ofthe existence
of the Board and the Clinton City Schools, shall result in payment to the Superintendent by the
Board of all the aggregate salary and value of the benefits he would bave eamed under this
contract, and extensions, from the date of the dissolution ofthe Board andthe Clinton City
‘Schools through the date of the termination of this contract as specified in section 1
15, RESIDENCE: The Superintendent shall reside within the boundaries of the Clinton
City School District.&
16, AMENDMENT: This contract may be amended during its term by mutual writen
conseat of the Board and the Superintendent. Any such amendment shall bein writing, approved
by official action ofthe Board, and accepted in writing by the Chairperson of the Board and the
Superintendent
17. SAVING CLAUSE: If during the term of this Contact itis found that a specific
clause of the Contracts ilegal under Federal or State law the remainter of the Contract shall not
be affected by such a ling and shall remain in fll force and effect
18. LAW: This employment contract shal! be governed by, construed, and enforced in
sevordance with the law ofthe State of North Carolin.
19, ENTIRE AGREEMENT: The parties bereto sre that this instrument contains the
‘entire agreement between them as ofthis date, and tha it bas not been induced by ether party,
by any representations, promises, or undertakings not expressed herein; and that there are n0
collateral agreements, stipulations, promises or understandings whatsoever by the respective
partes in any way affecting the subject matter of this contact which are not expressly contained
in this statement,
IN TESTIMONY THEREOF the CLINTON CITY BOARD OF EDUCATION has
