STATE OF NORTH CAROLINA. ‘CURRITUCK COUNTY EMPLOYMENT CONTRACT FOR SUPERINTENDENT THIS AGREEMENT, made and entered into this 1st day of July 2016, by and between the Currituck County Board of Education, hereinafter referred to as “Board,” and Mark ‘Stofanik, hereinater referred to as "Superintendent"; WHEREAS, The Board desires to provide the Superintendent with a witten ‘employment contract in order to enhance administrative stabiliy and continuity within ‘the schools which the Board believes generally improves the qualiy of its overall ‘educational program; and WHEREAS, the Board and the Superintendent believe that a writen employment Contract is necessary to describe specifically ther relationship and to serve as the basis f effective communication between them as they full their govemance and ‘administrative functions in the operation of the education program of the schools; NOW, THEREFORE, the Board and the Superintendent, for the consideration herein Specified, agree as follows: 1. TERM, The Board, in consideration ofthe promises, herein contained, of the Superintendent, hereby employs Mark Stefanik as Superintendent of the Currituck County Schools for a term commencing January 1, 2046, and ending ‘June 20, 2018, The Board may, by specific action and with the consent of the ‘Superintendent, extend the termination date of the existing Agreement to the extant permitted by state lave 2. LICENSE. The Superintendent shall furnish throughout the term of his ‘employment 8 Superintendent a valid and appropriate license to act es ‘Superintendert as prescribed by the laws of this stale and by the regulations of the State Board of Education, 38. DUTIES. The Superintendent agrees to discharge falthuly all lawful duties imposed upon him 2s Superintendent of the Currituck County Schools. ‘administrative unit by the State Department of Public Instruction, the State Board Of Education, the Board of Education of the Cumttuck County Schools ‘administrative unit, andlor applicable state and/or federal law and administrative regulations. In addition, the Superintendent agrees to implement all policies ‘adopted by the Currituck County Board of Education and directives issued to him by the Currituck County Board of Education, The Superintendent shall take such ‘ection as the Board may direct from time to time to improve the relationship between the Superintendent and the community, the Superintendent and his staff, the Superintendent and the other employees of the Cunituck County ‘Schools administrative unit, andior the Supetinlendent and the Board, ‘The Superintendent shall have charge of the administration ofthe schools under the direction of the Board. He shall be the chief executive officer of the Board; shall serve as secretary tothe Bosrd; shall make recommendations to the Board regarding the employment of all new staff members; shall direct and assign teachers and other employees of the schools under his supervision; shall hhave freedom to organize, reorganize and arrange the administrative and ‘supervisory staff, including instruction and business afalre, as best serves the ‘Currituck County Schoo! System, provided that the Superintendent shall select all ‘new personnel subject to the approval of the Board and shall consult with and ‘advise the Board prior to implementing any administrative changes; shall have the authority to immediately accept resignations of personnel, for and on behalf Cf the Board; shall from time to time suggest regulations, rules and procedures deemed necessary for the orderly administration of the school district: and in ‘General perform all duties incident tothe office ofthe Superintendent. The Board, Individually and collectively, promptly shall refer ettcisms, complaints, and ‘suggestions called to its altention to the Superintendent for appropriate and Prompt study, recommendation, and response and shall refrain from individual Interference with the administration of echool policies except through Board a action. The action taken by the Superintendent in response to each such referral Shall be reported as soon as practicable to the Board, The Superintendent shall have the right fo attend all Board meetings and all Board committee meetings, ‘except a meeting called to discuss the Superintendent's evaluation, conduct, or Performance, and he shall have the right to provide administration recommendations on each item of business considered by the Board and its ‘Committees. This is an agreement for the performance of professional services {88 Superintendent by the Superintendent, who shall not be assigned to any other positon or have his duties reassigned to others without hie consort. COMPENSATION. As compensation for his services during the course of this ‘Agreement, the Superintendent shall receive each ofthe following, pald in equal ‘monthly instalments in accordance with the rules of the Board governing Payment of other professional employees of the school administrative unit. At no time shall the Superintendent's salary be decreased during the term of this Agreement. ‘A. The maximum salary on the state salary scale (Level Il) forthe position of Superinlendent, including any increases over time as estabished by law. At the time of execution of this Agreement, this salary amount is One Hundred Fourteen Thousand, Three Hundred Eighty-Four Dollars ($114,384) per year. 5. Any state-funded salary supplement to which the Superirtendent may become entitled during the term of this Agreement should he eam a doctoral degree, including any increases over time as established by lav. 't is expressly understood and agreed that, as of the date of execution of this Agreement, the Superintendent is not entitled to any such salary Supplement. It's also understood and agreed that any such supplement ‘would be paid only in accordance with all applicable laws and policies and procedures of the State Board of Education . Any state funded longevity pay to which the Superintendent may become entitled during the term of this Agreement, including any increases over a ‘Proceedings. Nor shall the Board be required to provide forthe Superintendent or Pay on his behaif the costs of any attomey fees or legal proceedings in the event the Board and Superintendent are adverse parties. 14, DISABILITY, Ifthe Superintendent is unable to perform his essential functions by reason of sisabilty, and efforts to reasonably accommodate his disabilly do ‘not enable him to perform his essential functions, and i the disabilty exists for a Period of more than ninety (80) days beyond the period of time which the ‘Superintendent would have been entitled to take as sick leave or vacation leave, Or both, the Board may, at is option, terminate this Agreement, whereupon the respective duties, rights, and obligations hereof shall terminate. The Board wil cooperate fully with the Superintendent in his application for disabilty benefits. If 2 question arises conceming the capacity of the Superintendent to retum to his duties, the Board may require the Superintendent to submit to a medical examination at the Board's expense to be performed by a certified physician of the Board's choosing. The physician shall submit a report to the Board as to whether the Superintendent is fully capable of resuming his duties and ‘responsibilities with or without accommodations. 12. EXPENSES.The Board shall reimburse the Superintendent for reasonable ‘expenses incurred by the Superintendent on behalf of the Board in the amount ‘end manner prescribed by Board policy. The Board recognizes that the ‘Superintendent shall incur such expenses from time to time as the Board's representative in the pursuit of educational excellence, private funding, grants {and for other reasons. The Superintendent shall fle Itemized expense statements with the finance officer for reimbursement of these expenses. The Chairperson of ‘the Board shall have authonty to review and approve such reimbursements, The Chairperson of the Board shail report any such approved reimbursements to the Board. i 13, INFORMATIONAL REPORTS; OFFICIAL STATEMENTS. To the exten: allowed by applicable law, administrative regulation, or policy, the Superintendent: shall inform the Board regarding events within the Curituck County Schools ‘administrative unit. The Superintendent shall not make or issue any official statement on behalf of the Board without the Board's prior approval of the statements content. The Board recognizes, however, that the Superintendent has the authority, duty and responsibility to promptly make public statements on Important issues or events in his role as Superintendent and that often these Jssues and events do not allow for formal Board approval ofthe Superintendent's statements, 14. CONSULTING AND OUTSIDE EMPLOYMENT. Throughout the term of ‘employment specfied in this Agreement, the Superintendent shall devote his time, skil, labor and attention to performing the duties of Superintendent of the Currituck County Schools administrative unit, The duties and responsibilities of the Superintendert require fulime employment and frequertly require that the Superintendent attend to his duties during the evenings, weekends and holidays, ‘The Superintendent shall not accept any outside employment except for ccasional speaking engagements andlor appointments to foundations, boards, (oF Commissions that do not interfere withthe performance of his dutles under this Agreement. The Superintendent shall take appropriate leave for any such ‘tivities that occur during normal weekday work hours. The Superintendent shall ‘make @ written report to the Board no later then June 1 of each year listing all such actives in the preceding calendar year. This Section does not apply to ‘peaking engagements or appointments to foundations, boards, or commissions. for which the Superintendent does not recelve compensation and is serving as ‘an official representative of the school distit. ‘18. CONFLICT OF INTEREST PROHIBITED. The Superiniendent acknowledges that he has read and understands the conflt of interest statutes of the State of North Carolina and agrees to comply with the statules and any other State laws ‘or Board policies relating to conflicts of interest. 16. RESIDENCE AND RELOCATION EXPENSES. Throughout the term of this ‘Agreement, the Superintendent shail reside within Currituck County. The Board shall reimburse the Superintendent for reasonable relocation expenses incurred by his relocating from Galion, Ohio to a place of residence inside Cunituck County. The Superintendent shall obtain at least three written estimates from 'icensed and bonded moving companies for relocation to Cuarituck County. While ‘the Superintendent is free to use any moving company he chooses, the Board ‘shall only reimburse the Superintendent in the amount charged or that would have been charged by the company submiting the lowest estimate. ‘17. TERMINATION OF EMPLOYMENT. Throughout the term of this Agreement the ‘Superintendent shall be subject to discharge for good and just cause as provided by Section 115C-274 of the North Carolina General Statues; provided, however, that the Board shail not erbitranly or capriciously call for his dismissal and that ‘the Superintendent shall have the right to written charges, a fair hearing before the Board, and ten (10) days’ written notice of said charges and hearing unless ‘the Board shall find an emergency to exist requiring a shorter notice period, Which time shail be fixed by the Board. At any sald hearing before the Board, the Superintendent shall have the right to be present and to be heard, to be ‘represented by counsel and to present through witnesses any testimony relevant {o the Issue. If the Superintendent chooses to be accompanied by legal counsel at the hearing before the Board, he will assume the cost of his legal expenses. A transcript of the record of the proceedings before the Board shall be made avaliable without charge to the Superintendent if the Board elects to terminate the Superintendent. ‘16. UNILATERAL TERMINATION BY THE BOARD. The Board may, at its option, Uunilaterally terminate this Agreement. In the event of such termination the Board o 19, ‘shall pay fo the Superintendent, as severance pay, the annual aggregate salary hhe would have eared pursuant to Subsections A through D of Section 4 ofthis ‘Agreement for the upcoming twelve (12) months of the Agreement of the Temaining time of the Agreement, whichever is less. If, however, the Board Unilateral terminates this Agreement within the first twelve months of ‘employment, the Superintendent shall be entited to the annual aggregate salary hhe would have eared pursuant to Subsections A through D of Section 4 of this ‘Agreement for the upcoming eighteen (18) months of the Agreement. In the ‘event that the Board elects to terminate the Agreement by paying the amount Specified herein, the Superintendent agrees that all rights and terms of thi ‘Agreement are concluded and resolved and that te right to a hearing before the Board, as spectied in Section 17 above, or to otherwise appeal or contest the Board's actions shall be considered waived by the Superintendent. The amount {due the Superintendent shall be paid in a lump sum or otherwise as may be agreed by the parties. RESIGNATION. The Superintendent shall give at least ninety (80) calendar ‘ays’ written notice to the Board if he intends to resign prior to the end of the ‘term ofthis contract or extensions thereto, In the event that he fails to give the Fequired notice, the Superintendent agrees to pay the Board the sum of Ten ‘Thousand Dollars ($10,000) which the parties agree is a reasonable and proper Measure of damages that will be incurred by the Board by an untimely ‘resignation by the Superintendent. Furthermore, the Board, in its sole discretion, ‘may terminate this Agreement at any time after the Superintendent has given ‘written notice that he intends to resign prior fo the end of his term of employment. 'n such event the Superintendent shall be entitled to be paid through the date of his resignation and paid for any unused state accrued annual leave to the extent allowed by law; the provisions of Sections 17 and 18 of this Agreement shall not ‘apply and, i the Superintendent has given ninety (90) days prior writen notice of resignation, the liquidated damage payment deseribed above shall be waived. in ‘addition, i an unexpected severe medical condition or emergency arises that n
