1. Important Notes
I) NOTES
1. Prices given in this Price Guide are subject to change unless our agreement has been obtained to maintain the validity for specified
period and for specific quantities. Reference should be made to us for quoting against specifications from Electricity Boards, Electricity
Supply Undertakings etc, where large quantity of Relays are involved, so that suitable deliveries could be quoted.
2. Prices indicated in the Price Guide will be applicable only for orders received with 100% advance through crossed demand draft.
Otherwise prices ruling at the time of despatch will be applicable.
3. Prices given are ex-works Chennai, exclusive of Sales Tax, Excise Duty and any other levies,Taxes & Duties
4. Relays have been categorised in two parts i.e.Standard and Non-Standard depending on the usage / manufacture (Please note
that delivery for non-standard relays will normally be longer as compared to standard relays.)
5. Please contact us for delivery schedules. Also note that deliveries indicated by us will be reckoned from the date of Receipt of
technically and commercially clear order with advance.
6. Alstom reserves the right to levy cancellation charges in case of any order being cancelled or levy reprocessing charges in respect of
Amendments to specification of relays ordered and where the manufacturing instructions have already been issued.

2. Terms and conditions
An acknowledgement of these terms and conditions containing terms and conditions inconsistent with or in
addition to the terms and conditions of these terms and conditions is not binding upon ALSTOM unless
specifically accepted by ALSTOM in writing and ALSTOM hereby objects thereto.
2. INSPECTION / SHORTAGE:
The Purchaser is under a duty whenever possible to inspect the Goods on delivery or on collection as the case
may be. Where the Goods cannot be examined the carriers note or such other note as appropriate shall be
marked not examined. The ALSTOM shall be under no liability for any damage or shortages that would be
apparent on careful inspection if the terms of this clause are not complied with and, in any event will be under no
liability if a written complaint is not delivered to the ALSTOM within Ten (10) days of delivery detailing the alleged
damage or shortage. In all cases where defects or shortages are complained of the ALSTOM shall be under no
liability in respect thereof unless an opportunity to inspect the Goods is supplied to the ALSTOM before any use
is made thereof or any alteration or modification is made thereto by the Purchaser.
3. PART DELIVERY:
Unless otherwise explicitly agreed, Goods will be dispatched as and when ready. If part dispatch is made,
proportionate payment in full becomes due and payable including taxes, duties, levies etc as per the agreed
payment terms.
4. SUSPENSION OF WORK:
In the event of suspension of work due to lack of clear technical or commercial information/ instructions, the
prices shall be revised to cover any extra expenses and a revised delivery commitment shall be obtained by
purchaser from ALSTOM. Any statutory variations during this period shall also be payable by Purchaser.
5. LIMITED WARRANTY:
It is the Purchaser's responsibility to ensure that the Goods are suitable for the purpose to which they are
intended to be used. No representation or warranty is given as to the suitability or fitness of the Goods for any
particular purpose and the Purchaser shall satisfy itself in this respect and shall be totally responsible therefore.
If the Purchaser has any specific requirements for the use of the Goods the Purchaser must notify these
requirements to the ALSTOM in writing before purchasing the Goods. If the Purchaser is unsure as to the
suitability of any Goods for a particular purpose it should consult the ALSTOM prior to purchase. If the Goods are
in such a state as would but for this condition entitle the Purchaser to repudiate the contract and/or claim
damages from the ALSTOM the ALSTOM reserves the right to repair or replace the goods.
6. DELIVERIES:
Deliveries will be made strictly in quantities which will be specified in order received from Purchaser. Title to and
risk of any loss or damage to the goods shall pass from ALSTOM to Purchaser immediately after handover to the
carrier.

7. TAXES:
In case of any revision in statutory duties/ taxes/ cess/levies within the contractual period shall apply and shall be
on Purchaser's account as applicable.
9. RETENTION OF TITLE:
All Goods shall be at the Purchaser's risk from the time of delivery but will remain the property of the ALSTOM
until all payment due from Purchaser to ALSTOM has been made in full. The ALSTOM or any of its agents, may
at any time without notice before payment is made in full enter any premises to retake possession of all the
ALSTOM's Goods whether held in the custody of the Purchaser or at any other premises. At all times before
payment is made by the Purchaser in full, the Purchaser shall store or otherwise denote the Goods in respect of
which property remains with the Seller in such a way that the same can be recognised as the property of the
Seller.
10. LIABILITY:
The ALSTOM does not bear responsibility for any defect arising or introduced during the course of storage or
handling of the products. The Purchaser should consult the ALSTOM if doubt exists with regard to the
appropriate storage or handling requirements. The Purchaser cannot claim the benefit of this clause unless;
(i)) he informs the ALSTOM of the relevant defect in writing within 7 working days of discovering it; and
ALSTOM shall not be liable for any loss of profit, loss of business, damage to the property or any one else,
consequential or indirect loss suffered by the Purchaser whether this loss arises from tort or in any other way.
The ALSTOM's total liability for any one claim or for the total of all claims arising from any one act or default of
the ALSTOM (whether arising from the ALSTOM's negligence or otherwise) shall be limited in amount to the net
purchase price of the products sold to Purchaser by ALSTOM hereunder.
12. TESTS:
Goods are subjected to routine tests before dispatch. Any specific testes requested by PURCHASER with or
without presence of their representatives/ agents shall be subject to express approval from ALSTOM. It shall
also have an impact on price and delivery which shall be quoted separately upon request.
13. PERFORMANCE:
Figures provided in the documents are based on internal testing. We shall not be liable for damages for failure to
attain these unless specifically guaranteed. PURCHASER is not entitled to reject Goods without providing
reasonable time and opportunity to ALSTOM. In case of entitlement to reject the goods, maximum liability shall
be as per

14. FORCE MAJEURE:
The ALSTOM shall not be liable for any failure to deliver the Goods arising from circumstances outside the
ALSTOM's control. Non-exhaustive illustrations of such circumstances would be act of God, war, riot, explosion,
abnormal weather conditions, fire ,flood, strikes, lockouts, Government action or regulations, delay by suppliers,
accidents and shortage of materials, labour or manufacturing facilities. Should the ALSTOM be prevented from
delivering in the above circumstances, it shall give the Purchaser written notice of this fact as soon as
reasonably practicable. If the circumstances preventing delivery are still continuing one month after the
Purchaser receives the ALSTOM's notice, then either party may give written notice to the other cancelling the
order.
15. INSTALLATION:
ALSTOM assumes no obligation to install the products or to place them in operation at Purchaser's premises,
unless specifically stated in writing and signed by an authorized agent of ALSTOM.
16. ARBITRATION:
Any dispute, controversy or claim arising out of or relating to this Invoice or any related Invoice or other
document or the validity, interpretation, breach or termination thereof ("Dispute"), including claims seeking
redress or asserting rights under applicable law, shall, be resolved and finally settled in accordance with the
provisions of the Indian Arbitration and Conciliation Act, 1996 as may be amended from time to time or its re-
enactment (the "Arbitration Act").
