Franchisee Responsibilties

-Set up a LLP named XXXX Tech Delhi LLP for the duration of the agreement with XXXX
Tech Private Limited. All invoices for the sale in the stipulated teritory of

Delhi-NCR will be made under the invoice of XXXX Tech Delhi LLP. XXXX Tech Delhi LLP
will represent the parent brand XXXX Tech Private Limited.

-Teritory exclusivity is valid for a period of 12 months from the time of signing the
agreement.

-Franchisee will be given 50% of the value of the merchandise

-Franchisee agrees to pay upfront for each consigment as per the specified plan i.e..
Inventory pricing per unit will be the same however sale velocity terms of plan will vary.

-Franchisee undertakes to sell each consignment procured from XXXX Tech Private
Limited within 60 days from the date of invoice from XXXX Tech Private Limited. In the
unlikely event of the sale not happening, the franchisee will pay 10% of the unsold
inventory as carrying cost to XXXX Tech Private Limited.

-Franchisee undertakes to manage, monitor, supervise the sales team and support the
marketing campaigns done by XXXX Tech Private Limited in the teritory

-Franchisee undertakes to operate only within the stipulated territory.

-Franchisee undertake to not re-pack, re-package or re-brand the XXXX’s line of

products which are imported from All copyrights and brand ownership vests with the
respective owners and the franchise will not indulge in any activity that infringes upon
the brand and trademark ownership.
