FACTS:

Strategic Alliance Development Corporation (STRADEC) is a domestic corporation


engaged in the business of providing financial and investment advisory services and investing in
projects through consortium or joint venture information. Its principal place of business, as per
its amended Articles of Incorporation was at Bayambang, Pangasinan.

Thereafter, it held its annual stockholders’ meeting in its Pasig City office. At the said
meeting, the petitioners and respondents were elected as members of the Board of Directors,
petitioners Yujuico and Sumbilla being elected as Chairman and President, and Treasurer,
respectively.

Five months after, respondents filed with the RTC a Complaint against STRADEC,
praying that the election recently held be nullified on the ground of improper venue, that all
ensuing transactions conducted by the elected directors be likewise nullified, and that a special
stockholders’ meeting be held anew.

As the controversy involved an intra-corporate dispute, the RTC issued an Order


transferring the case to the RTC designated as Special Commercial Court.
