RECRUITMENT SERVICE AGREEMENT

This Agreement for Recruitment / Placement Staffing Services is made at Mira Road, Thane on
the __________, 2018,
BY & BETWEEN

Zodiac HR Consultants (I) Pvt. Ltd, a private limited company incorporated under the Companies
Act, 1956 having its Registered Office at Unit no 1 & 2, Ground Floor, Solitaire II, Blgd No. 9,
Poonam Garden, Mira Road East, Thane – 401107, Maharashtra, in this matter is represented by
Mr. Preetam Sanil, in his capacity as the Managing Director of the Company (hereinafter referred
to as the “Agency”)
AND
___________________________ a private limited company incorporated under the Companies
Act, 1956 having its Registered Office at _________________________________
___________________________________________________________________________
in this matter is represented by Mr. / Mrs. / Ms. __________________________, in his / her
capacity as the MD / GM / VP / Head / Manager – Human Resource of the Company
(hereinafter referred to as the “Client”) The Client and the Agency hereinafter shall be referred
to collectively as the “Parties” and individually as the “Party”.
The terms and conditions agreed between the Agency & the Client are detailed below:

1. VALIDITY/ TENURE:
The Terms and conditions listed in this agreement are valid for a period of One year
commencing from ______ 2018. Also, both the parties have the liberty to terminate this
agreement by serving one month notice.

2. PAYMENT SCHEDULE:
(a) FEES :
Level *Recruitment Charges Replacement Guarantee
Executive Level 8.33% of Annual CTC 90 DAYS
Middle Mgmt 12.5% of Annual CTC 90 DAYS
Senior Mgmt Profiles 16.67% of Annual CTC 90 DAYS
*Goods and Service Tax (GST) shall be charged on the invoice.
(b) TERMS OF PAYMENT
It is understood and agreed by the Client that:
 The payment to be made by at RTGS/ NEFT / Cheque / Demand Draft payable in the
 name of Zodiac HR Consultants (I) Pvt. Ltd. 

 The Agency shall send the Invoice for the Services provided and the payment
obligation shall start from the date of invoice. Further, the invoice shall be after the

date of joining of the candidate. 
 The payment shall be made within 30 days from the date of invoice. 

3. AGENCY’S OBLIGATION:
1. Agency shall understand client’s business module and present
the organization in a professional manner to the external world.
2. Agency shall understand the job description given by the Client and
source suitable profiles.
3. The Agency shall provide the services on PAN India basis as per the
requirement of the Client.
4. Agency shall undertake a screening and selection of candidates based on the
Client’s selection criteria and unless otherwise expressly agreed with the Client’s
representative will:
i) confirm that selected candidates have a basic understanding of the position,
ii) confirm selected candidate’s qualifications for the position is appropriate,
iii) undertake a preliminary interview of each candidate to be presented to the
Client,
iv) obtain relevant documentation for each candidate to be presented to the
Client and
v) present selected candidates to the Client’s designated Human Resources
representative. Further, Agency shall do proper validation of candidate
credentials which includes qualification, job role, experience, compensation,
willingness to relocate, check the interest of the candidate, discuss with him/
her the position and package and receive their consent etc. before forwarding
profiles to the Client.
5. After the Client shortlists the candidate(s) Agency shall impart requisite training /
knowledge before appearing for selection process.
6. Agency shall coordinate and ensure that the short listed candidates are present for
the selection process as per the schedule.
7. Agency shall follow up & ensure joining of candidates to whom the offers were made
by the client.

8. If any Candidate is Interviewed by the Company and have been rejected by the
Company in the Interview but after some time the Company selects the candidate
(within one year from the date of Interview) than the Consultancy has right to raise
the bill against the candidate.
9. Agency will
i. render services with the degree of skill, care and diligence normally provided for
work of similar nature and
ii. will comply with and observe all applicable laws and regulations in the
performance of its services.

10. Agency shall perform all services hereunder as an independent contractor, and
nothing contained herein shall be deemed to create any association, partnership,
joint venture or relationship of principal and agent or employer and employee
between the parties hereto or any affiliates or subsidiaries thereof, except as
explicitly stated herein. Agency shall not commit, execute, bind, or contractually
obligate anything to any person on behalf of the Client without the prior written
consent of the client.

4. CLIENT OBLIGATION:
1. Communicate manpower requirement with detailed job description for the purpose.
2. Process the resumes received, and get back with the short listed candidates for
selection process within the agreed time frame.
3. Communicate the status on completion of every Recruitment phase to Agency.
4. Agency should be given the full credit for candidates thus, referred; if, Shortlisted
within 1 year of receipt of the profile by the Client.
5. The Client shall pay recruitment charges to the Agency even if candidate(s) leaves /
resigns the job within 90 days in following situations:
i. Non Payment of Salary to the Candidate by the clients
ii. Delay in Salary Payment by the clients.
6. The Client shall inform Agency about the candidate(s) having Behavioral Issue or
Performance Issue & shall terminate them within 90 days of Replacement period. If
such candidate(s) stay with the Company for 90 days or more, client shall pay
recruitment charges to the Agency for the respective candidate(s).
7. Client shall provide Joining Details which includes Date of Joining, Gross Salary / CTC
offered and all details pertaining to Joining procedures to Agency within 7 days of
candidate(s) joining the Client.

offered and all details pertaining to Joining procedures to Agency within 7 days of
candidate(s) joining the Client.

5. GENERAL COVENANTS:

1. Candidates database Validity for 1 year. The candidate recommended by Agency


joins the Client with 1 year from the date of mailing his/ her resume, client shall be
required to pay agency the recruitment charges.
2. Duplication Issue: Client shall update the Agency within 2 days about duplicate resume
shared by Agency. In absence of any communication from Clients side, the selected
candidates shall be considered as Agency’s candidate.
3. Employment verification shall be conducted by Clients. Agency can assist clients
with basis candidate’s information required for verification.

6. REPLACEMENT:
1. Agency agrees to extend a 90 days guarantee to the Client for recruitment done by
the Agency. If the selected candidate voluntarily leaves the job during the
guarantee period, AGENCY shall endeavor to provide a suitable replacement at no
additional cost.

2. However, incase the invoice is still under the credit period & the recruited candidate
voluntarily leaves the job then it is the responsibility of Agency to provide a
replacement considering the opening as a fresh opening & no payments for the
previous hire will be made.

3. If the Agency is unable to find a suitable replacement within 90 days from the day of
the candidate leaving the Client, 100% of the fee will be credited to future
assignments within 6-month period, And, if any balance amount left with, shall be
reimbursed to the client within 7 days of the completion of the 6 months period by
way of Cheque / DD / RTGS/ NEFT.
4. Agency will not offer a free replacement for any selected candidate if been
terminated by the Client on any ground (except for Disciplinary reasons) within the
guaranteed period.
7. CONFIDENTIALITY
The Agency acknowledges and agrees that all tangible and intangible information,
including but not limited to information regarding personnel, compensation,
benefit structure, management and organizational structure, corporate strategies,
clients, projects, products, markets, pricing and processes, revealed, obtained, or
developed in the course of or in connection with the performance of its obligations
under this Agreement shall be considered as confidential and proprietary
information to the Client and shall not be disclosed to any third party, without
prior written consent of the Client, and shall not be used for any purpose other
than to fulfil the requirements of this Agreement.

8. NON-EXCLUSIVITY
The Provider acknowledges that this Agreement is on non-exclusive basis and that the Client
retains the right to use other employment agencies and/or to solicit candidates directly on
its behalf.

9. AMENDMENTS
This Agreement shall not be varied, amended or modified by any of the Parties in any
manner whatsoever unless such variation, amendment or modification is mutually discussed
& agreed to in writing and duly executed by the authorized signatories of both the Parties.

10. JURISDICTION:
Both the parties hereby agree to submit to the exclusive jurisdiction of the competent
Courts in Thane in respect of all matters arising out of this Agreement.
