DELEGATION OF POWERS AND RESPONSIBILITES |, the undersigned, Abdul RACHIM, acting within the framework of my powers as General Manager of PT HARPINDO MITRA KHARISMA, with office located in Graha Kapital 1 Unit $303A, Jalan Kemang Raya No 4, Jakarta Selatan ~ Indonesia and hereafter designated as the ‘Delegator’, ‘After having restated, - taking into account the extent of the functions entrusted to me, which prevents me from monitoring, on a dally basis, all of the activities related to PT Harpindo Mitra ‘Karisma (herea\ter designated as the “Company’), given that (hereafter the “Delegates") has the skils, authority ‘and means necessary for performing the functions and activites, it has been agreed {o give the Delegates, within the framework of his contract of employment, the powers and responsibites relative tothe activity and functioning ofthe Company and notably of the companies and branches located abroad which are operationally attached to him aad for which he has responsiblity, that the proper conditions of employment, personal and professional development and respect of the physical health and integrity of the personnel are part of the fundamental values ofthe Company; + that the Delogator hae remitted to the Delegatee, all responsibilities, reporting, Control, power, and authorities in complete and fll effect starting 14 December 2017. = that the Delegator has completely surrender all privieges, staff and subordinates, work process, day to day operational control to Delegate without limitation and boundaries, - that the Delegator has given consent to establish and sign all deeds, items and documents, and generally do all that is necessary o the Delegatee. + that the Delegator waived his claim against and forgone all influences as General Manager to the Delegates. In the event that, regardless of the reason, the Delegatee no longer has complete freedom inside or outside of the Company, the present delegation shall cease Immediately. All of his powers of decision-making and negotiation would be suspended; as a result, he would no longer be able to validly commit the Company in any domain whatsoever and, in particular, in that relative to corporate affair. The present powers are valid for the entre duration of the current functions of the Delegatee and take effect starting from the signing ofthe present delegation, ‘The Delegates wil also be able to delegate the powers mentioned in the following sections, provided, on one hand, that this delegation rafers specifically to the ‘operations conceming all activites coming under his authority and, onthe other hand, Lthat he is assured beforehand that the sub-Delogatee effectively has the authority, skils and means necessary for fully exercising the powers entrusted to him. He wil be able to revoke the powers thusly sub-delegated by him at any time during their period of validity.
