SUMMARY: Three employees of Polymer were dismissed but the courts ordered that they be reinstated. They were also awarded
their money claims. After several writs of execution were issued against Polymer, it ceased operations. Polymer and Ang alleged
that Ang should not be held solidarily liable with Polymer. The Court ruled that the Officer of the Corporation cannot be personally
held liable and be made to pay the liability of the corporation.
DOCTRINE:
A corporation, as a juridical entity, may act only through its directors, officers and employees. Obligations incurred as
a result of the directors’ and officers’ acts as corporate agents, are not their personal liability but the direct responsibility of
the corporation they represent. As a rule, they are only solidarily liable with the corporation for the illegal termination of
services of employees if they acted with malice or bad faith.
