In accordance with this Application we agree to the following:

(1) We will be responsible for the issuance of the Letter of Guarantee and remain under obligation to entirely abide by its terms
until its original is returned to you for cancellation.
(2) You may discharge upon first demand the payment obligation under the Letter of Guarantee without making reference to us
and notwithstanding any objection by us or any other party whatsoever.
(3) We undertake to take any action required for the fulfillment of your obligation under the Letter of Guarantee and will not take
any action or cause any action to be taken that will directly or indirectly stop or interrupt the fulfillment of your obligation
under the Letter of Guarantee.
(4) You may at your own discretion and without any obligation on your part, extend the validity of this Guarantee for any further
period, as you may deem necessary without making reference to us or obtaining further authorization from us.
(5) We undertake to indemnify you upon your first demand against all losses and damage incurred or may be incurred by you
directly or indirectly as result of issuing or liquidating the Letter of Guarantee without the need to officially notify us or to take
legal action.
(6) We will pay to you on your first demand all amounts, which may at any time be paid by you under the Letter of Guarantee,
including interest, any fee, charges or expenses incurred by you in relation to the Letter of Guarantee. We authorize you to
charge or debit our account with all these items and any collateral kept in consideration for issuing this letter of Guarantee.
(7) As security for the issuance of this Guarantee, we charge and pledge in your favour and put at your disposal all our credit
balances in our accounts, deposits, commercial and financial papers stocks, movable and immovable assets and any other
assets or rights whatsoever. We hereby irrevocably assign to your favour all payments due to us under the transaction and/
or contract for which this Guarantee is required.

‫(‪� )2‬سوف تقومون عند �أول طلب بتنفيذ التزامكم بالوفاء مبوجب خطاب ال�ضمان بدون الرجوع �إلينا وب�صرف النظر عن �أي اعرتا�ض منا �أو من �أي �شخ�ص �آخر‬
‫ومهما كان نوع ذلك االعرتا�ض‪.‬‬
‫(‪ ) 3‬نتعهد بالقيام ب�أي �إجراء مطلوب لتمكينكم من الوفاء بالتزامكم مبوجب خطاب ال�ضمان و�سوف لن نقوم ب�أي عمل من �ش�أنه �إيقاف �أو تعطيل تنفيذكم‬
‫اللتزامكم مبوجبه‪.‬‬
‫(‪ )4‬يجوز لكم وفق ًا لتقديركم وبدون حتميلكم �أي م�سئولية متديد �صالحية خطاب ال�ضمان لأية مدة �أخرى ترونها منا�سبة وبدون احلاجة للرجوع �إلينا و�أخذ‬
‫موافقة �أخرى منا‪.‬‬
‫(‪ )5‬نتعهد بتعوي�ضكم عند �أول طلب منكم عن كافة الأ�ضرار واخل�سائر التي ميكن �أن تتكبدونها ب�صورة مبا�شرة �أو غري مبا�شرة ب�سبب �إ�صدار خطاب ال�ضمان �أو‬
‫ت�صفيته بدون احلاجة �إىل توجيهكم �إنذار ر�سمي لنا �أو اتخاذ �إجراء قانوين‪.‬‬
‫(‪� ) 6‬سوف ندفع لكم عند �أول مطالبه منكم جميع املبالغ التي تدفع بوا�سطتكم يف �أي وقت من الأوقات مبوجب خطاب ال�ضمان مبا يف ذلك الفائدة و�أية نفقات �أو‬
‫ر�سوم �أو عوائد تتكبدونها فيما يتعلق بخطاب ال�ضمان‪ .‬ونفو�ضكم ب�أن تقيدوا على ح�سابنا وتخ�صموا منه جميع تلك املبالغ و�أي �أموال مت االتفاق على جتنيبها‬
‫مقابل �إ�صدار خطاب ال�ضمان‪.‬‬
‫(‪ )7‬ت�أمين ًا و�ضمان ًا لإ�صدار خطاب ال�ضمان نرهن ل�صاحلكم ون�ضع حتت ت�صرفكم املطلق كافة الأر�صدة الدائنة يف ح�ساباتنا وجميع الودائع والأوراق التجارية‬
‫واملالية والب�ضائع والأموال املنقولة وغري املنقولة و�أية ممتلكات �أخرى وحقوق من �أي نوع‪ .‬كما و�إننا نتنازل ونحول ل�صاحلكم كافة املبالغ امل�ستحقة لنا مبوجب‬
‫املعامالت �أو العقود التي من �أجلها مت �إ�صدار خطاب ال�ضمان‪.‬‬
