We'll send you your Google Tag Manager container code for your developer to install, or we can
install it ourselves after being granted backend access to your website. We'll also use Google Tag
Manager to install additional tags, like the Facebook pixel, remarketing tags, conversion tags etc.

The above proposal is quoted for an ad spend of up to $18,500 per month, which is a combined
spend between all ad platforms under our management. Additional information about Ad Spend
Brackets on following page.

How Ad Spend Brackets Work
Your Our billing is based on a combined ad spend bracket across all campaigns under our
management.

Investment For example, if we're managing Google Shopping, Search, Remarketing and Display campaigns
for you, the total combined spend between all campaigns will be counted toward your total
monthly spend.

We bill based on brackets for three main reasons.

1. It's simpler and more convenient for both the agency and the client to know exactly what
the monthly fee will be at any given time.

2. If we were charging a flat percentage of ad spend, some clients may feel that a suggestion
to increase budget in a particular campaign is being suggested with the ulterior motive of
being able to bill the client more at the end of the month. With brackets, there is always
room to spend more without any increase in fees.

3. It's simplifies the billing process to charge for a combined spend across all active
campaigns instead of charging for each campaign type (Shopping, Search, Remarketing,
Display) separately. Additionally, since we manage PPC accounts with a high level strategy,
monthly budget it very often shifted to different campaigns based on where performance
gains will be most likely realized.

("Company"), a [state/province] corporation, agree (this "Agreement") as follows:

Consultant agrees to undertake and complete the Services in accordance with and on the
schedule specified in the above. As the only consideration due Consultant regarding the subject
matter of this Agreement, Company will pay Consultant in accordance with Fee Structure.

ERRORS
We can't guarantee that our work will be error-free (we're human!) so we can't be liable to you or
any third-party for damages, including lost profits, lost savings or other incidental, consequential
or special damages, even if you've advised us of them.

WARRANTY
Consultant warrants that: (i) the Services will be performed in a professional and workmanlike
manner and that none of such Services or any part of this Agreement is or will be inconsistent
with any obligation Consultant may have to others; (ii) all work under this Agreement shall be
Consultant's original work and none of the Services or Inventions or any development, use,
production, distribution or exploitation thereof will infringe, misappropriate or violate any
intellectual property or other right of any person or entity (including, without limitation,
Consultant); (iii) Consultant has the full right to provide the Company with the assignments and
rights provided for herein; (iv) Consultant shall comply with all applicable laws and Company
safety rules in the course of performing the Services and (v) if Consultant's work requires a
license, Consultant has obtained that license and the license is in full force and effect.

TERMINATION

Terms And If either party materially breaches a material provision of this Agreement, the other party may
terminate this Agreement upon seven (7) days written notice unless the breach is cured within the
notice period.

Conditions Company also may terminate this Agreement at any time, with or without cause, upon seven (7)
days' notice, but, if (and only if) without cause, Company shall upon termination pay Consultant
all unpaid and undisputed amounts due for Services completed prior to notice of termination.

SERVICES
Consultant will perform the services outlined above to the best of their ability in a transparent and
professional manner.

TERM
The term will begin on date initial payment is received.

ENTIRE AGREEMENT
This Agreement constitutes the sole and entire Agreement and understanding between the
parties hereto as to the subject matter hereof, and supersedes all prior discussions, agreements
and understandings of every kind and nature between them as to such subject matter.

FEES
First payment of $2,744.10 to be paid at inception. Ongoing monthly management fee of $2,025
on a 30 day billing cycle thereafter. If budget exceeds $40,000 / mo in advertising spend, monthly
management fee will be reassessed. No fees are subject to a refund of any kind.
