Your salary (CTC) shall be Rs.120,000/-(One Lakh Twenty Thousand Only) per annum.

CONTRACT OF EMPLOYMENT

We would like to share with you the Company practices and policies to familiarize you with our
Organization. Your employment will be under the following terms & conditions:

1. PLACE OF POSTING AND DURATION OF EMPLOYEMENT:

The appointment takes effect from the date of your joining which shall not be later than 17th July,
2018. Your initial posting will be in Pinnacle Enterprises, Ranchi Unit, Jharkhand.

However, during employment with the Company, you may be posted /transferred to any of
the offices /projects /divisions/ departments /affiliates either existing or to be set up
anywhere in India, without any additional remuneration.
Duration of posting in probation will be for three (3) months and after review of the performance
company management may decide to continue with the same terms and conditions or may promote
you with a permanent candidature.

In three (3) months of probation duration, company will ensure you that without any significant
reason company will not terminate you, but termination may happen if you will not follow
the ANNEXURE-2 as attached.

2. SALARY & ALLOWANCES

Your total annual pay will be Rs. 120,000/-(One Lakh Twenty Thousand Only) per annum, which will
be inclusive of basic salary, allowances, retrial and other benefits as mentioned in Annexure-1. In
addition, you will also be eligible for the performance based incentives which will be
communicated to you from time to time in line with the Company policy. Further, the Company at its
sole discretion may modify or change such allowances, benefits and perquisites from time to time in
accordance with the Company policies. In case of not attending minimum sales target from second
month you will be remitted with basic salary only.

3. ANNUAL LEAVE

This terms and conditions henceforth applied for only successful completion of probation
period with our company.

PINNACLE has a balanced leave portfolio that provides for the personal time-off needs of
employees, covering paid vacation time, sick leave, maternity/paternity leave and
bereavement leave. The maximum leave entitlement for every employee is 12 days (may
vary as per the government leave policy) during a financial year commencing from April to
March and will be prorated in case an employee joins in between the year. The entitled
leave of a financial year cannot be carried forward to the subsequent financial years. This includes
all annual (may vary as all government leaves are specified by central government of India and state

note that, you are not entitled to any leave during the probation period. All Sick leaves will be
entertained only when the employee submits the associated proof.

For an employee joining between 1st and 15th of the month, 1 day would be credited for
that month. For an employee joining between the 16th of the month till the end, 0 day
would be credited for that month. The leave rules are subject to change from time to time, in
accordance with the Company’s business objectives.

4. BUSINESS EXPENSES

The Company will reimburse all business expenses as per the pre-defined norms, subject to review
and approval by your senior manager or management. All such expenses incurred must be
appropriately documented and reported for claims.

5. WORKING DAYS

The Company works for six-day/ week. You may have to work beyond the working hours as required
by your responsibilities without any additional compensation. Your normal office hours will be:

Monday to Saturday: 9:30 AM – 06:30 PM

Lunch break: 30 minutes

Note: Your office hours are subject to change as deem operationally necessary by the Company.

6. PROBATION/CONFIRMATION

You will be placed on probation for a period of three months (3 Months) under this terms and
conditions and the said period can be extended by another three months (3 Months). On the
expiry of the period of this probation or extended period of probation, if you are not
confirmed in writing, your services shall be deemed to be continue as in Probation. However,
unless you are confirmed in writing, you shall not be deemed to be permanent.

Under this agreement, the notice period for termination / resignation required from either side is
30 days except during probation, during probation the employee has to serve 15 days of
notice period or he/she has to forfeit one month complete salary to get relived at the earliest.

Full time employee has to complete his given project or target and serve proper one month notice to
get relived properly.

After successful completion of your probation, you will be confirmed in writing as a


permanent employee of the Company. You will be entitled to statutory and service
benefits and be governed by discipline and other rules existing or may come into existence from time
to time as and when applicable as per rules of the Company and such other benefits

as applicable to employees in force from time to time to the location / place wherever you
are working.

7. TAXATION

The Company shall not withhold an appropriate amount towards the Income Tax (as per the Indian
Income Tax laws), and may withhold other deductions as per legal requirements from the salary paid
to you. You shall be responsible for filling your Tax returns and comply with other
requirements under the Indian Tax laws.

8. TERMINATION

We hope your association with us to be a long one. However, if you or the Company
decides otherwise, the appointment may be terminated after 30 days’ notice or the payment of the
base salary in lieu of notice. The Company reserves the right to terminate your employment
summarily without notice or payment in lieu of notice, if it has reasonable grounds to believe that
you are guilty of misconduct or negligence, or have committed any breach of the terms and
conditions of this offer.

Your services are liable to be terminated at any time: As and when the Company comes to
know of any conviction by the Court of Law during the tenure of your service with us or
conviction and / or any bad record in the past under the previous employer, or because of
your giving false information at the time of your appointment or concealed any material
information or given any false details in the application form or otherwise as regard age, education
qualification , experience, salary etc.

If you are found to do not possess the desired qualifications, which do not conform to government
regulations, as may be required from time to time and necessary for continuation of business or its
exigencies or on account of redundancy.

9. DUTIES & RESPONSIBILITIES

You will directly report to the Senior Manager or Concerned Management commencing with your
start of employment. Your main responsibilities will include but not limited to:

Meeting the expected results from you in terms of outcomes in work. However your responsibility is
subject to expansion depending upon the need of business.

Also, note the following points in this regard.

1. The Company expects you to work with a high standard of initiative, efficiency and economy. You
will perform, observe and confirm to such duties, directions and instructions assigned or
communicated to you by the Company and those in the authority over you.

2. You will devote your entire time to the work of the Company and will not undertake
any direct/indirect business or work, honorary or remunerator except with the written permission of
the management, in each case. Contravention of this will lead to the termination of your service
without any notice or compensation in lieu of such notice.

3. Having a proper work schedule or time table for the work allotted to the employee helps the
employee in Time Management and reaching the deadlines in time.

4. If yours work is not satisfactory for the management then as per management review policy your
salary will be deducted and you will get only basic salary on that particular month and for this no
discussion will be entertained by the management.

10. CODE OF ETHICS AND BUSINESS CONDUCT

The code of ethics and Business conduct written is to be followed by all the employees who work for
the Company. Your adherence to them is vital to PINNACLE and to your success at PINNACLE.

11. GENERAL
a). During the period of service with the Company, you shall not indulge and/ or take part in any
activity of formation of council and / or association or become a member being part of
management staff which is found to be detrimental in the interest of the Company in any way. Such
an action shall be deemed as infringement to service conditions of the Company and amount to
causing damage to its interest and shall call for disciplinary action being taken against you, as it may
deem fit and appropriate.
b). In the event you are absent from duty without information or permission of leave or
you overstay your sanctioned leave, the Management will treat you as having voluntarily abandoned
the services of the Company. You will keep the Company informed of any change in your residential
address and contact details that may happen during the course of employment of your service with
the Company.
c). All documents, plans, drawings, prints, trade secrets, technical information,
reports,
statements, correspondence etc., written or unwritten and also information and instructions
that pass through you or come to your knowledge shall be treated as confidential.
You shall not utilize them for your own use or disclose to other persons during or after your
employment.

During the course of employment with the Company, you will acquire, gain,
generate, gather and develop knowledge of and be given access to business information about
products activities, know – how, methods or refinements and business plans and business
secrets and other information concerning the products / business of the Company, hereinafter
called the “SECRETS”. You will be liable for prosecution for damages for divulgence, sharing or
parting any of such information during course of employment and on cessation for at least 2 years
period.

While you are in employment of the Company, you may be given or handed over
Company’s property and / or equipment for official use and you shall take care of them including
their upkeep. On cessation of employment with the Company, you shall return all documents,
books, papers relating to the affairs of the Company, purchased with the Company’s money,
which may have come to you, and also any property of the Company in your possession. Any balance
of advance or loan taken by you from the Company, shall be fully recovered from your salary, at the
time of your leaving the services of the Company. You are requested to return the enclosed copy
duly signed as a token of your acceptance

Key Employee Agreement

In view of the highly competitive nature of the business of PINNACLE ENTERPRISES the need of the
Company to maintain its competitive position through the protection of its goodwill, trade secrets
and confidential and proprietary information, and in consideration for being provided with
the access to certain trade secrets and confidential and proprietary information in conjunction
with your employment with the Company, you agree as follows:

1. Non – Competition: For as long as you are employed by the Company, you shall devote your full
time and efforts to the Company and shall not participate, directly and indirectly, in any capacity, in
any business or activity that is in competition with the Company.

2. Customer and vendor confidentiality: You recognize that it is essential for the
Company’s
success that all customer and vendor information be deemed to be confidential trade secret.

3. Confidentiality of Company materials : You agree that both during your employment with the
Company and thereafter not to use for your own benefit ,or divulge or disclose to any
person outside of the Company , any information not already lawfully available to the public
concerning the Company or any of its customers or suppliers. Information also includes any
data, design, product specification, workshop methodologies and evaluation methods or the
plan for a new, revised or existing product, any business, marketing financial or sales order,
and the present or future business or products of the Company.

4.All developments the property of the Company: All confidential, proprietary or other
trade secrets information and all discoveries ,or otherwise made by you, alone or with others, and in
any way relating to the Company’s present or planned business or products.

5. Recruiting Company employees: For twelve month period following the effective date of your
termination. For any reason, from the Company, you agree not to directly or indirectly recruit, or
induce any employees.
