STEPS FOR THE REMOVAL OF COMPANY FROM DISSEMINATION BOARD

1. Send Plan of Action/Letter of Intent to BSE in Annexure A;
2. Appoint SEBI Registered Merchant Banker as Independent Valuer and Registrar and Transfer Agent (RTA);
3. Intimate to BSE about the appointment of Independent Valuer;
4. Merchant Banker will do Valuation and issue Valuation Report;
5. Offering promoter (in this case offering Director) will issue 1st Public Announcement informing Public Shareholders for 
willingness to continue as shareholders of the Company;

Note: Printing cost wold be minimum Rs. 70/cm approx
6. Investors to give NOCs with in 15 days of Publication of Public Announcement;

Note: PAN Card and Aadhar Card is necessary.
7. After receiving NOC, calculate No. of shareholders along with their shares to whom Exit Offer needs is to be given;
8. Open Escrow Account and Special Account with Sheduled Commercial Bank;

9. Calculate Amount for Escrow account/Bank Guarantee (in favour of Merchant Banker) or Both;

Note: Amount for Escrow= No. of shares held by remaining public shareholders*Value determined by Independent Valuer
10. Deposit amount in Escrow Account or issue Bank Guarantee or both;
11. Now Offering Director will issue 2nd Public Announcement informing about Period of Offer etc.;
12. Next Day of 2nd PA send Exit Offer Letter for Printing;

Note: Cost of printing would be Rs. 15/Letter (approx.) and Rs. 1.5/envelope (approx.)
Note: Cost of Dispatching from  Registered Post  would be Rs. 25‐27/Letter (approx.)
13. Offer will get open for 5 working days in which remaining shareholders will tender their shares;
14. Make payment to shareholders within 15 working days from the date of closure of offer;

Note: Balance Money will lie in the Escrow Account for a period of One Year from the date of Closure of Offer.
15. Application to BSE in Annexure D for Login ID and Passwords;
16. After receiving Login ID, upload all docs on BSE Portal.
BSE will verify the documents and remove the name of the company from dissemination Board
