CONTRACT OF EMPLOYMENT

We are pleased to inform you that we are in a position to offer you a Contract of employment as
Technician on the terms given below.

This General Employment Contract ("Contract") is made and effective this <<Starting Date>>,

RECITALS

A. Employee is willing to be employed by Employer, and Employer is willing to employ


Employee, on the terms, covenants, and conditions set forth in this Contract.

In consideration of the matters described above, and of the mutual benefits and obligations set
forth in this Contract, the parties agree as follows:

1. PERIOD OF CONTRACT
This Contract is valid for the period of two years commencing on <<Start Date>> and
ending without further notice on <<End Date>>.

The Contract is being offered to you on the basis of special work which will be required during
the aforesaid period and if it is thought necessary, the company may decide to offer you a fresh
contract for further one-year period at the completion of the period mentioned in (1) above. In
such a scenario Employer expects a commitment from Employee to accept a fresh contract for
further one-year period at the completion of the period mentioned in (1) above.

2. REMUNERATION
2.1. SALARY
You will be paid a basic salary of <<Salary>> per month (<<Salary in words>>), which is
inclusive of all statutory and other allowances.

Salaries are normally revised annually. Increments will be awarded solely at the discretion
of the Management and these will generally depend on the standard and quality of the
work performed, conduct and other relevant factors. Such increases in salary, if any, may
vary from time to time in respect of the amount or in any other respect.

2.1. BONUS
During your employment with us you may receive from time to time a bonus, if and when
the Company at the discretion of the Management, deems that a bonus may be paid to
you. the grant of such a bonus, if any, is subject to the profitability of our business and
may also depend on your performance during the relevant period.

Your remuneration package should be strictly confidential.

3. PROVIDENT FUND AND TRUST FUND


The company will contribute 12% of your salary to the Employee’s Provident Fund to
which you should contribute 8%; the company will also contribute 3% to the Employee
Trust Fund.

4. HOURS OF WORK
The Company may at its discretion fix the hours of work, the interval for meals and/or
rest and the times for commencement and cessation of work and interval, and to alter
these at its discretion, according to the laws, by-laws and statutes of the country and
business needs.

5. HOLIDAYS & LEAVE


5.1. You shall be entitled to such holidays/leave as according to the Shop and Office
Employees’ Act and the leave procedure of the Company.

5.2. Medical leave in excess of two days must be supported by a medical certificate
from a registered medical practitioner.

5.3. You shall not be permitted to stay away from work without prior approval, but if
for any reason you are compelled to do so, you shall immediately advice the
Management of the reason for your inability to report for work.

5.4. Leave at all times should be mutually agreed with the respective superior and
must be taken appropriately to suit the convenience of the company.

6. MEDICAL PROVISIONS
The Contract is subject to a satisfactory report being issued by a Registered Medical
practitioner, regarding your fitness to undertake your duties. In the event of you being
pronounced medically unfit, your Contract of employment will not be considered valid
and effective.
7. TRANSFER
We may at Management’s discretion transfer you from one department to another or
from one branch to another or to a subsidiary or associate company within <<Country>>
whether or not such department or branch or subsidiary or associate company is in
existence at the time of commencement of your employment with the Company.

8. SECONDMENT & FOREIGN ASSIGNMENTS


You are liable to be seconded to any Holding or Parent Company, Subsidiary, Associate
Company set up or likely to be set up in <<Country>> or Overseas at the sole discretion
of the Management. Further you are liable for Overseas Assignments on behalf of the
Company. Any additional terms and conditions to Overseas Assignments to be agreed
through a contract to be signed for the period for such assignments.

9. SUSPENSION
The company shall have the right to terminate or suspend you from services with or
without pay, either as a disciplinary measure or pending disciplinary proceedings.

10. TERMINATION OF EMPLOYMENT


Either party may terminate your employment by giving prior notice of two (2) months to
the other in writing or by payment of salary in lieu.
The Company reserves to itself the right to terminate your services without any notice or
payment in lieu on disciplinary grounds and/or if the Company deems that you have
committed a breach of any of the expressed or implied terms or conditions of your
Contract with the Company.

In the event you have not reported to work more than three working days without any
formal communication to the Company’s Human Resources and Administration Manager,
Company has the right to terminate your Contract without any prior notice.

Furthermore, the Company has the right to terminate your employment with immediate
effect if the current circumstances have changed in a major way since the letter of

appointment was signed with regard to political/civil unrest, war, business conditions or
other reasons that are beyond the Company’s control.

11. OBLIGATIONS
11.1 You would be obliged to follow the rules and regulations of the Company and any
revisions which may be issued by the Management from time to time, and you
should familiarize yourself with instructions, rules and procedures which are
effective in the workplace.
11.2 You shall serve the Company exclusively, faithfully and diligently and shall obey,
observe and perform all lawful direction, whether written or oral, they may be
given to you from time to time on behalf of the Company.
11.3 Whether during or outside working hours or whether at the work place or outside
the workplace, you shall not at any time, conduct yourself in a manner which may
or is likely to cause or be calculated to cause damage to the reputation or business
of the Company or its associate or subsidiary companies.
11.4 You shall not, either directly or indirectly, engage or be concerned in any other
employment or in any advisory capacity or otherwise or in any commercial or
business pursuit or undertaking, corporate, private or otherwise in any form of
capacity whatsoever either in your own name as principal or agent or otherwise
without prior written permission of the Management.
11.5 You shall not receive or accept whether directly or indirectly any profit or
commission or any other gain arising out from any business enterprise,
undertaking or any contract in relation to the Company or its associate or
subsidiary companies.
11.6 During the period of your employment and thereafter, you shall observe and
maintain secrecy in respect of all transactions of the Company or associate or
subsidiary companies and any information you obtain during your employment
relative to such companies and you shall not disclose any such information to any
person.
11.7 Not divulge to any person, firm or company, any trade or other secrets of the
Company and/or associate companies any information concerning the Company’s
business affairs which you acquired in the course of your employment.
11.8 Upon termination of the employment you shall handover equipment, documents
and other material related to your employment to such a person as is designated
by the Company.
