DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE is made, executed and entered into by:

DEBBIE KHAY B. VALENZUELA, of legal age married to JAYSON J. VALENZUELA,


Filipino and with residence and postal address at BRGY. 37, PUROK 2, CALAYAB LAOAG CITY,
ILOCOS NORTE, hereinafter referred to as the SELLER

-AND-

JESSA MAE I. DELA CRUZ, Filipino and with residence and postal address at BRGY. 16,
#130 SAN JACINTO, JUAN LUNA STREET, LAOAG CITY, ILOCOS NORTE, hereinafter referred to
as the BUYER.

WITNESSETH;

WHEREAS, the SELLER is the registered owner of a parcel of land with improvements
located at BRGY. 15, SAN GUILLERMO, PACO ROMAN STREET, LAOAG CITY, ILOCOS NORTE
and covered by Transfer Certificate of Title No. TCT 1433 containing total area of FIVE HUNDRED
SQUARE METERS, more or less and more particularly described as follows:

A PARCEL OF LAND (Lot 2020 Blk 540 of consolidation subdivision plan (LRC) Pcs – 12345,
being the portion of the consolidation of Lots 6789-A and 6789-B (LRC), Psd 50533, Lot 3, Psd-
100703, Lot 1, Psd-150980, LRC Rec. Nos. Nos. N-27024, 51768, 89632, N-11782, N-13466, and
21071 situated at Brgy. 15 San Guillermo, Paco Roman Street, Laoag City, Ilocos Norte containing an
area of 500 square meters more or less.

A PARCEL OF LAND

WHEREAS, the BUYER has offered to buy and the SELLER has agreed to sell the above
mentioned property for the amount of TWO MILLION PESOS (P 2,000,000.00), Philippine Currency;

NOW THEREFORE, for and in consideration of the sum of TWO MILLION PESOS (P
2,000,000.00), Philippine Currency, hand paid by the vendee to the vendor, the SELLER DO
HEREBY SELL, TRANSFER and CONVEY by way of Absolute Sale unto the said BUYER, her heirs
and assigns, the certain parcel of land together with all the improvements fo0und thereon, free from
all liens and encumbrances of whatever nature including real estate taxes as of the date of this sale.

DEED OF SALE

I, DEBBIE KHAY B. VALENZUELA, Filipino, married to JAYSON J. VALENZUELA, Filipino


and with residence and postal address at BRGY. 37, PUROK 2, CALAYAB LAOAG CITY, ILOCOS
NORTE, for and in consideration of the amount of TWO MILLION PESOS (P 2,000,000.00), paid to
me today by JESSA MAE I. DELA CRUZ, Filipino and with residence and postal address at BRGY.
16, #130 SAN JACINTO, JUAN LUNA STREET, LAOAG CITY, ILOCOS NORTE, do hereby SELL,
TRANSFER and CONVEY absolutely and unconditionally unto said JESSA MAE I. DELA CRUZ that
certain parcels of land together with the buildings and improvements thereon situated in the CITY OF
LAOAG, and more particularly described as follows:

It is hereby declared that the boundaries of the foregoing land are visible by means of
monuments; that the permanent improvements existing thereon consist of paved parking areas,
driveways, fences and lighting; that the land is assessed for the current year at P1,500,000.00 as per
Tax Declaration No. 3456 and the buildings and improvements, at P1,800,000.00 as per Tax
Declaration No. 6789, of the City Assessor of Laoag.

The above described real estate, not having been registered under Act No. 496 nor under the
Spanish Mortgage Law, the parties hereto have agreed to register this instrument under the
provisions of Sec. 194 of the Revised Administration Code, as amended.

This DEED OF SALE WITH PACTO DE RETRO made and executed between:

DEBBIE KHAY B. VALENZUELA, Filipino, of legal age married to JAYSON J.


VALENZUELA, Filipino and with residence and postal address at BRGY. 37, PUROK 2, CALAYAB
LAOAG CITY, ILOCOS NORTE, hereinafter called the VENDOR,

AND

JESSA MAE I. DELA CRUZ, Filipino, of legal age, married to CLIFFORD M. DELA CRUZ
and with residence and postal address at BRGY. 16, #130 SAN JACINTO, JUAN LUNA STREET,
LAOAG CITY, ILOCOS NORTE, hereinafter called the VENDEE.

WITNESSETH:

That the VENDOR is the absolute owner of a certain parcel of land with all the buildings and
improvements thereon, situated in BRGY. 15, SAN GUILLERMO, PACO ROMAN STREET, LAOAG
CITY, ILOCOS NORTE and more particularly described as follows, to wit:

A PARCEL OF LAND (Lot 2020 Blk 540 of consolidation subdivision plan (LRC) Pcs – 12345,
being the portion of the consolidation of Lots 6789-A and 6789-B (LRC), Psd 50533, Lot 3, Psd-

area of 500 square meters more or less. Her title thereto being evidenced by Transfer Certificate of
Title No. 1433 issued by the Register of Deeds of LAOAG CITY, ILOCOS NORTE.

That the VENDOR, for and in consideration of the sum of TWO MILLION PESOS (PHP
2,000.000.00) Philippine Currency, to her in hand paid and receipt whereof is hereby acknowledged,
does hereby SELL, TRANSFER, and CONVEY, under PACTO DE RETRO unto the said VENDEE,
her heirs and assigns, the above described property with all the buildings and improvements thereon,
free from all liens and encumbrances whatsoever.

That the VENDOR, in executing this conveyance, hereby reserves the right to
REPURCHASE, and the VENDEE is accepting same, hereby obligates himself to RESELL the
property herein conveyed within a period of 3 years from and after the date of this instrument, for the
same price of TWO MILLION PESOS (PHP 2,000.000.00) Philippine Currency, provided however
that if the VENDOR shall fail to exercise his right to repurchase by fully and completely paying the
said price within the period stipulated, then this conveyance shall become ABSOLUTE AND
IRREVOCABLE, without necessity of drawing up a new deed of absolute sale.

IN WITNESS WHEREOF, the parties hereunto set their hands this 24th day of JUNE 2019, in
LAOAG CITY, ILOCOS NORTE Philippines.
