Common Statuary Obligation Required

 Obtain Director Identification Number (DIN) and obtain a Digital Signature Certificate
which can be obtained from authorized MCA 21.
 Reserve the name of the company online by checking the availability of the desired
company name on the MCA 21 web site. A maximum of 6 names may be submitted.
Once approved, the selected name appears on the website.
 Stamp the company documents which should be accompanied by unsigned copies of the
Memorandum and Articles of Association.
 Get a Certificate of incorporation which requires e-form 1; e-form 18; and e-form 32 to
be electronically filed on the website of the Ministry of Company Affairs.
 Get a seal for company to issue certificates and other document.
 Obtain a Permanent Account Number (PAN) using form 49A.
 Obtain a Tax Account number (TAN) using form 49B.
 Every business whose annual turnover exceeds 20 lakh (for special states the amount is
10 lakh) to register for GST.
 Register for Profession Tax in which every employer is liable to taxation and shall obtain
a certificate of registration.
 Register with Employees Provident Fund Organization in which the employer is required
to provide necessary information to the concerned regional Provident Fund Organization
(EPFO) in the prescribed manner for allotment of Establishment Code Number.

 Factory License- The factory owners are required to notify and also register their
premises with the local governing authority before the beginning of operations. This
helps in facilitating risk management of workplace and the total implementation of safety
and health management in factory premises.
 Lease Agreement copy with the owner along with Gram-panchayat NOC copy in name of
company if setting up unit outside city limits.
 Final drawing of factory which consists of the complete layout of the plant.
 Declaration for the investment and project profile by the Chartered Accountant.
 A complete water budget which tells amount of water taken as input its application in
various stages (if any), losses (if any), amount of water recycled and amount of water
discharged as waste.
 Manufacturing process of each product with a flow chart.
 SSI Registration or Small Scale Industry Registration is a registration from the Ministry
of Micro, Small and Medium Enterprises. As once a business obtains SSI registration, the
business becomes eligible for a number of schemes and subsidies promoted by the
Government to boost small businesses in India.
 If the factory is registered as Pvt Limited then a copy of M.O.A ( memorandum of
association) stating the company's name, names of its members (shareholders) and
number of shares held by them, and location of its registered office.
 List of raw materials with monthly annual consumption along with list of manufacturing
products with monthly or annual consumption.
 Details of Stack and chimneys established in the unit and the details of hazardous and
non-hazardous waste with treatment and disposal.
 If dealing with large amount of water then Effluent Treatment Plants (ETP) Sewage
Treatment Plants (STP) process and diagram.
 Benefits of MSME/SSI Registration

 Easy Bank Loan up to 1 Crore without collateral/mortgage. Govt. of India and SIDBI has
launched a credit guarantee scheme (CGSME) to make available collateral free credit to
SMEs.
 Preferences are given when a firm with the above registration tries to procure government
tenders
 Enterprise that have MSME registration can avail benefit of 1% exemption on interest
rate on over draft (OD).
 Enterprise can avail concession on electricity bill by making application to state
electricity department.
 Maximum period for payment for purchase from MSME shall not exceed 45 days, in case
of delay the buyer is liable to pay interest to SME supplier at 3 times of the bank rate.
 MSME/SSI registered industry enjoys multiple income tax and capital tax subsidies from
government.
 Enterprise can also avail for 50% subsidy for patent & trademark registration.
