SECRETARY’S CERTIFICATE

I, REGINA S. ASEJO, of legal age, Filipino and with office address at 6750 Ayala Ave., Makati
City, Philippines, after having been duly sworn in accordance with law, hereby depose and
certify that:

1. I am the duly elected and incumbent Corporate Secretary of BANCO DE ORO

CORPORATION ( the “Corporation”), a corporation duly organized and existing under
and by virtue of the laws of the Republic of the Philippines, with principal office at 6750
Ayala Ave., Makati City.

2. As Corporate Secretary, I am charged with the custody of the books and records of the
Corporation including the Minutes of the Meetings of its Board of Directors and
Stockholders, and I am likewise authorized by the Corporation to issue certifications
respecting the same.

3. Per records in my possession, at the Special Meeting of the Board of Directors of the
Corporation held on April 2, 2018 at the Corporation’s principal office, a quorum being
present and acted throughout, a resolution was unanimously adopted and recorded and
is now in full force and effect , to wit:

“RESOLVED, AS IT IS HEREBY RESOLVED, that the corporation hereby authorizes MR.

BDO BRANCH MANAGER to file a case against MR. ABC BANK BRANCH MANAGER, to
execute in behalf of BANCO DE ORO CORPORATION, to sign necessary documents
pertaining to the case filed against MR. ABC BANK BRANCH MANAGER, that the
corporation hereby confirms that the above representative may lawfully do or cause to
be done under and by any virtue of these presents.

DULY APPROVED AND ADOPTED.

4. The foregoing Board Resolution shall remain valid and subsisting unless otherwise
revoked or amended in writing by the Corporation.
5. The foregoing Board Resolution is in accordance with the law and do not in any way to
contravene any provisions of the Articles of Incorporation or By-Laws of the
Corporation.
