AND WHEREAS the Vendor/s herein has/have agreed to sell the Schedule Property to
the Vendee/s, and the Vendee/s has/have agreed to buy all rights, title and interest of
the Vendor/s on the Schedule Property for a total consideration of Rs_________41/-

AND WHEREAS the Parties hereto have agreed to reduce into writing the terms and
Conditions on which the Vendor/s has/have agreed to sell and the Vendee/s have
agreed to purchase and acquire the possession, right, title and present and future

Vendor in the said Schedule Property;
NOW THIS DEED OF SALE WITNESSETH AS FOLLOWS:
1. That in pursuance of the above offer and in acceptance of consideration the
Vendee/s has/have paid the full consideration as given in clause 2 herein below. The
Vendor/s doth hereby acknowledge the receipt of full sale consideration and releases
the Vendee/s from any future liability of payment in this sale transaction. That the
Vendor/s as absolute owners of the Schedule Property hereby declares and transfers the
Schedule Property by way of ABSOLUTE SALE to the Vendee/s TO HAVE and TO
HOLD the same absolutely forever together with all the rights, title, liens, easements,
advantages and appurtenances pertaining to which the Vendor/s having in respect of
the Schedule Property.

3. The Vendor/s doth hereby declare and covenant that the said Schedule Property
is free from all encumbrances, charges, prior sales, mortgages, gifts, liens, court
attachments and litigations etc., and the Vendor/s has the full power and absolute
authority to sell the same to the Vendee.
4. That the Vendor/s this day delivered the vacant, physical and peaceful
possession of the Schedule Property to the Vendee/s the same absolutely and forever.
5. The Vendor/s has represented to the Vendee/s: -
a. that the said Schedule Property belongs to the Vendor/s absolutely and
that no other person or persons have any right, title or interest whatsoever
therein by way of sale, the said Schedule Property.

b. the Vendor/s has/have full right, power and absolute authority to sell or
transfer to the Vendee/s the said Schedule Property and his possession, title

done or committed or omitted to do any act, deed, matter or thing whereby
the ownership, possession and/or occupation of the said Schedule Property
by the Vendor/s may be rendered illegal and/or unauthorized for any
reason or on any account.
c. the Vendor/s hereby declare that they have not entered into any
Agreement with any party in respect of the Schedule Properties except the
present Sale deed.
6. That the Vendor/s doth hereby hand over all the previous title documents
including link documents, including property tax receipts, pass books, papers,
approvals, permissions, plans concerning the said Schedule Property held by them
to the Vendee/s.
7. That the Vendor/s hereby indemnifies and keep the Vendee/s indemnified
from against all the losses, costs, expenses, damages, sustained if any to the vendee
on account of any defect in the title of the Vendors or from any third party’s claim or
if the Vendee/s is/are deprived from the part or whole of the Schedule Property, the
Vendor/s shall compensate against the same from his personal and property.
8. If any litigation arises in respect of Schedule Property that the Vendor/s hereby
bears the expenses and will clear off the litigation and will free the property from the
litigation. The vendor/s hereby assure that the Schedule Property is not under the
court litigation or arbitration or in any disputes with third party’s and no case is
pending in respect of the Schedule Property in any court.
9. That the Vendor/s will assure that the Schedule Property is not mortgaged to any
third party and they have not sold to any person.
10. The Vendor/s undertakes to perform his part of duty in causing mutations in
the name of the Vendee in the revenue / municipal records or in any other Govt.
records.
11. That the Vendor/s has/have paid all taxes and all other incidental charges
payable on the Schedule Property upto date and the Vendee/s will have to pay such
taxes payable hereafter.
12. That the land affected by this document is not an assigned land.48
13. That the market value of the property is Rs.__________49/-, thus the total value
