a.

PROPERTY means the property as described in Schedule, along with all


easements and other rights.
b. PRICE means the total sale consideration fixed and agreed upon as
payable by the Purchaser to the vendors.
2. Sale
a. The VENDOR has agreed to sell the schedule property for a Sale Price
consideration of Rs. 36,00,000/- (Rupees Thirty Six Lakhs only) to due
compliance of the terms of this agreement as hereinafter described in
detailed wherever referred to and shall be construed to be the mandatory
conditions for execution and performance of the Agreement of Sale.
b. The said consideration will be paid by the Purchaser to the Vendors as
follows:
i. that is to say Rs. 9,00,000/- (Rupees nine Lakhs rupees only) paid
on the execution of this agreement as Earnest Money (the payment
and receipt whereof the Vendors doth hereby admit and acknowledge
and acquit, release and discharge the Purchaser from the payment
and receipt thereof and every part thereof) that is paid in part vide
Cash receipt, Dated: 20.06.2016, which the Vendors admits to have
received and executes a receipt pursuant thereto.
ii. the Balance remaining sale consideration will be paid on or before 45
days. The Balance remaining sale consideration shall be Rs Twenty
Seven Lakhs which will be paid by the Purchaser on or before the
said date.

c. That in pursuant after the payment of total sale price consideration as


per Para b(ii) above the VENDOR shall execute proper deed of conveyance
in favor of the Purchaser or his nominees or assignees to pass and
convey an absolute title to the Purchaser.
d. The Vendors has represented that the Schedule mentioned property is
not the subject of any arbitration or conciliation proceedings, and there
is no court order that would affect the sale of Schedule mentioned
property to the Purchaser in any manner.
e. The Vendors agrees to execute and register all necessary documents, sale
deeds, rectification deeds, ratification deeds, declarations, affidavits and
undertakings and all other papers and forms as may be required by the
Purchaser, for the sale of the property in favour of the Purchaser for
better assuring the title of the Purchaser after sale has been effected.
f. The Vendors shall assist the Purchaser and co-operate with the
Purchaser, in the event of any proceedings arising in future and touching
the Schedule mentioned property. All costs of such proceedings shall be
to the account of the Vendor only.
g. The Vendors has represented that there is no material defect in the
Schedule mentioned property or in the title of the Vendor to the same,
which the Vendors are aware.
