NOW THIS INDENTURE OF AGREEMENT OF SALE WITNESSETH AS FOLLOWS:-

1. That the VENDORS shall sell and Purchaser shall purchase the schedule property for
the fixed sale consideration of Rs.1,56,00,000/-(Rupees One Crore Fifty Six Lakhs
only). The Purchaser shall deduct the TDS in prior to the payments of the said sale
consideration amount as and when the payments are transferred to the Vendor. And
also further make payments to the said concern department liable to receive the Taxes
with regards to the said Schedule Property. That in pursuance of the said sale as part
performance of contract the Purchaser has duly paid a sum of Rs. 2,00,000/- (Rupees
Two Lakhs only), as follows

a).Rs. 2,00,000/- (Rupees only) vide Cheque, through HDFC Bank, IFSC:
HDFC0002394, Cheque number: 000003, 560240074, 011273, 31
.

2. The VENDORS and the Purchaser hereby duly agree that the balance sale
consideration of Rs. 1,54, 00,000/- (Rupees One Crore Fifty-Four Lakhs only) shall
be paid to the VENDORS by the Purchaser within 90 days (_3_) months from the date
of this agreement of sale and the VENDORS shall execute necessary sale deed in favor
of the Purchaser by duly receiving the balance sale consideration. The Purchaser shall
also pay the balance sale consideration and take the necessary sale deed from the
VENDORS within the stipulated time. However, the above-mentioned agreement is
subjected to loan approval of the bank, in case of non-approval/loan sanction from any
bank the vendor shall return entire sale agreement amount paid by the purchaser without
deducting any amount, i.e. full refund of entire amount paid by purchaser to seller. The
Vendor hereby also hands over the possession of the scheduled property as security
towards the advance consideration amount paid by the purchaser to the Vendor.

3. The Vendors hereby declares that the said schedule property is free from the loan , or
the said schedule property is free from all holds having, mortgage, trespasses, any kind
of other transaction like sale agreement, deed etc.

4. The VENDORS covenants with the Purchaser that he has good and valid marketable
title to the schedule property; he has authority, right to convey and sell the schedule
property, which is hereby agreed to be sold UNTO the said Purchaser under this
Agreement of Sale. The VENDORS covenants with the Purchaser that he has not
alienated or created encumbrances over the schedule property or any part thereof to any
person or persons in any manner. The VENDORS hereby undertakes that they will not
alienate the schedule property to any third person except the Purchaser herein.

5. The VENDORS assures Purchaser that, there are no encumbrances, court attachments
by any person or persons or from the Government for the payment of any taxes, or
claims of minors, or claim of maintenance by any person whatsoever, and VENDORS
agrees to indemnify the Purchaser against such claims if arises.

6. It is agreed between the parties that the registration costs such as stamp duty,
documentation, registration and any other charges shall be borne and paid exclusively
by the Purchaser to take the sale deed as stated above.
