SELLER:
Best Creator Infra Ltd., [Registered Address], [City, State, Pin Code].
BUYER:
Sigma Infra Ltd., [Registered Address], [City, State, Pin Code].
WHEREAS, the Seller is the lawful owner of five commercial shops situated at [Address of
the Property] (hereinafter referred to as the "Property").
AND WHEREAS, the Buyer has expressed its interest in purchasing the said Property.
SALE OF PROPERTY: The Seller agrees to sell and the Buyer agrees to purchase the five
commercial shops located at [Address of the Property] for a total consideration of Rs. 20
Crore (hereinafter referred to as the "Sale Price").
EARNEST MONEY: The Buyer has paid a sum of Rs. 25 Lakhs as earnest money to the
Seller as a token of its genuine intention to complete the purchase. This amount shall be
adjusted towards the Sale Price at the time of the closing.
TIMELINE FOR COMPLETION: The sale shall be completed within 6 months from the date
of this Agreement. The Buyer shall pay the remaining balance of the Sale Price on or before
the closing date.
POSSESSION: Possession of the Property shall be handed over to the Buyer upon the full
payment of the Sale Price.
CLOSING PROCEDURE: The closing shall take place at a mutually agreed location and
time. At the closing, the Seller shall deliver to the Buyer a duly executed and registered sale
deed transferring the Property to the Buyer.
DEFAULT: In the event of default by either party, the non-defaulting party shall be entitled to
seek legal remedies, including specific performance or damages.
GOVERNING LAW: This Agreement shall be governed by and construed in accordance with
the laws of [Applicable Jurisdiction].
