CONDITIONAL DEED OF SALE OF PROPERTY

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF CONDITIONAL SALE, made and executed this 18th day of
February, 2024 by and between:

, of legal age, Filipino, single, with postal address at


______________________________________________ City, hereinafter referred to
as the "SELLER”;

-AND-

, of legal age, Filipino, married, with postal address at 627 Finance Road,
Mandaluyong City, hereinafter referred to as the "BUYER”.

WITNESSETH;

WHEREAS, the SELLER is the owner of a condominium unit consisting an


area of ONE HUNDRED TWENTY-EIGHT SQUARE METERS (128 sqm.),
located at Unit 5B Imperium at Capitol Commons, Camino Verde Road, Pasig
City and covered by Condominium Certificate of Title No.369-187 issued by the
Registry of Deeds of Pasig City (the “Property”);

WHEREAS, the BUYER has offered to buy the Property in the amount of
TEN MILLION PESOS (Php 10,000,000.00) and the SELLER acknowledges
receipt thereof and agreed to sell the above mentioned Property under the terms
and conditions herein below set forth;

WHEREAS, the BUYER shall pay he amount of FIVE MILLION PESOS


(Php 5,000,000.00) upon execution of this deed as earnest money;

WHEREAS, the BUYER, shall pay the monthly amount of EIGHTY-


THREE THOUSAND THREE HUNDRED THIRTY-THREE THOUSAND
PESOS (83,333.00) to pay of the amount in SIXTY (60) months.

WHEREAS, the SELLER’s Title to Property is reserved until full payment


of the purchase price, and that the SELLER is hereby bound to execute a Deed of
Conditional Sale in favor of the BUYER upon fulfilment of the BUYER’s
obligation to the SELLER; and that the SELLER commits herself to SELL, CEDE,
TRANSFER, and CONVEY, in a manner that is absolute and irrevocable the
Property unto the BUYER.

NOW THEREFORE, for and in consideration of the total sum of TEN


MILLION PESOS (Php 10,000,000.00), and of the covenants herein after set forth
the SELLER agrees to sell and the BUYER agree to buy the aforesaid Property
subject to the following terms and conditions:

1. The total consideration shall be TEN MILLION PESOS (Php


10,000,000.00) inclusive of VAT.

2. The BUYERS/VENDEES agree to buy the Property from the


SELLER/VENDOR on “AS IS WHERE IS” basis.

3. Capital Gains Tax shall be for the account of
the SELLER, Documentary Stamps Tax, Transfer Tax, Real Estate
Tax, Registration Fee, registration expenses, and all other
miscellaneous fees and expenses shall be for the account of
the BUYER;

4. All taxes or fees due to the government before the BUYER take
possession of the Property shall be for the account of the SELLER.

5. In the event the BUYER fails to pay, when due, any of the amount
herein stipulated, this Contract is considered deemed terminated and
the BUYER shall immediately vacate the Property without any need
of formal demand from the SELLER. All payments made by the
BUYERS/VENDEES prior to the default shall be deemed forfeited
and waived in favor of the SELLER.

6. The BUYER shall not sell, cede, assign, transfer or pledge the
Property or allow it to become subject to any lien of whatsoever
nature or deliver possession thereof to any other person while any
portion of the Purchase Price remains unpaid.

7. Should any party ("the guilty party") breach any material provisions
of this Contract and fails or refuses to rectify the breach within ten (10)
days upon receipt of a written notice from the other party ("the
aggrieved party"), calling upon the guilty party to rectify the breach,
the aggrieved party shall be entitled, without prejudice to any of his
other rights, to cancel this Contract by written notice to the guilty
party.

8. In case it shall become necessary for the SELLER to resort to court


for the enforcement of its rights under this Contract or for the
recovery of possession of the Property in case of termination of this
Contract by reason of default and other causes attributable to the
BUYER, said BUYER shall be liable to pay the cost of suits and
attorney/s fees of not less than ONE HUNDRED THOUSAND
PESOS (P100,000.00) and other incidental expenses.

9. The parties agree to perform, or procure the performance and


execute and deliver (or procure the execution and delivery) of all
further documents, as may be required by law or as may be desirable
or necessary to implement or give effect to this Agreement and the
transactions contemplated therein.

10. This Deed contains the entire agreement between the SELLER and
the BUYER regarding the subject matter hereof and supersedes and
cancels all previous negotiations, undertakings, commitments, and
documentations in connection therewith.

11. This Deed shall not be modified except upon a written agreement
duly executed by the SELLER and the BUYER.

This instrument refers to a CONDITIONAL DEED OF SALE OF PROPERTY

between HANNA GRACE BAULA and MARK ANTHONY SAN DIEGO, which
consists of four (4) pages, including the page whereon this acknowledgment is
written, and which is signed by the parties and their instrumental witnesses on
each and every page thereof.
