AGREEMENT FOR FREELANCE WRITER

This agreement is dated as of 7th September 2018 and is signed by and between ADITI
MAKIM, founder of THE STORYWEAVERS INC, henceforth to be referred to as 1st party and
………….., henceforth to be referred to as 2nd party.

1. SCOPE OF SERVICES AND COMPENSATION

1.1 The 2nd party agrees to be a freelance writer with The StoryWeavers Inc, for the
project tentatively titled SHORTS, for writing a set of content pieces for the said
project.

1.2 In order to write for this project, the 2nd party agrees to write a content piece in
700-800 words, as per the format, time frame given by the 1 st party and parameters
outlined below.

1.3 The piece will be written by the 2nd party and sent to the 1st party for review. The
1st party reserves the right to give feedback, comments and modifications to the story
and send it back to the 2nd party for modification. The story will then be modified by
the 2nd party and sent back as a final piece to the 1st party for sending further to the
content client. Only 1 round of redrafting will be permitted per piece by the 1 st party
to the 2nd party. However, the content client may revert with changes. In such a case,
the 2nd party will have to modify the contents as required.

1.4 The 2nd party agrees to receive Rs2000 per story for the above-mentioned project,
provided the 2nd party delivers the required content as per the parameters outlined
in section 3.

1.5 In the event that the 2nd party does not adhere to the parameters outlined in
section 3, the 1st party will not be obliged to pay the 2nd party for the work done.

2. PROCESS

2.1 The 2nd party will be required to write a few content pieces per month. The
frequency of these pieces can range from 4 a month to 10 a month, depending on the

requirement of the 1st party. A weekly calendar of content requirements, with a
delivery schedule will be given to the 2nd party a week in advance.

2.2 In case the 2nd party is unable to take up the topic allotted to her as per the
required schedule, she will notify the 1st party within 24 hours of receiving the
content calendar by mail or WhatsApp. The topic in question will be then assigned to
another writer empanelled with the 1st party.

2.3 If, within 24 hours of receiving the topic by mail, the 2nd party does not inform
the 1st party of her inability to take up that piece, then it is assumed that the 2nd
party will deliver the content piece on-time and as per parameters mentioned in
section 3.

3. PARAMETERS

3.1 Each content piece will contain 700-800 words. It will be written in the format
prescribed by the content buyer and the 1st party.

3.2 The content has to be written for children aged 4 to 7 years of age. Consequently,
the content has to be in simple language, without too many technical terms. It has to
be written in English, with correct spellings and grammar, without very high-level
vocabulary, with only a few Hindi phrases, where required. Samples of content
required, as per client parameters, have already been shared with the 2 nd party, for
reference.

3.3 Relevant links or sources must be quoted at the end of every content piece.

3.4 The content cannot be taken word-for word from the net or from any printed
book. It must be paraphrased in the 2nd writer's own words.

3.5 The content must be from verified sources and cannot contain any scandalous or
libelous matter.

3.7 Each piece has to be delivered as per timelines, mentioned in section 2.

3.8 Only 1 round of redrafting will be allowed per writer per content piece. However,
the content client may ask for modifications to the content, which will have to be
carried out by the 2nd party. Accepting or rejecting the content piece is entirely up to
the 1st party and the content buyer in question. If the writing is found to be
unacceptable as per the parameters outlined in this section, the 1st party is under no
obligation to pay the 2nd party for her writing.

4. INTELLECTUAL PROPERTY RIGHTS OF THE CONTENT.

4.1. Once submitted, the content is said to be exclusively owned by the content
buyer.

4.2 The content buyer is the sole owner of this content and reserves the right to
script and produce it with any writer/ production house without the signed consent
of the 2nd party.

4.3 The content buyer only, and not the 1st neither the 2nd parties are said to be
owners of the said content. The same content cannot be offered or marketed or
shared with another buyer, either at a price or free.

4.4 Neither party will receive any credits in the content when finally produced.

5. COMPENSATION AND PAYMENT TERMS

5.1 The 2nd party will receive payment for content writing services rendered, @
Rs2000 per content piece, provided parameters as outlined in section 3 are met.

5.2 To this end, the 2nd party will raise an invoice on the 1st party as a freelance
writer, quoting her PAN number and address, at the end of every month.

5.3 The 2nd party will receive payment from the 1st party only once the 1st party
receives the payment from the content client and the money is credited in the 1 st
party’s account.

6. COPYRIGHT, INDEMNIFICATION AND LEGAL PROTECTION

6.1 The 2nd party is responsible for verifying the authenticity of the content. The 1 st
party will not be held responsible in case any part of the story is found to be untrue
or based on hearsay.

6.2 The 2nd party cannot copy or paste content from the net or elsewhere word-for-
word but instead should write in her own words and structure.

7. TIME FRAME

7.1 This agreement is said to be valid for a period of 3 months, to be extended by


mutual agreement.
