Special Reaffirmation of Duty to Act In Good Faith and to Maintain Confidentiality

June 3, 2019

As a member of the New Hanover County Board of Commissioners, I acknowledge and agree that I have
a legal duty to act in good faith and exercise my duty of care as a New Hanover County Commissioner calls
upon me, when necessary, to safeguard critical proprietary and confidential information of New Hanover
County shared in closed session. I further understand that my disclosure of Proprietary Information to
third parties (individuals, companies, media, etc.) can result in significant harm to New Hanover County
and/or the County Commissioners as such information relates to County matters. As such, I also
understand that the indemnification protections afforded to me as a Commissioner, may be waived for
intentional breach of confidentiality of Proprietary Information.
