MEMORANDUM OF ASSOCIATION OF PROGRESSIVE
FAMILY

1. The Name : The name of the Association is PROGRESSIVE FAMILY.

2. The registered office of the Association shall be situated at SUMITRA


NIWAS ,RAMGARH,PO- ORIENT COLLIERY, BRAJRAJNAGAR, DIST-
JHARSUGUDA, ODISHA-768233, INDIA.

3. Objective of the Association :-

a) to promote the awareness of benefit of having PROGRESSIVE


FAMILY in the Society.

b) to conduct family planning activities with the help of local Gover-


nment health centres in the Society.

c) to provide and maintain educational centres in the Society for the


promotion of PROGRESSIVE FAMILY.

The names , offices(if any) occupation and address of the Governing


Body to whom the management of the affairs of the Association is
entrusted and in whom its properties vest are set out here under namely :

RULES AND REGULATIONS OF PROGRESSIVE FAMILY
Name : The name of the Association is PROGRESSIVE FAMILY.

Interpretation : ‘Association’ means PROGRESSIVE FAMILY.

Objects : The objects for which the Association is established


are stated in paragraph three of the Memorandum.

Members : The members of the Association of the PROGRE-


SSIVE FAMILY are individuals from the society.

Fees : No fees subscriptions or collections of any kind


shall be paid or shall be assessable on the members
as such.

Titles :
a) All properties moveable and immovable of the
Association shall vest in the hands of the Governing
Body in accordance with the Rules and Regulations
of the Association of PROGRESSIVE FAMILY.

b) All sale deeds, contracts, enactments , agreements


lease and documents of whatsoever nature relating
to or affecting the said properties or interest of the
Association shall be taken and standin the name of
the Association.

c) All such deeds and documents shall be executed for


and on behalf of the Association by the president or
by any duly authorised agents.

Governing Body:
a) The Governing Body of the Association shall consist
of seven memebers who have subscribed to the Mem-
orandum of the Association, and other persons who
may be appointed either in substitution or by way of
addition as hereafter provided.

b) The members of the Governing Body shall all be mem-


bers of the Social Congregation known as PROGRESSIVE
FAMILY , should any member of the governing body
leave the society or be expelled from it ipso facto
ceases to be a member of the Governing Body of the
Association.

c) The members of the Governing Body shall be in the


position of trustees and not beneficial owners.

President : Being the initiator of the Association Ajay Prasad


Mandal becomes automaticaly president of the
Association ‘PROGRESSIVE FAMILY’.In his abs-
ence , or in the event of his inability to act such due
to any other cause , the office of the president shall
be held with the same rights and same powers by
the vice -president.

Vice-President : The Vice-President shall be appointed by the


president for the time being , from among the mem-
bers of the Association.

Treasurer : The Treasurer shall be appointed by the president for


the time being, from among the members of the
Association. The Treasurer shall diligently look after
the financial and other interests of the Association and
shall be responsible for the custody and maintenance
of the account books and monies entrusted to his care.
He shall be responsible for maintaining bank accounts
of the Association properly and for keeping the securities
of the Association in safe custody. He shall also be respons-
ible for arranging the audits of the Association , if and
when required . In general the Treasurer shall observe
the directions of the Governing Body with great fidelity,
accuracy and integrity regarding the above and all other
works undertaken through such directions.

Secretary : The Secretary of the Association shall be selected from


among the members of the Governing Body, The same
person can be Treasurer if he chooses. Even if another
member is the Treasurer, the president can have all the
powers of the Treasurer and be empowered to act as
such. The Secretary shall exercise all such powers and
do all such acts as may be required for the proper cond-
uct of the ordinary current administration and business
of the Association as directed by the Governing Body.
Period of appointment : The nominated members will be appointed
by the president for a normal period of one year, but
the President can remove any of them at any time or
extend anyone’s time limit as he wishes.

Vacancies in the Governing Body : In the event of vacancies


occurring among the members of the Governing
Body either due to transfer , resignation or death or
if for any other reason any addition shall be made by
the president, such vacancy shall be filled within a
period of three months, within fourteen days, succee-
ding the day on which an appointment to fill such a
vacancy is made, a list of the members of the revised
Governing Body shall be sent to the Registrar of
Societies, Jharsuguda.

Powers of the Governing Body :


1) The Governing Body of the Association shall have
power to carry on business and shall be entrusted with
the management of the affairs of the Association and
shall have power to do such acts as in their opinion may

be conducive to the attainment of the objectives of the


Association, the right of veto being reserved to the
President.

2) The Association may take over, acquire, hold, or


dispose of pronotes and other securities of the
Government of India or of any state, or local Gove-
rnment or public body, and the venture stocks, shares
and securities of any Company. It may sell, endorse,
transfer and negotiate such pronotes and securities in
the name of the Association.

3) The Asssociation may receive , collect or recover


Government grants and allowances from any other
person or public body.

4) The Association may acquire and take over all or


any part of the moveable or immoveable property
now or hereafter vested in any person or persons
and used and devoted to any perposes consonant
to the aims of the Association.
5) The Association may purchase , take on lease, or
otherwise acquire any lands, buildings, easements,
rights of common , or any property moveable or
immoveable which may be requisite for the purpo-
se of , or conveniently used in connection with any
of the objectives of the Association.

6) The Association may lend money or mortage or


other forms of securities . It may borrow from
Banks or other persons of public bodies, and
give mortgages or other securities in the name
of the Association.

7) The Association may open Bank accounts . All


Bank transactions shall be carried out for and
on behalf of the Association by its Treasurer on
for the time being, or by its President who can
open , operate or close any Bank accounts after
a resolution to that effect has been passed by the
the Governing Body.

8) Institutions under the Association may have their


own Bank accounts , which shall be operated by
the Manager of the Institute and two members of
the Governing Body for the Association.

9) The Association may sue or be sued in the name


of the President , the secretary , or such person as
shall be appointed by the Governing Body in a pa-
rticular case.

10) Any number not less than three fifths of the mem-
bers of the Association may determine that it shall
be dissolved forwith and all necessary steps shall
be taken for the disposal and settlement of the pro-
perty of the Association, its claims and liabilites
according to these rules as the Governing Body
shall find expedient.

11) If upon the dissolution of the Association there


shall remain, after the satisfaction of all its debts
and liabilites , any, property whatsoever it shall
be given to the Government of Odisha.
12) The Governing Body shall have full powers to
frame further rules or charges or modify the rules
or frame bylaws or repeal such rules or bylaws,
either by itself or by an appointment of an ad hoc
Managing Commitee consisting of not less than
three of its members , provided such rules and
bylaws are in conformity with the Code of Canon
Law and the Constitutions of the PROGRESSIVE
FAMILY.

13) The Governing Body shall be answerable for


the fulfillment of all conditions imposed by the
Government and the fulfillment of other Gove-
rnment of Municipal rules or bylaws.

Meetings of the Governing Body :


The members of the Governing Body may meet to-
gether for the dispatch of business of the Associat-
ion, adjourn and regulate their meetings as they think
fit, observing however, the following :

a) Chairman : The Chairman of the meeting of the


Governing Body shall be the President, if present
otherwise the Vice the President . In this case the
Governing Body shall consist of six members. No
Chairman will be elected.

b) Quorum : The Quorum for the meetings of the


Governing Body and for the transaction of the
business of the Association shall be three, one of
whom must be the President.

c) Majority : Questions arising at a meeting shall be


decided by a majority of votes or a show of hands
or at a poll, but in the case of an equality of votes
the Chairman shall have a second or casting vote.

d) Votes : At all meetings of the Governing Body or


of a committee thereof every member of the Gov-
rning Body or the committee, whether present
personally or by proxy , and whether by show of
hands or at a poll, shall have only one vote.
e) At any meeting of the Governing Body or of a
committee appointed thereby a resolution put to
the vote of meeting shall be decided on a show
of hands of the members present in person or by
a duly appointed proxy entitled to vote, unless,
before the results of a show of of hands, a poll
be demanded by the Chairman of the meeting or
by a duly authorised proxy of the President or the
Vice President or at least two members present
in person and entitled to vote, and unless a poll
be so demanded, a declaration by the Chairman
of the meeting that a resolution have a show of
hands been carried by a particular majority or
has been lost shall be conclusive proof of the nu-
mber or proportion of votes recorded in favour
or against such resolution.

f) Competency : A meeting of the members of the


Governing Body at which a quorum is present
shall be competent to exercise all authority, pow-
ers and discretion by and under the regulations of
the Association for the time being vested in the
Governing Body generally.

General Meetings : General Meetings of the members of the


Association shall be convened for the handling of such
matters as are required to be determined a general mee-
tings shall be called and otherwise regulated by the
Governing Body, observing , however , the following :

a) Chairman : The Chairman of the General Meeting


of the Association shall be the President , if present
, if absent , the Vice-President .

b) Quorum : The Quorum required for a General Mee-


ting for the alteration, amendment, addition to revo-
cation of any of the articles of the Memorandum of
Association or of the rules and regulations of the
Association , for the amalgamation of the Associati-
on with another Association, for the division of the
Association into two or more Associations or for the
dissolution of the Association, shall not be less than
three fifths of the members present in person or by
proxy.
c) Assent : The assent of at least three fifths of the
members present in person or by proxy shall be
required in order to pass validly a resolution propo-
sed at any general meeting of the members of the
Association, provided that no resolution of the gen-
eral meeting or of a committee appointed thereby
shall deemed to have been carried or to have any
validity or effect whatsoever if the President, being
present , shall have voted against it, or until the
President being absent from the meeting,shall have
subsequently approved such resolution or propos-
ition by signing the minutes of the meeting conta-
ining the said resolutions.

d) Votes : All the members entitled to vote shall have


one vote each, whether on a show of hands or at a
poll, and whether present in person or by proxy.

e) Voting : At any general meeting of the members


of the Association or of a committee thereof , a
resolution put to the vote of the meeting shall be
decided upon by a show of hands of the members
present in person or by a duly appointed proxy
entitled to vote unless, before the result of a show
of hands a poll shall be demanded by the Chairm-
an of the meeting , or by a duly authorised proxy
of the President or at least by two members present
in person and unless a poll be thus demanded, a
declaration by the Chairman of the meeting that
resolution as on a show of hands being carried by
a particular number of votes, or has been lost, shall
conclusive proof of the number or proportionate
of votes in favor or against such resolution.

f) Competency : A General meeting of the members


of the Association duly summoned and constituted
shall be competent to determine or decide upon the
division of the Association or on the dissolution of
the Association or in the amalgamation of the Ass-
ociation wholly or partly with another Association
and more over shall be competent to alter , extend,
abridge or repeal any article or articles of the Mem-
orandum of the Association or of the Rules and
Regulations of the Association and to frame new
articles and regulations for the above mentioned in
accordance with the provisions of the Societies
Registration Act XXI of 1860, provided that no
proposition shall be carried into effect unless a
written or printed report of the Governing Body
proposing the proposition shall have been delive-
red in person or sent to every member of the Asso-
ciation at least ten days previous to the convening
of the general meeting for the consideration thereof;
or unless such proposition has been assented to by
the votes of at least three fifths of the members
delivered in person or by proxy and confirmed by
the votes at least three fifths of the members pres-
ent in person or by proxy at a second meeting conv-
ened at an interval of one month after the former
general meeting.
