1. GENERAL CONDITIONS

Plant engineered and constructed pursuant to this Agreement shall meet performance
demonstration (Performance Test) during a performance demonstration period of 72 hours.

ESPINDESA’s obligations and guarantees with respect to ESPINDESA’s demonstration for the Plant
are subject to the following conditions precedent:

a) Licensee shall have complied with their obligations pursuant to the provisions of this
Agreement with respect to the Plant.

b) All information (including but not limited to, the Design Basis) submitted by Licensee to
ESPINDESA with respect to the Plant shall be true and accurate and all written instructions and technical
requirements made by ESPINDESA shall be followed by Licensee.

c) The Plant shall be properly engineered and constructed by Licensee or its main Contractor,
and shall be in strict accordance with the FEED Package provided by ESPINDESA and modifications thereof
accepted by ESPINDESA.

d) ESPINDESA has reviewed the Main Equipment drawings and lay Out from Detail Design as
well as P&ID.

e) ESPINDESA has checked the installation of the units with a minimum of one week under
Supervision of ESPINDESA, to be in accordance with ESPINDESA requirements.

f) Plant has been previously operated with a minimum of one week under Supervision of
ESPINDESA.

g) The Performance Test is properly conducted in accordance with procedures and analytical
methods furnished or approved by ESPINDESA in written.

h) Performance if Rotating Equipment in accordance with Extended Basic Design

Specifications.

i) Licensee shall furnish adequate supervision and labour.

j) Licensee under ESPINDESA supervision shall operate the Plant during the Performance test
in accordance with operating instructions furnished or approved by ESPINDESA in writing.

k) Tolerances and deviations in measurement systems and analytical procedures are in favour
of ESPINDESA.

l) Licensee will have available adequate laboratory testing facilities and staff.

1.1 Technical Process Guarantees

1.1.1 Capacity

Plant production per effective working day, shall be not less than following guaranteed value for
the NPK grade 20-20-15:

 1000 MTPD

1.1.2 Product Quality

Once the Plant operates at design conditions at nominal capacity, guaranteed product quality for
NPK grade 20-20-15 shall be:

 N Content: 20% ± 0,5 weight

 P2O5 content: 20% ± 0.5 weight

 K2O Content: 15% ± 0.5 weight

 Moisture: < 1.5%

 Granulometry: > 90% 2-4 mm.

 Hardness: > 20N

1.1.3 Environmental

Once the Plant operates at design conditions at nominal capacity, guaranteed emission at stack
shall be:

 Dust: < 100 mg/Nm3

1.1.4 Consumptions

When Plant operates at design conditions at nominal capacity, ESPINDESA aggregated consumption
values for the following raw materials (other minor raw materials as ammonia, sulphuric, coating agent, not
included) exclusively for the process plant excluding interconnection and external utilities, per MT of NPK
product shall be:

Guaranteed over Variable cost

Urea (46% N) 277 kg/T (±0.5% Wt)
Potash (60% K2O) 250 kg/T (±0.5% Wt)
DAP (16%N,45%P2O5) 445 kg/T (±0.5% Wt)
Electricity* 55kwh/T
Natural Gas 10 Nm3/T
Steam 100kg/T
