CONTRACT OF SALE

This Contract of sale is executed on 15th day of June 1995 at Pasig City by and between:

DANIELA CARDINAL MONDRAGON, Filipino of legal age,


married, residing and with postal address at 54 General Atienza
Street, San Antonio, Pasig City, hereinafter called the
“SELLER/VENDOR”;
– and –

ROMEO SILVERIO BARTOLOME, Filipino of legal age, single residing and


with postal address at 555 Juan St. Poblacion, Batangas City
“BUYER/VENDEE”;

WITNESSETH:

WHEREAS, the SELLER/VENDOR is the registered owner of a real property


covered by TCT No. 057-T-81513, located at 54 General Atienza Street, San
Antonio, Pasig City, (hereafter referred to as “the Property”), with the following
description:

--“A PARCEL OF LAND (LOT 5-C-15 OF THE SUBDIVISION PLAN (LRC)


PSD-88139, BEING A PORTION OF LOT 5-C, (LRC) PSD-83963, LRC
(GLRO) REC. NO. 54964), SITUATED IN 54 GENERAL ATIENZA
STREET, SAN ANTONIO, PASIG CITY, BOUNDED ON THE N. PTS. 1-2
BY LOT 5-C-21 (ROAD 10 M. WIDE); ON THE E. PTS. 2-3 BY LOT 5-C-16
ON THE SUBDIVISION PLAN; ON THE S. PTS. 3-4 BY PROPERTY OF
JUAN CRUZ; AND ON THE W. PTS. 4-1 BY LOT 5-C-14 OF THE
SUBDIVISION PLAN. BEGINNING AT A POINT MARKED “2” ON PLAN,
BEING S, 10 DEG. 52’W., 457.96 M. FROM BLEM 2, ROSARIO, MP. OF
PASIG, RIZAL; THENCE 3. 86 DEG. 34’E., 12.00 M. TO POINT 2;
THENCE S. 3 DEG. 26’W., 17.00 M. TO POINT 3; THENCE N. 86 DEG.
34’W., 12.00 M. TO POINT 4; THENCE N. 3 DEG. 26’E., 17.00 M. TO THE
POINT OF BEGINNING; CONTAINING AN AREA OF SIX HUNDRED (600)
SQUARE METERS, MORE OR LESS. ALL POINTS REFERRED TO ARE
INDICATED ON THE PLAN AND ARE MARKED ON THE GROUND BY
PS CYL. CONC. MONS. 15X60 CMS.; BEARINGS TRUE; DATE OF THE
ORIGINAL SURVEY, OCT. 20, 1980 AND THAT OF THE SUBDIVISION
SURVEY, APRIL 18-24, 1984” --

WHEREAS, SELLER/VENDOR intends to offer to sell the Property to the


BUYER/VENDEE and the latter expressed intention to buy the same under the terms
and conditions set herein;

NOW THEREFORE, for and in consideration of the total sum of TWO MILLION
PESOS (Php 2,000,000.00), and of the covenants herein after set forth the
SELLER/VENDOR agrees to sell and the BUYER/VENDEE agree to buy the aforesaid
property subject to the following terms and conditions:

1. The total consideration shall be TWO MILLION PESOS (Php 2,000,000.00).

2. The amount of ONE HUNDRED THOUSAND (P100,000.00) representing


earnest money deposit shall be payable upon execution of this Contract and shall be
considered part of the total Contract price.

3. The remaining balance amounting to ONE MILLION NINE HUNDRED


(P1,900,000.00) PESOS, shall be payable within TIME FRAME to be agreed upon by the
parties at a later date.

4. The Parties agree that upon full payment of the total price, the
SELLER/VENDOR shall sign and execute a DEED OF ABSOLUTE SALE in favor of the
BUYER/VENDEE. The SELLER/VENDOR shall likewise execute and/or deliver any and
all documents, including but not limited to the original copy of Transfer Certificate of Title,
Tax Declaration and all other documents necessary for the transfer of ownership from
SELLER/VENDOR to the BUYER/VENDEE.

5. The Parties agree that possession will remain with the SELLER/VENDOR and
her successors in interest and may perform any act of dominion over the subject property.

6. All pending utility bills, if any, Real Estate Tax up to the time of sale, Capital
Gains Tax, Documentary Stamp Tax, shall be for the account of the SELLER/VENDOR.
7. Notarization fees, Registration Fee, Transfer Fees and all miscellaneous fees
and expenses to transfer the certificate of title in the name of the new owner shall be for
the account of the SELLER/VENDOR.
