1.0 Introduction:
SJVN Limited, a Mini Ratna & Schedule 'A' CPSU under the Ministry of Power, Govt. of India, is a joint
venture between the Govt. of India & Govt. of Himachal Pradesh. Incorporated in the year 1988, the
Company is fast emerging as a major power player in the country. The present authorized capital and Net
worth of SJVN are INR 7000 Crores and 10,203 Crore respectively. Beginning from a single hydropower
project operation Company, SJVN today has a footprint in a diversified set of power projects. The present
installed capacity of SJVN is 1959.60 MW comprising of 1912 MW of Hydropower (generating from 1500
MW Nathpa Jhakri HPS + 412 MW Rampur HPS in Himachal Pradesh) and 47.6 MW of Wind Power
(generating from 47.6 MW Khirvire WPP in Maharashtra).
SJVN has expanded its horizons and has drawn up ambitious plans to develop into a fully-diversified
Transnational Power Sector Company having presence in all types of conventional and non-conventional
forms of energy. In this endeavour, further capacity addition of about 8,516 MW in different power sectors
in both India & neighbouring countries of Nepal & Bhutan are under various stages of clearances /
construction. This comprises of Hydroelectric Projects in the states of Himachal Pradesh (namely:- Luhri
HEP: Stage-1 of 219 MW, Stage-2 of 143 MW & Stage-3 of 339 MW; Dhaulasidh HE Project of 66MW),
Uttarakhand (namely:- 252 MW Devsari HEP, 60 MW Naitwar- Mori HEP and 44 MW Jakhol Sankri HEP),
Arunachal Pradesh (52 MW Doimukh HEP) in the country and 900 MW Arun-3 HEP in the neighbouring
country of Nepal and 600 MW Kholongchhu HEP & 570 MW Wangchhu HEP in Bhutan, a Thermal Power
project in Bihar(namely: 1320 MW Buxar Thermal Power Project), a Wind Power Project in Gujarat (50 MW
Sadla Wind Power Project), Transmission Line project (namely: Dhalkebar - Muzaffarpur Indo- Nepal power
corridor), and a Solar Power Project in Gujarat. The Company has been allotted the Deocha-Pachami Coal
Block located in West Bengal for the implementation of Buxar Thermal Power Project. Besides this, SJVN
is also working on a Transmission Line (312 KMs) for evacuation of power from its Arun -3 HEP, Nepal to
India.

2.0 Intent of this EOI:

In order to achieve the target of development of 1000 MW Solar Power projects in India by FY 2019-20
,SJVN Limited is planning to implement Solar Power Project(s) of approximately 500 MW cumulative
capacity in phases through Joint Venture(s) with firm(s) having requisite credentials & experience as a
strategic partner for expeditious roll out of planned capacity.
Accordingly, Expression of Interest (EOI) is invited from experienced and reputed Private Sector
Companies/Public Sector Companies/Government Agencies for implementation of Solar Power Project(s)
of approximately 500 MW cumulative capacity in phases in India, in Joint Venture (JV) with SJVN.
Through this EOI, SJVN intends to identify and shortlist the prospective companies interested to enter into
a Joint Venture with SJVN either for participation in Competitive Bidding Tenders invited by various

organisations including Central/State Govt. Utilities OR offering adequate land and Power Purchase
Agreement (PPA) along with clearances OR having any sound business proposal suitable for SJVN for
development of Solar Project(s) in India.

11. Applicant’ s Minimum Qualifying Criteria Applicants intending to participate in this EOI

1 (one) year from the original last date of submission of
EOI}, which may be extended for a further period
from time to time to be decided mutually by
SJVN and the short listed Applicant, if required.

For
4.0 Scope of works of JV

Scope of works of the proposed JV shall include development of Solar project(s) in all respect including
investigation, preparation of feasibility/detailed project reports, land acquisition, design and engineering,
evacuation planning, construction, commissioning, generation, operation & maintenance, sale of power from
such project(s) and any other works as mutually agreed at the time of finalisation of JV Agreement.
5.0 Equity Participation

Minimum equity share of SJVN in the proposed JV shall be 26%. However, the exact equity shareholding
pattern shall be mutually decided at the time of JV formation.
6.0 Minimum Qualifying Criteria:

The applicant must satisfy the following Qualifying criteria of Clause No. 6.0 (A) along with either Clause
6.0 (B) or 6.0 (C) as stipulated below:-
(A) The Applicant shall be either a Private Sector Company /Public Sector Company incorporated in
India under the Companies Act, 1956/2013 or a Government Agency or a Foreign
Entity/Agency/Firm.
Note: A foreign Entity/Agency/Firm before entering into JV with SJVN has to incorporate as an
Indian company under Indian Companies Act, 2013.
(B) Applicant interested to be associated with SJVN for participation in Competitive Bidding
Tenders invited by various organisations including Central/State Govt. Utilities OR having
any sound business proposal suitable for SJVN should meet the following Technical and
Financial Qualifying Criteria:
(i) Technical Qualifying Criteria:

Applicant, as Solar Power Project Developer, should have commissioned at least cumulative 50 MW
Grid Connected Solar Power Projects in India or abroad within last 8 years from the original last date
of submission of this EOI out of which at least one project of 10 MW capacity should be in successful
operation in India for the last 6 months as on the original last date of submission of this EOI.
OR
Applicant, as Solar Power Module Manufacturer, should have Solar Power module manufacturing
capacity of at least 100 MW per year or above as on original last date of submission of this EOI and
should have supplied Solar Modules for project(s) of cumulative capacity of at least 50 MW Grid
Connected Solar Power Projects in India or abroad within last 8 years from the original last date of
submission of this EOI.
OR
Applicant, as Solar Power Project EPC Contractor, should have commissioned at least cumulative 50
MW Grid Connected Solar Power Projects in India or abroad within last 8 years from the original last
date of submission of this EOI out of which at least one project of 10 MW capacity should be in
successful operation in India for the last 6 months as on the original last date of submission of this
EOI.

For
(ii) Financial Qualifying Criteria:

(a) The applicant should have an Average Annual financial Turnover of atleast INR 190 Crore during
the three financial years 2013-14, 2014-15 and 2015-16.
(b) The Net Worth should be positive for all three financial years 2013-14, 2014-15 and 2015-16.
(C) Applicant offering adequate land and PPA along with clearances suitable for development of
Solar Project(s) in India should meet the following Technical and Financial Qualifying
Criteria.
(i) Technical Qualifying Criteria:

Applicant should have a valid Power Purchase Agreement for 25 years of at least 20 MW Solar Power
Project with any Central Govt./State Govt./Govt. PSU’s/Govt. Institutions/Govt.
Undertakings/electricity distribution companies for the proposed Solar project to be developed in JV
Mode with SJVN.
(ii) Financial Qualifying Criteria:

(a) The applicant should have an Average Annual financial Turnover of atleast INR 190 Crore during
the three financial years 2013-14, 2014-15 and 2015-16.
(b) The Net Worth should be positive for all three financial years 2013-14, 2014-15 and 2015-16.
{Remarks:- The formula of calculation of Net-Worth shall be as follows: Net-worth = (Paid up share capital)
+ {(Free reserves - Share premium) +Share premium of listed companies)} - (Revaluation of reserves)-
(Intangible assets) - (Miscellaneous expenditure to the extent not written off and carry forward losses)}
7.0 Methodology of selection of JV partner
Based on EOI inputs, SJVN Limited would shortlist firms and after that the shortlisted firms shall be invited
for bilateral discussions/presentations.
Based on discovery of mutually acceptable terms, SJVN would arrive at the final selection of the strategic JV
partner. JV formation shall be governed by applicable Indian Laws and guidelines.
8.0 Submission of Documents along with the application

(i) Interested parties are required to submit the requisite information complete in all respects for attributes
specified in the enclosed format (Refer Section-II). Documentary evidence substantiating the fulfilment
of Minimum Qualifying Criteria shall also have to be furnished.
(ii) Each and every page of the EOI shall be duly numbered, signed & stamped by the authorized
representative and the contents and pages should be indicated in the index page.
(iii) Submission of EOI will be done in the manner prescribed below:
a) ENVELOPE-1: Power of Attorney (Annexure-1) of Authorized signatory, duly notarized by a
Notary Public along with copy of Board Resolution (in original or notary attested copy) along with
filled in Proforma for Black-Listing (Annexure-2) should be sealed in a separate envelope duly super-
scribing as “Power of Attorney” & DO NOT OPEN BEFORE 15.06.2017 (day) at 11:00(Hrs.)
b) ENVELOPE-2: ERS 1 to 5 duly filled along with relevant information and documentary

envelope duly super-scribing as “ ERS & Annexures” & DO NOT OPEN BEFORE 15.06.2017

(iv) Above envelopes (Envelope-1 and Envelope-2) shall then be sealed in an outer envelope duly super-

SJVN "& DO NOT OPEN BEFORE 15.06.2017 (day) at 11:00(Hrs.) at the address given below (EOI

(v) EOIs/Applications which do not have proper documentary evidences substantiating fulfilment of
Minimum Qualifying Criteria or not having duly notarised Power of Attorney or not received within the
prescribed last date of submission shall be liable for rejection.
9.0 Instructions to Applicants

i) Before the last date of submission of the EOI, SJVN may modify/amend this EOI Document for JV
by issuing Addendum/Corrigendum/Clarification, as considered necessary. The same shall also be
uploaded in the Company’s website www.sjvn.nic.in and www.eprocure.gov.in/cppp. Such
Addendum/Corrigendum/Clarification shall form part of this EOI Document.
ii) Clarification, if any, regarding this EOI, shall also be submitted to the aforesaid address, 03 days prior
to the pre-EOI meeting i.e. 27.05.2017.
iii) SJVN reserves the right to extend the last date of submission/opening of EOI at its discretion.
iv) SJVN may seek written additional information, as it may deem necessary, from the applicants with
respect to the EOI submitted.
v) SJVN reserves the right to accept or reject any or all the EOI’s or to annul the EOI process at any stage
without assigning any reasons thereof and shall not be liable, in any way, for such actions and no
claim/dispute in this respect shall be entertained.
vi) SJVN reserves the right to relax or waive any of the conditions stipulated in this Document as deemed
necessary in the best interest of the Company without assigning any reasons thereof.
vii) Applicant shall bear all cost towards preparation and submission of its offer and SJVN shall in no case
be responsible or liable for those costs, regardless of conduct or outcome of the EOI process.
viii) Any change in status/constitution of the short listed Entities, during the currency of short listing shall
have to be informed to SJVN immediately. Such change in status/constitution, if, in the opinion of
SJVN is found to be unsuitable for continuation of short listing, will render the name of the Entity
to be removed from the process.
ix) SJVN shall not be responsible for any late receipt of EOI for reasons whatsoever. The EOI received
after the specified date shall not be considered.

www.eprocure.gov.in/cppp.
xi) The last date for submission of EOI is 14.06.2017 and the same shall be opened at address mentioned
at Cl No. 3.0 above on 15.06.2017. If the last date of request for Clarification, submission and opening
of the EOI, happens to be a holiday, the timelines for the same shall be on the next working day with
the same time schedule.
