PARTNERSHIP DEED

This deed of partnership is made on 20th day of October, 2019 by and between the following
parties:

1. Mr. Riasat Ali Azimi s/o Azeem Khan R/o E-25/6 Al-Noor Town St#03 Walton Road,
Lahore Cantt. (Hereinafter referred as party of “First Part”)

2. Mrs. Shakila Bibi wf/o Riasat Ali Azimi R/o E-25/6 Al-Noor Town St#03 Walton
Road, Lahore Cantt. (Hereinafter referred as party of “Second Part”)

WHEREAS the above mentioned parties are all major, independent, they are agreed to execute
a proper partnership deed, so that the terms and conditions should be recorded in writing and
everything may be quite clear, definite, and free from all sorts of doubts and ambiguities.

WHEREAS the above mentioned parties are adult, independent and with their freewill have
agreed to constitute themselves into partnership and decided to run a business of Trading
services, Distribution & supply chain management and all other allied services of the same
under the name and style of “ABUZAR TRADERS”.

HENCE THIS DEED OF PARTNERSHIP WITNESSETH AS FOLLOWS: -

1. That the name of the firm shall be “ABUZAR TRADERS”.

2. That the business of the firm shall be as under: -

a) To carry the business as Distributor of Regional, National, International & Global

level enterprises/corporations/firms.

b) To carry the business, of Manufacturer, Supplier, Import, Export and General

Order Supplier of general goods which is not prohibited by Law.

c) To carry any other business with mutual consent of the partners.

3. That the head office of the firm shall be situated at E-12/C, Main Street Farooq Colony
Near SK Foundation School, Walton Road, Lahore, and branches may be
opened/closed at any place as and when deemed fit by mutual agreement of the partners.

4. That the capital investment of the partners shall be according to the financial
requirements of the firm and irrespective of the capital investment the share ratio of profit
and loss shall be as under: -

5. That Mr. Riasat Ali Azimi shall be working as Managing Partner / Chief Operating
Officer / Chief Financial Officer / Chairman of the firm.

6. That the proper bank account shall be opened in any scheduled bank in which both of the
partners Mr. Riasat Ali Azimi & Mrs. Shakila Bibi shall operate the said account
Individually/jointly/single handedly with the consent of the other. The firm can get loan
from any Bank and financial institution for extension of business or meet the financial
requirement of the business.

7. That proper and regular books of account shall be maintained regularly. The books of
account can be inspected by any partner and transactions through Bank can be made by
any of the partners of the deed.

8. That in the case of death of any of the partners the share of the firm shall go to the legal
heirs i.e. Rana Sharafat Ali, Rana Rafaqat Ali & Rana Shafaat Ali.

9. That every partner shall be responsible for his taxes / legal liabilities.

10. At the time of the termination of the partnership or at the retirement of a partner, the
goodwill of the firm shall be valued by mutual consent.

11. That in the event of any dispute in regards to any matter arising out of the project, none
of the partners shall directly or indirectly rush to the Court of Law but the dispute shall be
referred to Arbitrator(s) appointed with mutual consent of the partners. The award of the
arbitrator, given in good faith, shall be binding on the partners.

12. That the firm shall be registered with Registrar of Firms, Lahore Division, Lahore under
the Partnership Act, 1932.

13. That in respect of all those points which has not been provided for in the above, the
appropriate partnership act as amended from time to time shall apply.

14. That the duration of the partnership shall be “at will” of partners.

15. That this partnership deed shall be effective from the 20th day of October, 2019.
