Scomi SUPPLIER CODE OF CONDUCT ‘Scomi is committed to ensuring that its supply chain adhere to the following: ‘+ that it operates within safe working conditions, © that its workers are treated with dignity and respect, and © that environmentally responsible manufacturing processes are implemented and adhered to. In addition to these commitments, Scomi requires that its suppliers ("Suppliers") adhere, in all of their activities, to the laws, rules and regulations of the countries in which they operate. In furtherance of these commitments and towards the advancement of social and environmental responsibility, Scomi requires that Suppliers implement this Code. ‘This Code shall be read together with the contract/agreement between Scomi and the Supplier. Scomi expects the Supplier to abide by the Code when conducting business with or for Scomi, It is the responsibility of every Supplier to comply with the principles of the Code, as amended from time to time. HE supplier's Responsibility The Supplier shall provide accurate and complete documentation in compliance with the described standards. The compliance with the Code is subject to audit where the suppliers must be prepared to perform the following:- ‘Provide Scomi with access to relevant records and data © Allow Scomi to conduct site visits to the Supplier's locations at any time and to perform interviews with the Supplier’s employees and management ‘+ Respond promptly to reasonable inquiries from Scomi in relation to the implementation of the Code BE Penalties The breach of the Code shall lead to formal warnings, disclosure of nature of breach to all Scomi employees, removal from preferred vendor list and immediate termination as a Scomi Supplier subject, to terms of contract/agreement, depending on the severity of the situation. LABOUR AND HUMAN RIGHTS ‘Suppliers must uphold the human rights of workers, and treat them with dignity and respect. I Fair Treatment Suppliers are required to provide a workplace free of harassment. Supplier shall not treat the workers with or subject them to harsh or inhumane treatment, including sexual harassment, sexual abuse, mental oppression, physical punishment, verbal abuse or physical oppression, ‘Scomi Supplier Code of Conduct Page |2 i Freely Chosen Employment. All work and employment must be voluntary, where the workers shall be free to leave upon reasonable and agreed notice. Forced, bonded, indentured labour or involuntary prison fabour shall not to be used at any given time by the Supplier. Workers must not be required to surrender any ‘government-issued identification, passports, or work permits as a condition of employment. Suppliers shall ensure that third party labour agencies providing workers are compliant with the provisions of ‘the Code and country laws for sending and receiving countries, whichever gives more stringent protection to the workers. The Supplier needs to also ensure that contracts for direct and contract workers are set out in a language understood by the worker. i Anti-discrimination Supplier shall not engage in discrimination against any worker based on race, colour, age, gender, sexual orientation, ethnicity, disability, pregnancy, religion, poltical affitation, unton membership or ‘marital status in hiring and employment practices such as rewards, promotions, access to training, job assignments, wages, benefits, discipline, and termination. Suppliers shail not discriminate against pregnant workers except where required by applicable laws or regulations or prudent for workplace safety. In addition, Suppliers shall not require workers or potential workers to undergo medical tests that could be used in a discriminatory way except where required by applicable faw or regulation or prudent for workplace safety. WENo Child Labour Child labour is not to be used in the Supplier's workplace. The use of legitimate workplace ‘apprenticeship programs is supported only if it complies with all laws and regulations. For work that is likely to Jeopardize the health or safety, workers under the age of 18 shall not be allowed to perform the tasks, IE Fair Working Hours The Supplier must ensure that employee's working hours do not exceed those permitted under local labour laws for working hours and that the minimum vacation days are observed, [Hi Wages and Benefits ‘The Supplier must be sure that the compensation paid to workers shall comply with all applicable wage laws, which include minimum wages, overtime hours and legal benefits. Suppliers shall pay workers in a timely manner and clearly convey the basis on which workers are being paid. I Freedom of Association and Collective Bargaining ‘The Supplier shail respect the rights of workers as established by local laws to assodate freely on a voluntary basis, form and join workers organisations of their own choosing, seek representation and bargain collectively. ‘Scomi Supplier Code of Conduct Page |3 ‘Suppliers shall ensure safe working conditions and a healthy work environment for their workers. [occupational Safety ‘Suppliers shail eliminate all physical hazards faced by their workers, and where this is not possible, the Supplier shall ensure that risks from such physical hazards are minimized either by the provision of appropriate safety equipment or by the establishment of appropriate work safety procedures. i occupational Safety Procedures and Systems Suppliers shall establish procedures and systems to manage, track and report cases of occupational injury and iliness with the aim of implementing corrective measures to eliminate the causes. Ii Disaster Recovery/Emergency Planning ‘Suppliers shall have in place a comprehensive disaster recovery plan to ensure business continuity in ‘the event of occurrence of any disaster and emergency situation. Such plan shall minimise the anticipated impact of emergencies through appropriate response procedures for which training and drills shall be provided to workers, Wi Health and Safety Training ‘Suppliers shall provide workers with appropriate workplace health and safety information and training, including written health and safety information and warnings, in the primary language of the workers. ENVIRONMENTALIMPACT = nee ‘Suppliers shall commit to reducing the environmental impact of their business. Wi Hazardous Materials Suppliers shall comply with all applicable laws and regulations relating to the use, handling and disposal of hazardous substances. HE Environmental Management System Supplier must have implemented internal functioning Environmental Management System (EMS) that support environmental sustainability. A Thitd-party certification is strongly recommended but itis not required. i Pollution Prevention and Resource Conservation Suppliers shall comply with all applicable laws and regulations relating to the management, treatment and/or disposal of solid waste, wastewater and air emissions generated from operations and endeavour to reduce or eliminate such wastes and/or emissions by implementing appropriate conservation measures and by recycling, re-using or substituting materials. ‘Scomi Supplier Code of Conduct Page l4 nic S Suppliers must be committed to the highest standards of ethical conduct in their business dealings. Wi Anti corruption Local laws shall be respected and engagement in any form of corrupt practices is prohibited. Scomi practices a policy of “zero tolerance” and does not accept any type of lavish gift or hospitality. It also applies to the relationship between the Supplier and Scomi, where Scomi expects the Supplier not to offer such benefit to a current or former staff member of Scomi in order to facilitate the Supplier's business with Scomi or to obtain an undue or improper advantage. HiNo unfair Business Practice ‘Standards of fair business, advertising and competition are to be upheld. Any practice on collusive bidding, price fixing, price discrimination, or other unfair trade practices in violation of applicable laws and regulations are strictly unacceptable to Scomi.. Hiprotection of Intellectual Property Suppliers might have the access to Scomi’s intellectual property. Scomi expects the Suppliers to respect Scomi’s intellectuat property rights. Transfer of technology needs to be done in a manner that protects intellectual property rights of Scomt, BH community Engagement ‘Community engagement by Suppliers is highly encouraged to help foster social and economic, development of the communities in which they operate. SUPPLIERCOMMITMENT = =— Suppliers shall adopt or establish a management system that supports the content of this Code. The management system shall be designed to ensure compliance with this Code and with applicable laws, regulations and customer requirements related to the Supplier's operations and products and identify and mitigate operational risks. The management system should also drive continual improvement.
