THE DARDEN GRADUATE SCHOOL OF BUSINESS ADMINISTRATION
UNIVERSITY OF VIRGINA
CONSTITUTION OF THE STUDENT ASSOCIATION

We, the students of the Graduate School of Business Administration of the University of Virginia,
desiring to promote the welfare of the Student Body of this School, hereby declare this to be the
Constitution of the Student Body of the Graduate School of Business Administration.

ARTICLE I

Membership

All persons registered for any course or courses in this Graduate School of Business Administration
shall be members of the Student Body Members shall be divided into the following classifications:

1. First-year Students
2. Second-year Students
3. MBA/JD Students
4. MBA/MA Students
5. MBA/ME Students
6. Joint Degree Students
7. Non-degree candidates

Cases of doubt as to classification shall be referred to the Executive Committee for final decision.

ARTICLE II

Executive Committee
The Executive Committee shall consist of the President, Executive Vice President, Vice President of
Honor, Vice President of Finance, The Student Council Representative, Vice President of
Internationals, Vice President of Social, Vice President of Athletics, Vice President of Outreach,
Vice President of Technology and five First-Year Section Representatives.
1. The Executive Committee shall establish such By-Laws as it deems necessary to implement
this constitution by a two-thirds vote of its members.
2. The role of each officer shall be as defined by the Executive Committee in the By-Laws.
3. The President, Executive Vice President, Vice President of Honor, Vice President of Finance,
The Student Council Representative, Vice President of Internationals, Vice President of
Social, Vice President of Athletics, Vice President of Outreach, and Vice President of
Technology shall be Second-Year students.

ARTICLE III

Class Officers
The President, Executive Vice President, Vice President of Honor, Vice President of Finance, Vice
President of Social, Vice President of Internationals, Student Council Representative, Honor
Representative, Judiciary Committee Representatives, Vice President of Technology, Vice President
of Outreach and Vice President of Athletics shall serve as Second-Year Class Officers in addition to
serving as officers of the Darden School Student Association.

The First-Year Section Representatives shall serve as officers of the First-Year Class. Other officers
of the First-Year Class shall be listed in the By-Laws

The President of the Student Body may appoint as many committees or create as many student-held
positions as necessary for the orderly working of the Student Body.

Appointed positions and committees shall be listed in the By-Laws. Members of these committees
shall be appointed in conformance with the By-Laws, as established by the Executive Committee.

ARTICLE IV

University Committees

Honor Committee
The Graduate School of Business Administration shall have such Representatives to the Honor
Committee of the University of Virginia as are provided for in the Charter, the Constitution, or rules
and regulations of that body. They shall carry out the duties of members of that body and shall be
elected in conformance with the rules & regulations of that body.

Student Council Representative


The Graduate School of Business Administration shall have such Representatives to the Student
Council of the University of Virginia as are provided for in the Charter, the Constitution, or rules and
regulations of that body. They shall carry out the duties of members of that body and shall be elected
in conformance with the rules & regulations of that body.

Judiciary Committee Members


The Graduate School of Business Administration shall have such Representatives to the Judiciary
Committee of the University of Virginia as are provided for in the Charter, the Constitution, or rules
and regulations of that body. They shall carry out the duties of members of that body and shall be
elected in conformance with the rules & regulations of that body.

ARTICLE V

Time of Elections

The elections of President, Executive Vice President, Vice President of Honor, Vice President of
Finance, Vice President of Social, Vice President of Internationals, Student Council Representative,
Honor Representative, Judiciary Committee Representatives, Vice President of Technology, Vice
President of Outreach and Vice President of Athletics shall take place during the spring semester at a
time and place to be set by the Executive Committee, under the methods defined by the Executive
Committee in the By-Laws.

The First-Year Class shall elect its Section Representatives and other section officers immediately
after the beginning of the school year at a time and place to be set by the Executive Committee.

ARTICLE VI

Eligibility of Office

All regularly enrolled First-Year Students in their second semester shall be eligible for election to
any office of the Darden Student Association. Upon election to President, Executive Vice President,
Vice President of Honor, Vice President of Finance, Vice President of Internationals, Vice President
of Social or Student Council Representative, the student shall relinquish appointments or elections to
any other D.S.A. Committee and affinity club executive positions.

Eligibility for election to any office of the First-Year Class shall be determined in accordance with
the provisions of Article III.

ARTICLE VII

By Whom Elected

The President, Executive Vice President, Vice President of Honor, Vice President of Finance, Vice
President of Internationals, Vice President of Social, Student Council Representative, Judiciary
Representatives, Honor Representative, Vice President of Outreach, Vice President of Technology,
and Vice President of Athletics shall be elected by members of the First-Year Class, MBA/MA and
MBA/JD students currently enrolled in the first-year program in the spring of each year. Only
positions administered through the University Board of Elections may be voted upon by all degree
candidates.

Positions left unfilled after the election process, for instance those due to lack of candidates, may be
appointed by the Executive Committee.

The First-Year Class Officers shall be elected by members of the First-Year Class, MBA/MA and
MBA/JD students currently enrolled in the first-year program in the fall of each year. Each First-
Year Section shall elect its own representatives.

ARTICLE VIII

Terms of Office

The President, Executive Vice President, Vice President of Honor, Vice President of Finance, Vice
President of Internationals, Vice President of Social, Student Council Representative, Judiciary
Representatives, Honor Representative, Vice President of Technology, and Vice President of
Athletics shall take office on April 1 of the school year in which elected and shall serve until March
31 of the succeeding year.

In the case of an Officer-elect whose duties include representation on a University of Virginia


organization and thus whose members take office before the last day of classes (e.g. the Honor
Committee), he will assume those duties in conformance with the rules and regulations of that
organization.

First-Year Section Officers, as defined in the By-Laws, shall take office upon being elected and shall
serve in duration as listed in the By-Laws.

ARTICLE IX

Succession of Office

In the event the office of President is permanently vacated, the Executive Vice President shall
succeed to the office and serve the remainder of the term of office.
In the event the office of Executive Vice President is permanently vacated, the Vice President of
Honor shall succeed to that office, in addition to retaining the office of Vice President of Honor. If
the office of President is vacated permanently twice during one term of office, the members of the
Second-Year Class shall meet to elect a new President.

In any case not covered herein, the Executive Committee shall determine the procedure to be
followed in filling the vacated office.

ARTICLE X

Amendments

This Constitution may be amended by a vote of two-thirds of those voting of the Student Body
except that Outside Students are not eligible to vote. In the event that less than 30% of the Student
Body not including Outside Students vote on an amendment, the vote shall be considered null and
void. Notice of a proposed amendment, with the content of such amendment, shall be published to
the members of the Student Body at least five days before the vote. The vote shall be taken within
thirty days of the publication of the notice of the proposed amendment.

Amendments may be initiated by a two-thirds vote of the Executive Committee. Any constitutional
edits grammatical in nature can be made by the Executive Committee without Student Body approval
if edits are deemed grammatical in nature by the Vice President of Honor and the Director of Student
Affairs.
