Dear Sir/Madam,

The International Development Law Organization (IDLO) kindly requests your


Company/Organization to submit a Proposal for Vendor for Training and Legal Clinic for Women
Micro, Small and Medium Entrepreneurs Indonesia – Netherland Rule of Law Fund Program.

This Request for Proposal (RFP) consists of the following Annexes. Please be guided by these in
preparing your Proposal:

i. Instructions to Offerors (Annex 1)


ii. Terms of Reference (TOR) (Annex 2)
iii. Proposal Submission Form (Annex 3)
iv. Price Schedule (Annex 4)
v. IDLO General Terms and Conditions for the Procurement of Services (Annex 5)

Interested entities may obtain the full set of Request for Proposal on or before 13 August 2019,
15.00 PM, Jakarta time by sending an e-mail to awardhanto@idlo.int. Pre bid meeting will be
held on Thursday, 15 August 2019 at 10.00 – 11.30 AM. Proposals should be submitted no later
than Friday, 30 August 2019 at 16.00; Rome, Italy time by email to tenders@idlo.int.

Services proposed shall be reviewed and evaluated based on completeness and compliance of
the Proposal and responsiveness with the requirements of the RFP.

IDLO encourages prospective Offerors to prevent and avoid conflicts of interest by disclosing to
IDLO if any Offeror or its affiliates or personnel are connected to IDLO or were involved in the
preparation of the requirements, design, cost estimates, and other information used to prepare
this RFP.

You are requested to acknowledge receipt of this document within 3 working days and indicate
whether or not you intend to submit a Proposal.

Annex 1

INSTRUCTIONS TO OFFERORS

Cost of the Proposal The Offeror (or hereafter Offerors) shall bear all costs associated with the
preparation and submission of the Proposal.

IDLO will in no case be responsible or liable for those costs, regardless of the
conduct or outcome of the solicitation.
Language of the The Proposal and all correspondence and documents relating to the Proposal
Proposal exchanged by the Offeror and IDLO shall be written in the English language.

Currency of Proposals shall be nominated exclusively in IDR.


Proposals
Clarification of A prospective Offeror requiring any clarification of the RFP (Solicitation Documents)
solicitation documents may notify IDLO in writing to tenders@idlo.int not later than 72 hours prior to the
deadline for submission of Proposals. The requests for clarification will have
“Request for clarifications for RFP No. 113_2019_IDN” mentioned in the subject.

Written copies of the organisation's response (including an explanation of the


query but without identifying the source of inquiry) will be sent to all prospective
Offerors that have received the Solicitation Documents.

Any delay in IDLO's response shall not be used as a reason for extending the
deadline for submission, unless IDLO determines that such an extension is
necessary and communicates a new deadline to the Offerors

Amendments of At any time prior to the deadline for submission of Proposals IDLO may, for any
solicitation documents reason, whether at its own initiative or in response to a clarification requested
by a prospective Offeror, modify the Solicitation Documents by amendment.

All prospective Offerors that have received the Solicitation Documents will be
notified in writing of all amendments to the Solicitation Documents.

In order to afford prospective Offerors reasonable time for taking the


amendments into account and preparing their offers, the procuring IDLO entity
may, at its discretion, extend the deadline for the submission of Proposals.

Contents of Proposals must offer services for the total requirement, unless specified
solicitation documents otherwise in this RFP. Proposals offering only part of the requirement will be
rejected. The Offeror is expected to examine all corresponding instructions, forms,
terms and specifications contained in the Solicitation Documents. Failure to
comply with these documents will be at the Offeror's risk and will affect the
evaluation of the Proposal.

Delivery Term & Place Services are to be provided to: International Development Law Organization, The
Embassy of The Kingdom of the Netherland, Jl. HR Rasuna Said Kav. S-3, Kuningan,
Jakarta 12950, Indonesia

Documents comprising The Proposal shall comprise the following components:


the Proposal
a) Proposal submission form (see Annex 3);
b) Price Schedule (see Annex 4);
c) Operational and technical part of the Proposal, including
documentation to demonstrate that the Offeror and the Proposal meet
all necessary requirements.

Proposal submission The Offeror shall structure the operational and technical part of its Proposal as
follows:

(a) Proposed methodology

This section should demonstrate the Offeror's responsiveness to the


TOR/specifications by identifying the specific components proposed, addressing
the requirements, as specified, point by point; providing a detailed description of
the essential performance characteristics, proposed warranty and
demonstrating how the proposed methodology meets or exceeds the
requirements.

The operational and technical part of the Proposal should not contain any
pricing information whatsoever on the services offered. Pricing information shall
be separated and only contained in the appropriate Price Schedules.

It is mandatory that the Offeror's Proposal numbering system corresponds with the
numbering system used in the body of this RFP. All references to descriptive
material and brochures should be included in the appropriate response paragraph,
though material/documents themselves may be provided as annexes to the
Proposal/response.

Information which the Offeror considers proprietary, if any, should be clearly
marked "proprietary" next to the relevant part of the text and it will then be
treated as such accordingly.

(b) Management plan

This section should provide a corporate orientation to include the year and
state/country of incorporation and a brief description of the Offeror's present
activities. It should focus on services related to the Proposal.

This section should also describe the organizational unit(s) that will become
responsible for the implementation of the contract, and the general management
approach towards a project of this kind. The Offeror should comment on its
experience in similar projects and identify the person(s) representing the Offeror
in any future dealing with the procuring IDLO entity.

(c) Resource plan

This should fully explain the Offeror's resources in terms of personnel and if
applicable facilities necessary for the performance of this requirement. It should
describe the Offeror's current capabilities/facilities and any plans for their
expansion.

Format, signing The Proposal shall be be signed by the Offeror or a person or persons duly
sealing, marking and authorised to bind the Offeror to the contract. The latter authorisation shall be
submission of indicated by written power-of-attorney accompanying the Proposal.
Proposals
A Proposal shall contain no interlineations, erasures, or overwriting except, as
necessary to correct errors made by the Offeror, in which case such corrections
shall be initialled by the person or persons signing the Proposal.

The Proposal will consist of two attached files named “Technical Proposal” and
“Financial Proposal”.

The “Financial Proposal” file will contain Price Schedule (see Annex 4) and will be
password-protected. IDLO will additionally communicate with Offerors for
obtaining the password for Financial Proposal, if needed.

The Offeror shall scan and email the Proposal (consisting of Technical Proposal
and Financial Proposal) to tenders@idlo.int with the Subject: “Proposal for RFP
No. 113_2019_IDN” before Friday, 30 August 2019.

Deadline for The Proposal shall be addressed to IDLO on or before Friday, 30 August 2019 at
submission of 16:00 Rome, Italy time.
Proposals

Late Proposals Any Proposal received by IDLO after the deadline for submission of Proposals,
pursuant to clause Deadline for the submission of Proposals, will be rejected and
sent back unopened or destroyed unopened if the return cannot be secured unless
the Proposal was sent by email but was not properly received due to issues in IDLO
mailing system.

Validity Period of All Proposals will be valid for 90 days from the deadline for submission of
Proposals Proposals. In exceptional circumstances IDLO may request the Offerors to
extend the validity of the Proposal beyond what has been initially indicated
in this RFP. The Offerors shall be invited to confirm the extension in writing,
without any modification whatsoever on the Proposal. The Offerors may chose
not to extend the validity period of the Proposals upon request of IDLO.

Modification and The Offeror may modify/withdraw its Proposal after the Proposal's submission,
withdrawal of provided that written notice of the withdrawal is received by IDLO prior to the
Proposals deadline prescribed for submission of Proposals.

The Offeror's modification/withdrawal notice shall be prepared, sealed,


marked, and dispatched in accordance with the provisions of clause Deadline for
Submission of Proposals.

No Proposal may be modified nor withdrawn after to the deadline for submission
of Proposals.

No Proposal may be modified/withdrawn in the Interval between the deadline for


submission of Proposals and the expiration of the period of Proposal validity
specified by the Offeror in the Proposal Submission Form.

Right to accept, reject, IDLO reserves the right to accept or reject any Proposal, to render any or all of
or render non- the Proposals as non-responsive, and to annul the solicitation process and to
responsive any or all reject all Proposals at any time prior to award of contract, without incurring
Proposals
any liability, or obligation to inform the affected Proposer(s) of the grounds for
IDLO's action. Furthermore, IDLO shall not be obliged to award the contract to
the lowest priced offer.

Clarification of To assist in the examination, evaluation and comparison of Proposals, IDLO may
Proposals at its discretion ask the Offeror for clarification of its Proposal. The request for
clarification and the response shall be in writing and no change in price or
substance of the Proposal shall be sought, offered or permitted.

Preliminary IDLO will examine the Proposals to determine whether they are complete,
examination whether any computational errors have been made, whether the documents
have been properly signed, and whether the Proposals are generally in order.

Correction of errors Any discrepancy between the unit price and the total price shall be re-computed
by IDLO, and the unit price shall prevail and the total price shall be corrected. If
the Service Provider does not accept the final price based on IDLO's re-
computation and correction of errors, its Proposal will be rejected.

No price variation due to escalation, inflation, fluctuation in exchange rates, or


any other market factors shall be accepted by IDLO after it has received the
Proposal.

Responsiveness of IDLO will determine the substantial responsiveness of each Proposal to the RFP.
Proposals For purposes of this Clause, a substantially responsive Proposal is the one
which conforms to all the terms and conditions of the RFP without material
deviations. IDLO’s determination of a Proposal's responsiveness is based on the
contents of the Proposal itself without recourse to extrinsic evidence.

Proposal determined as not substantially responsive will be rejected by IDLO and


may not subsequently be made responsive by the Offeror by correction of the non-
conformity.

Evaluation and A two-stage procedure is utilised in evaluating the Proposals, with evaluation of
comparison of the Technical Proposal being completed prior to Financial Proposal being opened
Proposals and compared.

The Financial Proposals (Price Schedules) of the overall Proposals will be opened
only for submissions that passed minimum technical score of 560 points of the
maximum obtainable 800 points.

The evaluation will be conducted in accordance with the cumulative analysis


method, according to which the Technical and Financial Proposals have pre-
assigned weights and pre-assigned maximum number of scores:

- Technical Proposal - 80%,- 800 points maximum,


- Financial Proposal - 20%, - 200 points maximum.

The contract will be awarded to the Proposal with higherst combined score
obtained in technical and financial evaluation.

Technical Evaluation
The technical Proposal is evaluated on the basis of its responsiveness to the Terms
of Reference (TOR) as per the evaluation criteria below. The obtainable number of
points specified for each evaluation criterion indicates the relative significance or
weight of the item in the overall evaluation process.

Financial Evaluation
In the second stage the Financial Proposals of all Offerors who attained a minimum
560 points in Technical Evaluation will be reviewed. The lowest price for a
technically qualified Financial Proposal will be awarded the maximum 200 points
and other Financial Proposals will be awarded points in accordance with the
following formula:
Financial Proposal score = (Lowest Price / Price under consideration) x 200.

Payment Terms Payment will be processed within 30 days after successful provision of
Services described in the Contract and acceptance by IDLO, and upon
submission of Supplier’s invoice.

General Terms and Any Contract or Purchase Order that will be signed as a result of this RFP shall be
Conditions subject to the General Terms and Conditions attached hereto. The mere act
of submission of a Proposal implies that the Service Provider accepts without
question the General Terms and Conditions of IDLO, herein attached as Annex
5.

Annex 2

TERMS OF REFERENCE

Vendor for Training and Legal Clinic for Women Micro, Small and Medium Entrepreneurs
Indonesia – Netherland Rule of Law Fund Program

A. Background

In 2013, The Embassy of the Kingdom of the Netherlands in Jakarta, Indonesia, has established a Rule of
Law Fund (RoLF) for the purpose of enhancing synergy and cooperation within the law and justice sector
in Indonesia, as well as to promote the regional legal order. RoLF builds upon, and closely follows the
recommendations of the 2012 Dutch evaluation of its bilateral Rule of Law Fund in Indonesia. The
implementation of the RoLF was formally set forth by MoU between the Ministry of National Development
Planning/Bappenas and the Ministry of Foreign Trade and Development Cooperation of the Royal
Netherlands Government in 2016.

The RoLF supports programming in the four focus areas in Indonesia. The four focus area: 1) Capacity
building of legal institutions; 2) Legal service delivery, focusing on legal aid, access to justice and
accountability: 3) Research activities in the field of security, rule of law and human rights; and in support
of activities that are relevant to other priority areas as described in the Multi Annual Strategic Plan 2014-
2017; and 4) The Embassy of the Kingdom of the Netherlands also looks into options to support triangular
activities that aim to strengthen the regional legal order within the ASEAN region. The International
Development Law Organization (IDLO) was selected to manage this large scale, law and justice sector
funding. IDLO’s expertise in rule of law and results-based management will enable IDLO to boost
accountability and impact under the Rule of Law Fund.

IDLO in partnership with partners from NGOs and several universities implement 14 sub-projects, which
involve 17 institutions in Indonesia and the Netherlands. The sub-projects support the achievement of
three main outcomes of the RoLF Program, namely: 1) Capacity of justice sector institutions to harmonize
and align their interventions strengthened 2) Knowledge and capacity of judicial, legal and paralegal
providers enhanced for improved service delivery and 3) Formulation of policy and legal reform processes
supported through new practices and networks. IDLO also encourages projects alignment with RoLF three
thematic focus areas, which are:
- mainstream gender and human rights components, addressing the needs of the most vulnerable
and marginalized groups while contributing to the development of under-served communities;
- focus on natural habitats and resources, creating and improving legal foundations and practices
towards more sustainable and responsible management;
- contributes to developing a conducive legal environment to improve the business climate and the
level of sustainable investment while supporting Indonesia’s efforts to equitable economic
growth and further economic regional integration.

The main project on gender is a collaboration between IDLO and LBH APIK Association on the
“Strengthening Access to Justice trough Gender-Based Structural Legal Aid (BHGS)”. The project aims to
expand access to justice and strengthen the capacity and quality of legal aid services through: (1)
increasing the number of legal aid providers, (2) building the capacity and the quality of legal aid
organizations, and (3) improving the legal aid policy to facilitate woman need for legal aid. In addition to
reforms to improve women access to justice, RoLF will also focus its gender mainstreaming strategy on
promoting women legal empowerment.

Woman in Indonesia are major actors in the micro, small and medium enterprises. In 2011, the Ministry
of Women Empowerment and Child Protection estimated that there are 55,206,444 micro, small, and
medium enterprises (MSMEs) in the country, of which 60%, or 33 Million, are owned by women,
representing almost a quarter of the active labor force. The 2014 Global Entrepreneurship Monitor
estimated that of Indonesia’s total adult female population of 85 Million, approximately 26%, or 22 Million
are active entrepreneurs.1

Despite the potential of woman MSME`s in Indonesia, they are also facing various obstacles in growth. An
IFC report identified three major obstacles to woman MSMEs in Indonesia, namely:

1. access to finance; such as ownership for collateral which is primarily owned by men and not
enough information about the credit process
2. business registration; such as complicated permit procedures and opportunities of corruption
from the “middle man” that increases business cost
3. Tax, levies, and fees such as difficulties of woman to have tax registry for business and illegal levies
and fees related with business

IDLO seeks to implementan activity that will support the intersection between gender and access to
commercial legal knowledge and awareness , developing a conducive legal environment to improve the
business climate for women, outside sub project`s activities to maximize the program results. Providing
Woman MSMEs with legal perspectives, knowledge, and skill related to access to finance, business
registration, tax, levies and fee will result in empowering woman by improving their capacity to conduct
business. Based on that context, IDLO will conduct a Training and Legal Clinic for micro, small, medium
women entrepreneurs in October 2019

B. Objectives:

The Objectives of the Training and Legal Clinic:

1. To increase knowledge and capacity of micro, small and medium women entrepreneurs on rules,
regulations, legal processes, and develop relevant legal documentation to support their business
(e.g. legal entities, licensing, intellectual rights, tax, levies and fees and finance application)

2. to improve the capacity of women micro, small and medium entrepreneurs in developing relevant
legal documentation to support their business through the legal clinic

C. Expected Outputs

The expected outputs of the Training and Legal Clinic:

1. Training Need Assessment report on the legal barriers and legal documentations needed for
women micro, small and medium entrepreneurs to support their business;
2. Selection process of participants report outlining the methodology and list of training participants
candidate as required by IDLO (maximum 50 people);
3. Training curriculum and material;
4. Design, tools, and analyses of pre and post-test training evaluation;
5. Training and legal clinic as described in the scope of work, including provision of all required
training media, materials, and maximum 2 speakers per day
6. Draft of relevant legal documents for women micro, small and medium entrepreneurs to support
their business.

D. Scope of Work

1. Pre-Training

1.1. Participants Selection

The Vendor will conduct a selection of participants (participants should own/run an MSME and
be a member of a women entrepreneur associations/has participated in a mentoring program
under women entrepreneur associations). Selection of Training and Legal Clinic Participants
should guarantee inclusiveness and future impact to the public. The Vendor does not only select
the participants based on whether the particpants own their Woman MSMEs, but also possibility
to disseminate training results to other Woman MSMes owners. The training participants selection
have to include participant candidates from the most vulnerable groups such as women with
disabilities, women as violence victims/survivor.

A maximum of 50 participants from Jakarta, Bogor, Bekasi, Tangerang, Depok areas will be
selected to become training and legal clinic participants. The consultant should provide the list of
training and legal clinic participants two weeks prior the training with close coordination with
IDLO.

1.2. Training and Needs Analyses (TNA)

TNA Methodology is to respond to the relevant legal issues and barriers to access legal information
for women MSMEs . It will be used as a basis to develop training module and legal clinic material
and will be conducted simultaneously with participants selection process. Vendor should provide
information on what legal issues that they will capture on TNA, how they will conduct TNA and
summary of assessment questions that will be used on TNA.

The TNA will be conducted through a survey and in-depth interview to women entrepreneur’s
association (2 direct interviews and 4 phone interviews).

1.3. Developing Training and Legal Clinics Material as required below:

1.3.1. Curriculum and Training Material

The training should use adult learning methodology with clear training objectives and
outputs. The Vendor should describe the approach of adult learning methodology that they
will use on training, considering the background of prospective participants and training
duration. Training objective(s) and output(s) should also reflects what capacity/knowledge
and skill that can be achieved after they training conducted.

The vendor will draft, submit, revise (if necessary), and finalize the design of substantive
material and a method of the training.

1.3.2. Developing Legal Clinics methodology and material

The Legal clinic methodology is to responds to the relevant legal issues of women MSMEs.
The Vendor should describe the approach of legal clinics that they will use on training,
considering the background of prospective participants and clinic duration. The vendor will
draft, submit, revise (if necessary), and finalize the design of substantive material and a
method of the training.

1.3.3. Develop Training and Legal Clinics Monitoring and Evaluation

Training evaluation which measure whether or not training has met its objectives and
outputs. The training evaluation can use the Kirkpatrick model or other evaluation
models. The Kirkpatrick Model is model for analyzing and evaluating the results of training
and educational programs to determine participants aptitude based on four levels criteria
below:
- Level 1 Reaction: to measures on how participants react to the training (e.g.,
satisfaction)
- Level 2 Learning: to analyze if they truly understand the training (e.g., increase in
knowledge, skills or experience)
- Level 3 Behavior: to evaluate if they utilize at work what they learned in the training
(e.g., change in behaviors), and

- Level 4 Results: to determine if the material had a positive impact on the business or
organization.
The proposed evaluation method had to include Pre and Post Test training evaluation to
measure the training and legal clinic`s result and quality.

2. Training and Legal Clinic Delivery

The training will be held in Jakarta on 21- 25 October 2019 with detail as follows:

2.1. Training
The training will be conducted in 2.5 days2 divided into two simultaneous classes (25 participants
for each class). The aim of the training is to increase knowledge and capacity of women micro,
small and medium entrepreneurs on rules, regulation, legal process, and develop relevant legal
documentation to support their business (e.g. legal entities, registration, licensing, intellectual
rights and finance application). The vendor should provide a team of trainers who have
knowledge and experience to assist relevant legal process for MSMEs. The trainers team may
include but is not limited to business lawyers, MSMEs practitioners, notary, and training
evaluator.
2.2. Legal Clinic
The legal clinic will be conducted for 2 days3. The participants will receive assistance to develop
relevant legal documents to support their business. The type of legal documents will be
determined later based on participants needs through consultation with vendor and IDLO.
2.3. Training Monitoring and Evaluation
The Consultant will conduct a Pre and Post Test for training evaluation and could add other
monitoring and evaluation instrument as needed.

3. Training Reporting

The consultant team will draft, submit, revise (if necessary), and finalize the training report to IDLO,
including the results of Pre and Post Test Evaluation

E. Selection Criteria

The vendor should fulfil criteria as follows:

1. Registered as an Indonesia-based legal entity with track record and experiences in the last 5 years
providing legal assistance for businesses or providing assistance to empower Women Micro, Small and
Medium Entrepreneurs.
2. Have experience working together with women entrepreneur’s network/associations in Indonesia
3. Having capacity on managing training activities including resource plan allocation

4. Be able to provide CV of the proposed trainers (minimum 6 trainers) with criteria as follows:
a) One Program Leader should have a minimum of 5 years experiences managing international
development program and at least 3 times managing capacity development project/activities
b) Lead trainers (2 persons – one for each class) should have a minimum of 5 years providing legal
assistance to business in Indonesia especially those run by women entrepreners, including but
not limited to registration, licensing, intellectual property rights, financial application, project
financing, banking, dispute settlement, bankruptcy, as well as, knowledge of gender and barriers
to commercial laws. Lead trainers should have previous experience in providing legal knowledge
training, including using different training methodologies and training report writing.
c) Training evaluator (1 person) should have experience in the last experience conducting training
evaluation (Kirkpatrick Model)
d) Notary (2 persons) should have the understanding of legal documentation needed to support

FINANCIAL PROPOSAL

PRICE SCHEDULE

The Offeror is asked to prepare the Price Schedule as a separate envelope from the rest of the RFP
response as indicated in the Instructions to Offerors.

The Price Schedule must provide a detailed cost breakdown. Provide separate figures for each functional
grouping or category.

In case of an equipment component to the service provided, the Price Schedule should include figures
for both purchase and lease/rent options. The IDLO reserves the option to either lease/rent or purchase
outright the equipment through the Offeror.

The format shown in the below table should be used while preparing the price schedule. The format
includes specific expenditures, which may or may not be required or applicable but are indicated to
serve as examples.

TOTAL COST

In regards to above price description, all costs should be reflective of time costs as well as travel (ticket,
per diem/DSA), consumables (stationary, training consumeables), and other incidental expenses. Any
travel conducted should be in the most direct and cost effective manner using economy class for any air
travel.
