10.1. This sale contract: suitable with UCP 600 and Incoterms 2010

 Về mặt ngữ pháp: Khoản 1 của điều này không thống nhất về ngữ pháp với các quy
định còn lại trong điều 10 (câu thiếu động từ chính).
 Về nội dung: Từ “suitable with” – “phù hợp với” ở đây quá chung chung, không thể
hiện được rõ UCP 600 và Incoterms 2010 sẽ có vai trò như thế nào đối với hợp đồng.
Nếu 2 bên muốn sử dụng UCP 600 và Incoterms 2010 làm cơ sở để quy định việc
thanh toán bằng tín dụng chứng từ, cũng như để phân định chi phí và rủi ro giữa
người bán và người mua thì cách quy định như trên có thể gây tranh cãi nếu có tranh
chấp xảy ra giữa 2 bên.
 Đề xuất sửa đổi: Nên sửa lại nội dung này thành một câu hoàn chỉnh ngữ pháp, nêu
rõ vai trò của UCP 600 và Incoterms 2010 đối với hợp đồng:
The payment terms and trade terms used in this Contract shall be interpreted in
accordance with UCP 600 and Incoterms 2010.

10.2. Any dispute relates to this sale contract and/or difference between the seller and
the buyer which cannot be settled by two parties, the said dispute and /or difference shall
be referred to the Vietnam International Arbitration Center, and under the rules of this
Vietnam International Arbitration Center.

Whose awards shall be the final and biding upon two parties. All expense shall be borne
by the faulty party, unless agreed upon by the parties.

 Về mặt ngữ pháp: “Whose awards shall be the final and biding upon two parties”
cần phải đứng ngay sau đối tượng mà mệnh đề này bổ nghĩa để có thể xác định được
phán quyết của ai sẽ được coi là chung thẩm và có tính ràng buộc giữa các bên.
Việc tách mệnh đề này thành một câu độc lập vừa tạo lỗi về ngữ pháp trong tiếng
Anh, vừa có thể gây rủi ro trong việc giải quyết tranh chấp giữa các bên.
 Đề xuất sửa đổi: Đặt mệnh đề này nằm trong câu quy định về chọn trọng tài:
Any dispute relates to this sale contract and/or difference between the seller and the
buyer which cannot be settled by two parties, the said dispute and /or difference
shall be referred to the Vietnam International Arbitration Center, and under the rules
of this Vietnam International Arbitration Center, whose awards shall be the final
and biding upon two parties. All expense shall be borne by the faulty party, unless
